Who Owns Genesis HealthCare After Bankruptcy?

Genesis Healthcare is being sold. After filing for Chapter 11 bankruptcy in July 2025 with more than $1 billion in debt, the company’s roughly 175 skilled nursing facilities are moving from private equity firm ReGen Healthcare to a new buyer, NewGen Health, under a court-approved $1 billion deal.1Skilled Nursing News. Genesis has said it expects the transition to be completed by spring 2026 or later, and until then, the existing operating teams continue running the facilities.

Who ReGen Healthcare Is and How It Took Control

Before the bankruptcy sale, Genesis was controlled by ReGen Healthcare, LLC, which held a 93 percent equity stake in the company’s subsidiaries. ReGen is owned by Pinta Capital Partners, a private equity group co-founded by Joel Landau and David Harrington.2U.S. Senate. ReGen’s stake was built up gradually. In early 2021, with Genesis close to bankruptcy, ReGen invested $50 million that converted into equity representing a 25 percent interest in the company’s subsidiaries.3GlobeNewswire. That level of control made ReGen the dominant force behind Genesis from 2021 through the July 2025 bankruptcy filing. Genesis, Inc. and 298 affiliates filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the Northern District of Texas, carrying roughly $708 million in secured debt and more than $1.5 billion in unsecured debt.4Epiq 11. How NewGen Health Became the Buyer

The sale to NewGen was not the original plan. ReGen initially submitted a stalking horse bid to buy Genesis’s assets itself, which would have kept the same private equity group in control. That opening offer set aside only $15 million to cover administrative claims and unsecured creditor debts, and it would have released ReGen and its affiliates, including Pinta Capital Partners and Joel Landau personally, from legal claims held by the bankruptcy estate.6U.S. Senate. The unsecured creditors committee, which represents patient injury victims, healthcare vendors such as Omnicare and Sysco, and a pension fund, stood to recover very little under that plan.4Epiq 11. Judge Stacey Jernigan rejected the ReGen-led bid and pushed for a more competitive process. NewGen Health won the rebid auction and received court approval to buy the roughly 175 nursing homes for $1 billion, with the sale finalized in court in early 2026.1Skilled Nursing News. Who Owns the Buildings Is a Separate Question

The sale to NewGen covers the operating company. It does not necessarily change who owns the physical buildings. Genesis leased 246 skilled nursing and assisted living facilities from third-party landlords, including public and private real estate investment trusts, at the time of its 2021 restructuring.8U.S. Securities and Exchange Commission. Welltower Inc., a large healthcare REIT, was historically Genesis’s biggest landlord, and in 2016 it sold 64 Genesis-occupied facilities to Second Spring Healthcare Investments, a joint venture of affiliates of Lindsay Goldberg LLC and Omega Healthcare Investors.9Genesis HealthCare. Earlier Ownership Chapters

The 2025 sale is the latest turn in a long ownership history. In 2007, a joint venture between affiliates of Formation Capital, LLC and JER Partners took Genesis private in a merger at $64.25 per share.11U.S. Securities and Exchange Commission. The same 2021 restructuring terminated a master lease covering 51 facilities leased from Welltower. What Is Still Unsettled

How NewGen Health will run these facilities is not yet public. Whether it retains existing staff, maintains current service levels, or restructures operations remains an open question. Questions about creditor recoveries also remain unresolved as the bankruptcy proceedings continue. The leadership team is expected to change as the acquisition closes, though the timeline and specifics have not been publicly announced.
