When Is Form 1065 Due: Extensions, Late Penalties, Filing Rules

For a calendar-year partnership, the Form 1065 due date is March 15 of the following year. Because March 15, 2026, falls on a Sunday, this year’s filing deadline shifts to Monday, March 16, 2026.1Office of the Law Revision Counsel. 26 USC 7503 – Time for Performance of Acts Where Last Day Falls on Saturday, Sunday, or Legal Holiday The underlying rule set by statute is the 15th day of the third month after the partnership’s tax year ends.2Office of the Law Revision Counsel. 26 U.S. Code 6072 – Time for Filing Income Tax Returns A six-month extension is available on Form 7004, and missing the deadline without one triggers a penalty of $255 per partner per month.

Partners need their Schedule K-1 by that same date so they can report partnership income on their own returns before April 15.3Internal Revenue Service. Publication 509 (2026), Tax Calendars Filing on time is what makes the individual side workable.

Fiscal-Year and Short-Year Partnerships

If your partnership uses a fiscal year, apply the same formula: Form 1065 is due the 15th day of the third month after the fiscal year closes.2Office of the Law Revision Counsel. 26 U.S. Code 6072 – Time for Filing Income Tax Returns A June 30 year-end produces a September 15 deadline. The weekend-and-holiday rule still applies, so if the 15th lands on a non-business day, the deadline moves to the next business day.

Short tax years follow the same math. When a partnership forms mid-year, dissolves before its normal year-end, or changes its accounting period with IRS approval, Form 1065 is due the 15th day of the third month after the shortened period ends.3Internal Revenue Service. Publication 509 (2026), Tax Calendars A partnership that dissolves on August 20 files by November 15 of the same year. Note that ownership changes on their own no longer create a short year: the pre-TCJA “technical termination” rule was eliminated for tax years beginning after December 31, 2017.4Internal Revenue Service. Requesting a Six-Month Extension

Partnerships that need more time can get an automatic six-month extension by filing Form 7004 on or before the original due date.5Internal Revenue Service. Instructions for Form 7004 For a calendar-year partnership, that pushes the 2026 deadline from March 16 to September 15. On the form, enter form code 09 on line 1 to indicate the extension is for Form 1065, and include the partnership’s name, address, and EIN.6Internal Revenue Service. Form 7004 (Rev. December 2025)

The extension is automatic once Form 7004 is properly completed and timely filed. You do not need IRS approval. But if you miss the original filing date without submitting Form 7004, the six-month window is gone. The extension applies only to the partnership’s information return; it gives individual partners no extra time to pay tax on their personal returns.5Internal Revenue Service. Instructions for Form 7004

State treatment varies. Some states require a separate state extension, and a few will not accept a federal extension at all. Check your state’s rules before assuming Form 7004 covers you.

What Filing Late Costs

A partnership that files late, or files an incomplete return, faces a penalty of $255 per partner for each month or partial month the return is overdue, up to 12 months.7Internal Revenue Service. Failure to File Penalty The count includes every person who was a partner at any point during the tax year, not just those on the books at year-end.8Office of the Law Revision Counsel. 26 USC 6698 – Failure to File Partnership Return

The math is unforgiving. A 10-partner firm that files six months late owes $15,300 (10 × $255 × 6). At the 12-month cap, the same partnership owes $30,600. The penalty applies even when the partnership itself owes no tax, because Form 1065 is an information return the IRS needs so partners can file their own returns correctly.

If you got an extension and then missed the extended deadline, the clock on the penalty runs from the extended due date, not the original one.8Office of the Law Revision Counsel. 26 USC 6698 – Failure to File Partnership Return

Relief for Small Partnerships

Partnerships with 10 or fewer partners may qualify for an automatic waiver of the late-filing penalty under Revenue Procedure 84-35. The IRS presumes reasonable cause and waives the penalty when all of the following are true:9Internal Revenue Service. Understanding Your CP162B Notice

  • The partnership had no more than 10 partners during the tax year.
  • Every partner was a natural person (other than a nonresident alien), a C corporation, or an estate of a deceased partner.
  • Each partner timely filed their own income tax return and fully reported their share of the partnership’s income, deductions, and credits.

Larger partnerships can still request abatement by showing reasonable cause: circumstances like a natural disaster, the death or serious illness of the responsible partner, or destruction of records may qualify if the partnership exercised ordinary business care but could not comply.

How You Have to File

Meeting the deadline also means meeting it in the right format. Starting in 2024, a partnership that files 10 or more returns of any type during the calendar year must file Form 1065 electronically.10Internal Revenue Service. Instructions for Form 1065 (2025) The 10-return count aggregates everything: W-2s, 1099s, employment tax returns, excise tax returns, and income tax returns.11Federal Register. Electronic-Filing Requirements for Specified Returns and Other Documents A small partnership can cross the threshold quickly once its 1099s and W-2s are counted. Partnerships with more than 100 partners must e-file regardless of the total return count.

A waiver from the e-file mandate is available by filing Form 8508. First-time requests are granted automatically. Later requests require a showing of undue financial hardship, a federally declared disaster, or another qualifying circumstance.10Internal Revenue Service. Instructions for Form 1065 (2025) Partnerships not subject to the mandate, or those with an approved waiver, can mail a paper return to the service center listed for their location and asset size.12Internal Revenue Service.
