A W-3 form is used to transmit and summarize an employer’s W-2s when they are sent to the Social Security Administration each year. Officially titled the Transmittal of Wage and Tax Statements, it totals the wages, tips, and tax withholdings reported across every individual W-2, giving federal agencies a single sheet to compare against the employer’s quarterly or annual payroll tax filings. Any employer who issues even one W-2 must also file a W-3, with a general deadline of January 31 following the tax year.1Internal Revenue Service. Topic No. 752, Filing Forms W-2 and W-3
What the Form Does
The SSA uses the W-3 totals to cross-check the individual W-2s it processes against what the employer reported on payroll tax returns filed with the IRS. If the wage figures don’t line up, SSA sends the employer a notice asking them to explain the gap.2Social Security Administration. Employer Reconciliation Process
The IRS instructions are specific about the match: boxes 2, 3, 5, and 7 on the W-3 should reconcile with the yearly totals from quarterly Forms 941 or annual Forms 943, 944, CT-1, and Schedule H. Discrepancies between the W-2/W-3 data at SSA and the payroll tax returns at the IRS trigger employer contact.3Internal Revenue Service. General Instructions for Forms W-2 and W-3 (2026)
Employees never receive or interact with the W-3. It’s strictly a government verification document.
Who Has to File One
The rule is simple: anyone required to file a Form W-2 must also file a Form W-3.1Internal Revenue Service. Topic No. 752, Filing Forms W-2 and W-3 That covers corporations, LLCs, partnerships, and nonprofits. Section 501(c)(3) status does not exempt an organization from wage reporting.
Household employers are pulled in once they cross the wage threshold. For 2026, you must issue a W-2 to any household employee paid $3,000 or more in Social Security and Medicare wages during the year, or any amount from which you withhold federal income tax.4Internal Revenue Service. Publication 926 (2026), Household Employer’s Tax Guide Once the W-2 is required, the W-3 comes with it.
When You Actually Fill One Out
Most employers never manually complete a W-3. If you file your W-2s electronically through the SSA’s Business Services Online portal, the system auto-generates the W-3 for you.1Internal Revenue Service. Topic No. 752, Filing Forms W-2 and W-3 The same happens if you later file a missing W-2 through the W-2 Online tool; SSA generates a matching W-3 and folds it into your filing for that year.5Social Security Administration. Helpful Hints to Electronic Filing and Registration
You only prepare a paper W-3 when you’re mailing paper Copy A of the W-2s. The IRS is explicit that a paper W-3 should never be filed alone, without its W-2s attached.6IRS.gov. Form W-3 Transmittal of Wage and Tax Statements
For most employers, paper isn’t a choice anyway. If you file 10 or more information returns of any kind in a calendar year, counting all types combined, you must e-file. That threshold replaced the old 250-per-type rule.7Internal Revenue Service. Topic No. 801, Who Must File Information Returns Electronically An employer with ten employees typically hits the mark once W-2s and any 1099s are added together.
What Goes on the W-3
A paper filer needs three categories of information. First, employer identification: your nine-digit EIN, legal business name matching your quarterly returns, and mailing address.3Internal Revenue Service. General Instructions for Forms W-2 and W-3 (2026)
Second, the “Kind of Payer” box. This does not describe your legal structure. It identifies which payroll tax return you file:
- 941, the default for employers filing quarterly returns. Churches check this box even when not required to file Form 941.
- 943 for agricultural employers reporting farm workers.
- 944 for small employers filing the annual Form 944 instead of quarterly returns.
- Hshld. emp. for household employers whose domestic-worker taxes were not included on Forms 941, 943, or 944.
- CT-1 for railroad employers under the Railroad Retirement Tax Act.
- Medicare govt. emp. for government agencies with employees subject only to Medicare tax.
Only one box is checked. If you have employees in different categories, such as agricultural and non-agricultural, you file separate W-3s for each group.3Internal Revenue Service. General Instructions for Forms W-2 and W-3 (2026)
Third, the box totals: federal income tax withheld, Social Security wages, Medicare wages, Social Security tips, deferred compensation, and the rest. Every W-3 figure must equal the mathematical sum of that same box across all attached W-2s. Mismatches flag automatically and lead to follow-up inquiries.
Deadline
The W-3 and its W-2s are due to the SSA by January 31 following the tax year, whether you file electronically or on paper.8Social Security Administration. Deadline Dates to File W-2s When January 31 falls on a weekend or legal holiday, the deadline moves to the next business day. For tax year 2026, that pushes the deadline to February 1, 2027.3Internal Revenue Service. General Instructions for Forms W-2 and W-3 (2026)
A 30-day extension is available through Form 8809, but it’s not automatic for W-2s. You must provide written justification, and the paper Form 8809 has to reach the IRS by the original January 31 deadline. An approved extension only postpones your filing with the government. It does not extend the January 31 deadline for furnishing W-2 copies to your employees.9IRS. Form 8809 Application for Extension of Time to File Information Returns
Penalties
Penalties under Section 6721 scale with how late you fix the problem. For information returns due in 2026:
- Corrected within 30 days of the deadline: $60 per return.
- Corrected after 30 days but by August 1: $130 per return.
- Filed after August 1 or not filed at all: $340 per return.
- Intentional disregard: $680 per return, with no maximum cap.
The non-intentional tiers have annual caps that vary by level.10Internal Revenue Service. Information Return Penalties Amounts apply per form, so an employer with 50 late W-2s could face $17,000 in penalties before the W-3 itself is counted. The same amounts apply to filings that are incorrect or missing information, not just late ones.11Office of the Law Revision Counsel. 26 USC 6721 – Failure to File Correct Information Returns
Fixing an Error After Filing
When you find a mistake on a W-2 you already filed, you correct it with Form W-2c. Form W-3c, the Transmittal of Corrected Wage and Tax Statements, is the cover sheet that goes with those corrections, working the same way the original W-3 does for original W-2s.12Internal Revenue Service. About Form W-3 C, Transmittal of Corrected Wage and Tax Statements Corrections can be submitted electronically through BSO’s Electronic Wage Reporting system, which auto-generates the W-3c after you enter the corrected data.13Social Security Administration. Tax Year 2025 W-2c/W-3c Online Tutorial
One boundary worth noting: if your correction only affects state or local data in boxes 15 through 20, do not send the W-2c or W-3c to the SSA. Those go directly to the state or local tax agency instead.3Internal Revenue Service. General Instructions for Forms W-2 and W-3 (2026)
