A Qualified Foreign Institutional Investor is a licensed overseas institution permitted to invest directly in mainland China’s securities and futures markets. The program launched in 2002 as one of the first channels opening China’s domestic exchanges to international capital, and it is administered by the China Securities Regulatory Commission (CSRC), with the State Administration of Foreign Exchange (SAFE) handling capital flow registration.1Shanghai Stock Exchange. A 2020 overhaul merged the original QFII with its renminbi-denominated counterpart (RQFII) into a single unified framework now formally called the Qualified Foreign Investor (QFI) regime, though the older QFII label is still widely used.
The 2020 Unification Into QFI
The original QFII required foreign institutions to invest in U.S. dollars and apply to SAFE for individual investment quotas. RQFII launched in 2011 to let offshore renminbi flow into the same markets. Running two parallel systems created duplicative paperwork, and the CSRC, People’s Bank of China, and SAFE consolidated them into a single set of rules effective November 1, 2020.2China Securities Regulatory Commission. Two changes matter most to anyone evaluating the program today. First, SAFE abolished aggregate quota limits in September 2019, so investors no longer apply for a preset dollar ceiling on how much they can bring in.3State Administration of Foreign Exchange. Who Qualifies
CSRC Decree No. 176 sets out three categories of eligible applicants:5China Securities Regulatory Commission. Measures for the Administration of Domestic Securities and Futures Investment by Qualified Foreign Institutional Investors and RMB Qualified Foreign Institutional Investors
- Asset managers, including fund management companies, securities firms, commercial banks, insurance companies, trust companies, futures companies, and private fund managers registered in jurisdictions with sound securities regulation.
- Long-term institutional investors such as pension funds, charitable funds, endowment funds, government investment funds, and sovereign wealth funds.
- Any other institution the CSRC approves case by case.
Applicants need a clean regulatory record, meaning no major penalties from their home regulator in the three years before applying. What a License Lets You Invest In
The 2020 rules opened the QFI channel to nearly every major product traded on China’s exchanges and interbank markets:6China Securities Regulatory Commission. - A-shares on the Shanghai and Shenzhen exchanges (including the STAR Market), depository receipts, and shares on the National Equities Exchange and Quotations (NEEQ).
- Exchange-traded bonds, bond repos, asset-backed securities, and interbank bond market products including interest rate and bond derivatives.
- Financial futures on the China Financial Futures Exchange, commodity futures on approved exchanges, and exchange-listed options; ETF options were added in June 2025.1Shanghai Stock Exchange. QFII/RQFII Introduction
- Publicly offered securities investment funds and private funds issued by registered private fund managers.
- Foreign exchange derivatives, restricted to hedging rather than speculation.
Participation also extends to IPOs for stocks, bonds, and asset-backed securities, as well as margin trading and securities lending on the exchanges.
How the QFI License Compares to Stock Connect
Foreign investors targeting A-shares often weigh a QFI license against northbound Stock Connect, the trading link between Hong Kong and the mainland exchanges. Stock Connect is limited to the secondary market for eligible A-shares on the Shanghai and Shenzhen exchanges and does not cover the STAR Market. A QFI holder can access primary and secondary markets across nearly all exchange-listed products, including futures, options, bonds, private funds, and NEEQ shares.7Shanghai Stock Exchange. Stock Connect is faster to set up and requires no CSRC license, which makes it the practical choice for institutions that only want straightforward equity exposure. QFI is the path for investors who need broader asset class coverage, want to participate in IPOs, or plan to trade derivatives and fixed income instruments Stock Connect does not offer.
Ownership Caps on Listed Companies
A single QFI holder cannot own more than 10% of the total shares in any exchange-listed or NEEQ-admitted company. The aggregate holding of all qualified foreign investors and other foreign investors in the same company cannot exceed 30%.6China Securities Regulatory Commission. Exchanges typically halt foreign purchases as the 30% ceiling is approached and may apply “last in, first out” selling if it is breached. Crossing the threshold can trigger forced divestment and regulatory scrutiny, so investors track these levels closely.
How to Apply
Before filing anything with the CSRC, the institution must appoint a domestic custodian bank in China. The custodian handles asset safekeeping, transaction settlement, and regulatory reporting, and serves as the intermediary that submits application materials to the CSRC.8State Administration of Foreign Exchange. The application itself is filed through the CSRC’s official website. Required materials include a signed application from the legal representative or authorized agent, the business license or certificate of incorporation, a statement of any major regulatory penalties in the prior three years, a power of attorney authorizing the custodian, and audited balance sheets for the previous three years or the most recent year.6China Securities Regulatory Commission. Authenticating Documents
Since November 7, 2023, China has been a party to the Hague Apostille Convention. For U.S.-based applicants, documents destined for mainland China now need only a U.S. apostille; consular authentication at the Chinese embassy or consulates is no longer required or available for these documents.9Consulate General of the People’s Republic of China in New York. Guidelines for Authentication The typical U.S. sequence is a local notarization, followed by an apostille from the relevant Secretary of State’s office. Applicants from other Hague member countries follow the same pattern through their own competent authorities. Institutions from non-member countries still use the traditional consular legalization chain.
SAFE Registration and Accounts
After the CSRC grants the license, the investor registers with SAFE through the custodian bank rather than applying directly.4Shanghai Stock Exchange. License and Quota The custodian then opens the required securities and cash accounts. If the investor does not obtain the SAFE foreign exchange registration certificate within one year of receiving the CSRC license, the license becomes invalid.
How Long Approval Takes
In October 2025, the CSRC released a Work Plan for Optimizing the Qualified Foreign Investor Mechanism that cut the standard review to five working days, down from the statutory ten.10Shanghai Stock Exchange. CSRC Issued the Work Plan for Optimizing the Qualified Foreign Investor Mechanism The plan also introduced a Green Channel for allocation-oriented investors who invest through intermediary managers, with qualification review promised in as few as three working days when materials are complete. Qualification approval and account opening were combined into a single process, eliminating steps that used to run sequentially.
Tax Treatment
China does not have a standalone capital gains tax, but foreign investors are normally subject to a 10% withholding income tax on passive income such as dividends, interest, and gains from transferring shares in Chinese companies. For QFI holders, the treatment breaks down as follows.
Capital gains from selling A-shares and other equity investments have been temporarily exempt from enterprise income tax since November 17, 2014.11Shanghai Stock Exchange. Rules and Regulations The exemption has never been revoked, but it also has never been made permanent, so investors watch for policy changes.
Dividend and interest income is subject to corporate income tax at a 10% withholding rate, taken at source by the paying entity. Investors from countries with tax treaties with China may qualify for a reduced rate or exemption by applying to the relevant local tax authority. Income from transferring financial products through a domestic custodian is exempt from value added tax.
Repatriating Capital and Ongoing Compliance
Bringing money in through a QFI license is the easy part; bringing it back out used to involve lock-up periods and strict currency matching. With quotas eliminated in 2019, there is no longer a fixed pool of capital that constrains repatriation.3State Administration of Foreign Exchange. A QFI that brought capital in as foreign currency can now repatriate in either the same foreign currency or in renminbi. Cross-currency arbitrage remains prohibited, and custodians face penalties from SAFE if they process repatriations that violate timing or procedural rules.
Ongoing reporting to both the CSRC and SAFE is mandatory. Both regulators can demand information from QFI holders, custodians, and securities firms at any time, and can conduct on-site examinations.5China Securities Regulatory Commission. Measures for the Administration of Domestic Securities and Futures Investment by Qualified Foreign Institutional Investors and RMB Qualified Foreign Institutional Investors SAFE can reduce or cancel a QFI’s registration for violations such as transferring quota rights, providing false information, repatriating funds outside established procedures, or failing to comply with information requests. For serious custodian-side violations, SAFE and the CSRC can jointly terminate the custodian’s qualification, which effectively freezes an investor’s activity until a replacement is arranged.
