What Does EXW Price Mean? Add-On Costs, Risk, and Export Filing

An EXW (Ex Works) price is what the goods cost sitting inside the seller’s warehouse or factory, and nothing else. It excludes loading, inland transport, export clearance, freight, insurance, import duties, and every other expense involved in moving the goods to you. Of the eleven Incoterms published by the International Chamber of Commerce, EXW puts the most on the buyer and asks the least of the seller.

So a $10,000 EXW quote for a piece of industrial equipment means you are paying $10,000 for metal, labor, and the packaging the seller normally provides. Getting that equipment onto a truck, across a border, and into your facility is a separate bill that can run into thousands more.1EDC. Incoterms 2020: EX Works Rule Explained

Where the Seller’s Job Ends

Under EXW, the seller’s physical role is narrow. They have to make the goods available at a specific place named in the contract, usually their factory, warehouse, or loading dock, properly packaged and ready for collection.2ICC Academy. Incoterms 2020: EXW or FCA? That is it.

The seller is not required to load the goods onto any vehicle. The contract is satisfied the moment the goods are placed at your disposal at the agreed spot. Sitting on the factory floor counts as delivery. The seller also has no obligation to handle export clearance or customs paperwork.3ICC Academy. Incoterms 2020: EXW or DDP?

If you ask the seller to help you obtain export documents or information, they must give reasonable assistance, but at your cost and risk.3ICC Academy. Incoterms 2020: EXW or DDP? A commercial invoice or packing list will usually come as a matter of course. Certificates of origin, security-related transport documents, and anything beyond the basics are yours to pay for.

When Risk Shifts to You

Risk transfers the moment the seller places the goods at your disposal at the named place within the agreed timeframe. From that instant you bear the risk of loss or damage, even though the goods are still physically on the seller’s property.2ICC Academy. Incoterms 2020: EXW or FCA? If a crate falls during loading, that is your loss. Delivery is legally complete before the goods move an inch.

The same shift happens if you fail to collect on time. Once the agreed date passes and the goods have been clearly set aside as the contract goods, you own the risk even if nobody has touched them, and you also become liable for any extra storage the seller incurs because of the delay. EXW quietly punishes buyers who do not have logistics locked in before the delivery date arrives.

What You Pay for on Top of the EXW Figure

Buying EXW means managing the full supply chain from the seller’s doorstep to your own. The costs stack up fast.

Loading and inland transport. You arrange and pay for loading the goods onto a truck or container at the seller’s premises.2ICC Academy. Incoterms 2020: EXW or FCA? For heavy goods that can mean renting a forklift or crane and hiring operators, which runs into several hundred dollars per day. You also hire the trucker or freight forwarder to haul the goods to the port or airport.

Terminal handling and freight. You pay the terminal handling charges at origin and destination, plus the ocean or air freight between them.1EDC. Incoterms 2020: EX Works Rule Explained

Export and import clearance. You handle export formalities in the seller’s country and import formalities in your own. That includes obtaining export licenses, filing Electronic Export Information with the appropriate agencies, paying any export duties, and clearing import customs with the required tariffs and taxes on arrival.2ICC Academy. Incoterms 2020: EXW or FCA? Most buyers work with a customs broker to keep the bill of lading, commercial invoice, and certificates accurate and on time.

One more thing on cost: when the goods reach your border, customs will want a transaction value that reflects freight and insurance, not just the bare EXW price. Declaring only the EXW figure as the dutiable value can trigger audits or hold-ups.

The Insurance Gap at Loading

Standard marine cargo insurance often does not cover damage that occurs during loading at the seller’s premises. Under the widely used Institute Cargo Clauses (A), coverage attaches when goods are first moved in the warehouse for the purpose of immediate loading onto the transport vehicle. But EXW risk transfers earlier, the moment the goods are placed at your disposal, before any loading begins.

That leaves a window where you own the risk and may not have coverage. If goods are damaged while sitting on the factory floor waiting for the forklift, or during the loading operation itself, you can be left holding the bill with no policy to fall back on. Confirm with your insurer that the policy’s attachment point matches the EXW risk transfer point, or buy a separate policy that explicitly covers the loading phase.

Export Filing Duties if the Goods Ship From the United States

When goods ship from a U.S. seller under EXW, the deal often qualifies as a routed export transaction under the Foreign Trade Regulations. In a routed export, the foreign buyer authorizes a U.S.-based agent, usually a freight forwarder, to handle the export and file the Electronic Export Information on their behalf.4eCFR. 15 CFR 30.3 – Electronic Export Information Filer Requirements, Parties to Export Transactions, and Responsibilities of Parties to Export Transactions The agent must first get a power of attorney or written authorization from the foreign buyer.5eCFR. Part 30 Foreign Trade Regulations

The U.S. seller still has to supply the agent with key data: the seller’s name and address, commodity classification number, value of the goods, U.S. state of origin, and other items listed in the regulations. Neither side can assume the other will take care of everything.

Knowingly failing to file EEI or submitting false export information carries criminal penalties of up to $10,000 per violation, up to five years in prison, or both.6Office of the Law Revision Counsel. 13 USC 305 – Penalties for Unlawful Export Information Activities Civil penalties under the Foreign Trade Regulations start around $750 for a first offense and climb to $10,000 per violation for repeat offenders. If the goods themselves are export-controlled under the Export Administration Regulations, civil penalties per violation can exceed $374,000. For defense articles regulated under ITAR, the ceiling runs above $1.2 million per violation.7eCFR. 22 CFR Part 127 – Violations and Penalties Compliance failures under EXW can cost more than the goods.

Tax Exposure for the Seller

EXW creates problems around sales tax and value-added tax. Legal delivery happens at the seller’s premises before the goods leave the country, so tax authorities in the seller’s jurisdiction may treat the transaction as a domestic sale rather than a tax-exempt export. The seller often lacks documentation proving the goods were actually exported, because you, the buyer, handle all the export paperwork after pickup.3ICC Academy. Incoterms 2020: EXW or DDP?

In practice the seller may be forced to charge VAT or local sales tax. A foreign buyer who is not registered for tax in the seller’s country then faces paying tax that is hard to recover. Address this in the contract and agree in advance on how export evidence will be shared. In countries with VAT systems, this issue alone has made many sellers reluctant to quote EXW to international customers.

When FCA Is the Better Choice

The ICC, which writes these rules, discourages using EXW for international shipments and points traders to FCA (Free Carrier) instead when goods are crossing a border.2ICC Academy. Incoterms 2020: EXW or FCA?

The reason is practical. EXW requires the buyer to handle export clearance in the seller’s country, but in most countries only a locally registered entity can legally act as the exporter of record. A foreign buyer who is not established there may be unable to clear the goods at all, and the seller can end up treated as exporter of record by default, picking up legal exposure they never intended.2ICC Academy. Incoterms 2020: EXW or FCA?

FCA shifts export clearance and loading to the seller while still transferring risk to the buyer once goods are handed to the carrier. EXW remains a sensible choice for domestic transactions, or where the buyer has a registered presence in the seller’s country. For most cross-border deals, FCA is the safer term for both sides.
