Venture Capital Trust tax relief gives UK investors three benefits: 30% income tax relief on subscriptions of up to £200,000 in a tax year, tax-free dividends, and no capital gains tax when you sell the shares. The 30% relief is the headline number, worth up to £60,000 off your income tax bill in a single year, but it only sticks if you hold the shares for at least five years and follow the rules on how you acquired them.
30% Income Tax Relief on New Subscriptions
Subscribe for newly issued VCT shares and you can claim income tax relief equal to 30% of what you invested, capped at £200,000 per tax year.1GOV.UK. Venture Capital Schemes Tax Relief for Investors The relief works as a credit against your income tax liability, not a deduction from taxable income, so it can reduce your bill to zero but never produce a refund on its own. If your tax bill is smaller than the relief available, the excess is lost.
Three conditions matter here. You must be at least 18. You must be the original subscriber for new shares; buying existing VCT shares from another investor on the secondary market does not qualify for income tax relief.1GOV.UK. Venture Capital Schemes Tax Relief for Investors And unlike the Enterprise Investment Scheme, VCT relief cannot be carried back to an earlier year. You claim it for the tax year the shares were issued.
Tax-Free Dividends
Dividends paid on VCT shares are exempt from income tax at every band: basic, higher, and additional rate.2HM Revenue & Customs. Venture Capital Schemes Manual – VCT: Investor Income Tax Reliefs: Dividend Exemption From Income Tax They sit outside your annual dividend allowance, so they don’t use it up or push other dividend income into a higher band, and you don’t report them on your self-assessment return.
This exemption applies to shares bought on the secondary market as well as new subscriptions, provided your total VCT shares acquired in the tax year stay within the £200,000 ceiling.2HM Revenue & Customs. Venture Capital Schemes Manual – VCT: Investor Income Tax Reliefs: Dividend Exemption From Income Tax It is one of the few VCT benefits open to second-hand purchasers.
No Capital Gains Tax on Sale
When you sell VCT shares, you pay no CGT on any gain, whether you subscribed at launch or bought on the secondary market.1GOV.UK. Venture Capital Schemes Tax Relief for Investors The exemption covers up to £200,000 of VCT shares acquired in any tax year. Anything above that limit falls under normal CGT rules.3HM Revenue & Customs. HS298 Capital Gains Tax and Venture Capital Trusts
The exemption cuts both ways. If your shares fall in value and you sell at a loss, that loss is not allowable and cannot be set against gains elsewhere in your portfolio.3HM Revenue & Customs. HS298 Capital Gains Tax and Venture Capital Trusts Losses are only allowable on shares acquired above the £200,000 annual threshold, where standard CGT rules apply. For most investors, a drop in VCT share value is an unrecoverable cost.
You Have to Hold the Shares for Five Years
To keep the 30% income tax relief, you must hold your VCT shares for at least five years from the date they were issued.1GOV.UK. Venture Capital Schemes Tax Relief for Investors Sell or transfer them earlier and HMRC will claw the relief back. There is no partial credit for four years; the clock either finishes or the relief goes.
The dividend and CGT exemptions don’t carry a separate holding period, but because the income tax relief is the largest single benefit for most investors, the five-year window effectively anchors the whole investment. Liquidity matters here. VCT shares trade on exchanges including the London Stock Exchange’s main market, but they typically trade at a discount to net asset value and buyers aren’t always easy to find.
How to Claim the Relief
After you invest, the VCT sends you a tax certificate, sometimes called a VCT5, confirming your subscription. You use that certificate to claim income tax relief through self-assessment for the tax year the shares were issued.1GOV.UK. Venture Capital Schemes Tax Relief for Investors You have up to four years after the end of that tax year to file the claim.
If you’d rather not wait, contact HMRC and ask for a PAYE tax code adjustment so the relief flows through your salary during the year. Either route delivers the same relief; the code adjustment just brings the cash forward.
When HMRC Claws the Relief Back
The usual trigger is selling your shares inside the five-year window. HMRC recovers the relief by assessing the tax year in which it was originally given, not the year of the sale.4HM Revenue & Customs. Venture Capital Schemes Manual – VCT: Investor Income Tax Reliefs: Front-End Income Tax Relief Withdrawal On an arm’s-length sale, the amount clawed back is the lower of the original relief or the sale proceeds multiplied by the relief rate. If you give the shares away or sell below market value, all the relief on those shares is withdrawn.
You must notify HMRC within 60 days of learning of any event that should trigger withdrawal of relief. Missing that deadline can bring penalties on top of the clawback.4HM Revenue & Customs. Venture Capital Schemes Manual – VCT: Investor Income Tax Reliefs: Front-End Income Tax Relief Withdrawal
A separate risk sits with the VCT itself. If the trust breaches its investment conditions and loses HMRC-approved status, ongoing exemptions for shareholders can be revoked even when the investor has done nothing wrong. Monitoring the trust’s annual reports and compliance disclosures is worth the effort.
Changes From April 2026
From 6 April 2026, the annual amount a qualifying company can receive through combined VCT and EIS investment doubles from £5 million to £10 million, and from £10 million to £20 million for knowledge-intensive companies. Lifetime limits rise too: £12 million to £24 million for standard companies, and £20 million to £40 million for knowledge-intensive ones.5GOV.UK. Venture Capital Trusts, Enterprise Investment Scheme Investment Limit Increase and Restructure The higher limits do not apply to companies registered in Northern Ireland that trade in goods or in the electricity sector; those remain on the previous caps.
Your personal limits do not change. The £200,000 annual ceiling and the 30% relief rate carry forward as they are. The scheme itself, originally set to expire, has been extended through 2035.6UK Parliament. Extension of Enterprise Investment Scheme and Venture Capital Trust Scheme Sunset Clause
