Universal Logistics Charge: Impairment, Full-Year Impact, and Losses

Universal Logistics Holdings recorded a $124.4 million noncash impairment charge against its intermodal segment during fiscal 2025, writing down goodwill and customer-relationship intangibles as demand across the segment’s high-fixed-cost network fell short of the values previously carried on the balance sheet. The charge was the single biggest reason the company swung from $129.9 million in net income in 2024 to a $99.9 million net loss in 2025, and the intermodal business kept losing money into 2026 even after the write-down was booked.1PR Newswire. What the Impairment Covered

The bulk of the charge landed in the third quarter of 2025, when Universal took $81.2 million in noncash impairments tied to its intermodal reporting segment. That amount broke into $58 million against goodwill and $23.2 million against certain customer-relationship intangible assets.2PR Newswire. That single quarter’s charge drove a $74.8 million net loss, or $2.84 per share, against $26.5 million in net income in the same quarter a year earlier. Excluding the impairment, Universal said adjusted operating income for the quarter was $7 million.2PR Newswire. Universal Logistics Holdings Reports Third Quarter 2025 Financial Results

Full-Year 2025 Effect

By the close of fiscal 2025, total impairment expense reached $124.4 million. The company posted a full-year net loss of $99.9 million and an operating loss of $64.3 million, compared with $129.9 million in net income and $203.1 million in operating income the year before.1PR Newswire. The write-down itself is noncash, meaning it reduces reported earnings and asset values on the balance sheet without moving cash out the door. The underlying operating deterioration in intermodal, though, was very real.

The Segment Kept Losing Money After the Write-Down

Impairing goodwill and intangibles resets the carrying value of a business but does not fix it. In the fourth quarter of 2025, intermodal posted a $10.6 million operating loss on a 27.9% revenue drop, with load volumes down 19.1% and per-load pricing off nearly 9%.4Universal Logistics Holdings. The first quarter of 2026, reported May 1, was worse. Intermodal revenue fell 32.3% year over year to $47.9 million, load volumes dropped 23.3%, and per-load revenue slipped more than 10%. The segment’s operating loss widened to $13.1 million on a negative 27.4% operating margin.6FreightWaves. Universal has not divested intermodal or announced a formal restructuring. The number of intermodal depots held steady at eight, though the average tractor count in the segment dropped from roughly 1,400 in Q1 2025 to 1,140 in Q1 2026. Phillips said the company is “implementing operational improvements” and remains “committed to restoring this segment to profitability.”7PR Newswire. What the Impairment Is Not

The charge is an accounting event tied to the intermodal segment’s asset values and demand outlook. It is not connected to the 2022 settlement between Universal and the Teamsters over driver misclassification at its Southern California drayage operations, and it is separate from the May 2026 departure of longtime CFO Jude Beres, whom the company said was leaving to pursue opportunities outside transportation and logistics, with “no disagreements underlying” his exit.11The Globe and Mail.
