Trade Settlement Q2: T+1 Friction, Global Rollout, and T+0

T+1 settlement is the rule that most U.S. securities trades finalize one business day after the trade date. It replaced the old two-day (T+2) cycle on May 28, 2024, under amendments to SEC Rule 15c6-1. If you sell a stock on Monday, the cash reaches your account on Tuesday instead of Wednesday.1Investor.gov. New T+1 Settlement Cycle: What Investors Need to Know

What T+1 Means for a Trade

Placing an order is not the same as completing it. Settlement is the back-end step where ownership of the security officially transfers to the buyer and cash moves to the seller. Under T+1, that step happens one business day after execution.

The amended SEC rule covers a broad range of instruments: stocks, corporate bonds, exchange-traded funds, certain mutual funds, and limited partnerships that trade on an exchange. Several categories sit outside the rule. Government securities, municipal securities, commercial paper, bankers’ acceptances, and security-based swaps are not subject to the T+1 requirement.2SEC.gov. The SEC proposed the change in February 2022, adopted the final rule in February 2023, and set the May 28, 2024 compliance date.3SEC.gov. SEC Announces T+1 Settlement Transition The agency’s reasoning combined risk reduction with a practical benefit for retail investors: less time between trade and settlement means less exposure to credit, market, and liquidity risk, and money reaches account holders faster.

What It Changes for Individual Investors

For most retail activity, the day-to-day experience is simple. Sale proceeds are available for withdrawal or reinvestment one day sooner. Purchases must be funded one day sooner. Brokerages have adjusted internal cutoffs to match, so if you rely on selling one position to fund another, the timeline you plan around is now 24 hours tighter than it was before May 2024.

Alongside the T+1 rule itself, the SEC adopted Rule 15c6-2, which requires broker-dealers to make sure trade allocations, confirmations, and affirmations for institutional transactions are completed by the end of the trade date.4SEC.gov. How the Transition Performed

The switch went smoothly by the measures the industry watches most closely. On May 29, 2024, the first settlement day under the new rule, DTCC reported a CNS fail rate of 1.90% and a non-CNS fail rate of 2.92%, both slightly better than the May T+2 averages of 2.01% and 3.24%.5DTCC. DTCC Comments on Industry’s T+1 Progress By July 2024, fail rates held near pre-transition levels at 2.12% and 3.31%.6SIFMA. SIFMA, ICI, and DTCC Release T+1 After Action Report

Same-day affirmation rates rose sharply. Nearly 95% of institutional transactions were meeting the 9:00 PM ET cutoff on trade date by mid-2024, up from about 73% in late January 2024.6SIFMA. SIFMA, ICI, and DTCC Release T+1 After Action Report The NSCC Clearing Fund, which represents capital clearing members must post against unsettled trades, dropped from an average of $12.8 billion under T+2 to $9.8 billion under T+1, a 23% decline. Later data put the drop closer to 28%, freeing roughly $3.6 billion in capital across the industry, and major broker-dealers reported margin-deposit reductions of about 25%.7GreySpark Partners. Canada and Mexico moved a day earlier, on May 27, 2024, to sync with the U.S. despite the Memorial Day holiday, along with Argentina and Jamaica. Canadian results tracked the U.S. experience closely: fail rates stayed below 2%, the CNS Participant Fund fell about 27%, and the CNS Default Fund fell 23.4%.8CDS. CDS T+1 Key Initiatives

Where the Shorter Cycle Creates Friction

Foreign Investors and Currency Conversion

The compressed window is hardest on investors outside North America. Buying a U.S. stock from abroad requires converting local currency into dollars and delivering those dollars by T+1. Under T+2, there was time to confirm the trade, execute the FX conversion, and settle it through CLS, which provides payment-versus-payment protection that eliminates settlement risk on both legs. Under T+1, the timing is much tighter.

FX trades must reach CLS by midnight Central European Time on trade date to settle on T+1. U.S. equity markets close at 4:00 PM ET, leaving a narrow window to size the dollar amount, execute the conversion, and submit the instruction before the cutoff.9GFMA. FX Considerations for T+1 U.S. Securities Settlement Trades that miss it settle bilaterally, which is more expensive and carries more counterparty risk.10DTCC. Managing the FX Challenge for T+1

CLS kept its midnight CET cutoff unchanged after a survey found that more than 40% of settlement members would need lengthy system development to support a later deadline. Even so, between July and August 2024, T+1 values submitted between 7:00 PM and midnight CET rose 42% compared with the prior six months, indicating that custodians and asset managers pushed more volume into the CLS window on their end.11CLS Group. Asian investors face the tightest squeeze. A SWIFT study found a 9% increase in late settlement instructions from Asia-Pacific parties into North America after the transition.12EY/ASIFMA. ASIFMA T+1 Whitepaper Common responses include extending operating hours, opening U.S.-based operations, or pre-funding trades in dollars, though pre-funding ties up capital and can weigh on fund performance.13The Investment Association. ETFs, Funds, and Securities Lending

Exchange-traded funds have their own timing problem. When a market maker facilitates an ETF trade in the secondary market, it often needs an authorized participant to create new shares in the primary market. If that primary-market subscription settles a day behind the secondary trade, the mismatch produces settlement fails or forces market makers to hold inventory they would rather not.14State Street. T+1 Industry Challenges: ETFs The industry has adopted expedited share-creation workflows to close the gap.

Mutual funds whose own share settlement runs longer than T+1 must reconcile that with faster securities settlement underneath. The tight window also reduces the ability to use CLS netting for fund-related FX, pushing more of that flow into bilateral gross settlement.13The Investment Association. T+1 Settlement Overview

Securities lending has felt the squeeze too. Lenders have less time to recall on-loan securities before settlement, and the shorter recall window raises the risk of fails, especially for firms working across time zones.15SWIFT. Is T+0 Next?

The SEC has described T+1 as a “precursor to future innovations” and is studying whether a further shortening is feasible. A Securities Finance Times panel in October 2023 concluded that current systems cannot yet support same-day settlement, which would require integrated development across analytics, settlement, cash management, and record-keeping.30Sodali.
