Stamp Duty on Commercial Property: Rates, Reliefs, and Filing

Stamp duty on commercial property in England and Northern Ireland is charged on any purchase priced above £150,000, using a sliced rate structure: 0% on the first £150,000, 2% on the portion from £150,001 to £250,000, and 5% on anything above £250,000.1GOV.UK. Stamp Duty Land Tax – Rates for Non-Residential and Mixed Land and Property The formal name for the tax is Stamp Duty Land Tax (SDLT). The same non-residential rates apply to mixed-use properties.

Where These Rates Apply

SDLT covers property and land transactions in England and Northern Ireland only.2GOV.UK. Stamp Duty Land Tax – Overview Scotland charges Land and Buildings Transaction Tax on its own scale, and Wales charges Land Transaction Tax on sales completed on or after 1 April 2018. If your deal is north of the border or in Wales, the figures below do not apply to you.

What Counts as Commercial Property

For SDLT purposes, non-residential property is anything that is not a dwelling. Retail shops, office buildings, industrial warehouses, agricultural land, commercial forests, and vacant land earmarked for business development all sit in this category. The practical test in grey-area cases is whether the property is used or intended for habitation.

Mixed-use properties, such as a doctor’s surgery attached to a house, follow the non-residential rate table for the whole transaction, not just the commercial part.1GOV.UK. Stamp Duty Land Tax – Rates for Non-Residential and Mixed Land and Property

How to Calculate SDLT on a Freehold Purchase

The tax is worked out in slices, in the same way as income tax bands:1GOV.UK. Stamp Duty Land Tax – Rates for Non-Residential and Mixed Land and Property

  • Up to £150,000: 0%
  • £150,001 to £250,000: 2%
  • Above £250,000: 5%

Take a freehold office building bought for £500,000. The first £150,000 is tax-free. The next £100,000 is taxed at 2%, giving £2,000. The remaining £250,000 is taxed at 5%, giving £12,500. Total SDLT: £14,500.

The consideration on which SDLT is charged is not just the cash. It includes any debt the buyer takes on, such as assuming an existing mortgage on the property.3HM Revenue & Customs. SDLTM04040 – Scope: How Much Is Chargeable: Non-Cash Consideration: Assumption or Release of a Debt If you buy a warehouse for £400,000 in cash and also take on the seller’s £200,000 loan, the SDLT is based on £600,000.

VAT on Opted Properties

If the seller has exercised an option to tax the property for VAT, the sale price will carry VAT at 20%, and SDLT is calculated on the VAT-inclusive figure.4GOV.UK. What to Include in a Stamp Duty Land Tax Calculation On a £1 million property where the seller has opted to tax, the buyer pays £200,000 in VAT, and SDLT is worked out on £1.2 million. That takes the SDLT from £39,500 to £49,500. Confirm the property’s VAT status before you exchange.5GOV.UK. Land and Property (VAT Notice 742)

Buying From a Connected Company

When you buy commercial property from a connected company, typically one in the same corporate group or under the same control, SDLT is charged on the property’s market value rather than the price actually paid.6GOV.UK. SDLTM09290 – Connected Companies, Section 53 FA03 Selling a building worth £800,000 to a related entity for £1 still triggers SDLT on £800,000.

SDLT on Commercial Leases

Commercial leases attract SDLT on two separate components: any upfront lump sum (the premium) and the rental payments over the life of the lease.7GOV.UK. Stamp Duty Land Tax on Leasehold Sales

The Premium

A premium on a new lease uses the same rate bands as a freehold purchase: 0% up to £150,000, 2% on £150,001 to £250,000, and 5% above £250,000.1GOV.UK. Stamp Duty Land Tax – Rates for Non-Residential and Mixed Land and Property

The Rent

SDLT on rent is based on the Net Present Value (NPV) of all rental payments across the lease term. The NPV takes the total future rent and adjusts it downward to reflect what that stream is worth today.8HM Revenue & Customs. SDLTM13075 – Calculation of Stamp Duty Land Tax: Rent: Net Present Value The rates on the NPV are:

  • Up to £150,000: 0%
  • £150,001 to £5,000,000: 1%
  • Above £5,000,000: 2%

These bands apply to the NPV, not the raw total of the rent.1GOV.UK. Stamp Duty Land Tax – Rates for Non-Residential and Mixed Land and Property For most small and mid-sized commercial leases, the NPV falls below £150,000 and no SDLT is due on the rent element.

Rent Reviews Within the First Five Years

If your lease includes rent reviews during the first five years, you may need to recalculate SDLT once the actual rent is known. The initial return uses your best estimate; at the end of the fifth year, or earlier if the rent becomes certain, you must recalculate the NPV using the actual figures.9HM Revenue & Customs. SDLTM13155 – Calculation of Stamp Duty Land Tax: Rent: Variable or Uncertain Rent: Review of Estimate If the revised NPV is higher, you owe the difference within 30 days of the review date. If it is lower, you can claim a refund with no time limit.

Overlap Relief for Replacement Leases

Where a new commercial lease replaces an old one on the same premises and the two terms overlap, overlap relief prevents SDLT being paid twice on rent for the same period. The rent used in the new lease’s NPV is reduced by the rent already accounted for under the old lease during the overlapping period.10HM Revenue & Customs. SDLTM16010 – Reliefs and Exemptions: Overlap Relief The reduction cannot take the rent figure below zero for any year. The relief only applies if the old lease was itself subject to SDLT; leases that predate SDLT and fell under the old stamp duty regime do not qualify.

When the Tax Becomes Due

SDLT is normally triggered on the date of completion, when legal ownership transfers. But a contract can be treated as “substantially performed” earlier, which pulls the SDLT liability forward.11HM Revenue & Customs. SDLTM07850 – Scope: When Is Stamp Duty Land Tax Chargeable: Contracts and Substantial Performance Substantial performance happens when the buyer takes possession of all or most of the property, or when a substantial portion of the price has been paid. In commercial deals where the buyer moves in or starts fitting out before completion, the SDLT clock starts from that earlier date, and so does the 14-day filing deadline.

Reliefs That Can Reduce or Remove the Bill

Charities Relief

Registered charities can claim full SDLT relief when buying property they intend to use for charitable purposes, or to hold as an investment whose profits fund those purposes.12HM Revenue & Customs. SDLTM26010 – Reliefs: Charities Relief: Detailed Rules to Qualify for the Relief The charity must be established exclusively for charitable purposes, meet the UK tax definition of a charity, and be administered by fit and proper persons. The transaction must not have been entered into to avoid SDLT.

Group Relief

Companies within the same corporate group can transfer commercial property between themselves without triggering SDLT, provided they meet the 75% ownership test.13Legislation.gov.uk. Finance Act 2003 Schedule 7 – Group Relief One company must own at least 75% of the ordinary share capital of the other, or both must be 75% subsidiaries of the same parent. That 75% threshold also applies to entitlement to distributable profits and to assets on winding up. Group relief can be clawed back if the purchasing company leaves the group within three years of the transaction.

Freeport and Investment Zone Relief

Commercial property within a designated Freeport or Investment Zone special tax site in England may qualify for full SDLT relief, provided the buyer intends to use it for a commercial trade, for development, or for letting to a tenant who pays rent.14GOV.UK. Check if You Can Claim Relief From Stamp Duty Land Tax in a Freeport or Investment Zone Special Tax Site in England Full relief applies when at least 90% of the price is attributable to qualifying land. If the qualifying portion falls between 10% and 90%, relief covers only that share. Below 10%, no relief is available.

A three-year control period runs from the purchase date. If the property stops being used in a qualifying way during that period, and you are not taking reasonable steps to start qualifying use or to sell, the relief is withdrawn; you must then file a return and pay the SDLT within 30 days. Freeport tax site relief is available on purchases up to 30 September 2031. Investment Zone site relief runs to 30 September 2034.15GOV.UK. Tax Reliefs (Part 2) – Investment Zone Special Tax Sites

Filing the Return and Paying

You must file an SDLT return and pay the tax within 14 days of the effective date of the transaction, normally the completion date but earlier if the contract was substantially performed first.16GOV.UK. Stamp Duty Land Tax Online and Paper Returns The return is filed on the SDLT1 form, either online through HMRC’s digital service or by post.17HM Revenue & Customs. SDLTM50100 – Procedure: Duty to Deliver a Land Transaction Return You must file even if no tax is due because a relief applies; the relief is claimed on the return itself.

Once HMRC processes the return, you receive an SDLT5 certificate. HM Land Registry will not register the change of ownership without it.16GOV.UK. Stamp Duty Land Tax Online and Paper Returns Until the SDLT5 arrives and the Land Registry updates its records, the legal transfer of title is not complete.

Penalties and Interest for Late Filing

Missing the 14-day deadline triggers automatic penalties. Filing up to three months late costs a fixed £100. Filing more than three months late doubles that to £200.18Legislation.gov.uk. Finance Act 2003 Schedule 10 – Penalties If the return is still outstanding after 12 months, HMRC can impose an additional tax-related penalty of up to 100% of the SDLT owed, on top of the fixed penalty.

Late payment of the tax attracts interest from the day after the due date until the day you pay. As of January 2026, HMRC charges late payment interest at the Bank of England base rate plus 4%, currently 7.75%.19GOV.UK. HMRC Interest Rates for Late and Early Payments The rate adjusts whenever the Bank of England moves its base rate.

Fraudulent evasion of SDLT is a criminal offence under the Finance Act 2003, carrying a maximum sentence of seven years’ imprisonment on conviction.20Legislation.gov.uk. Finance Act 2003 Part 4 – Offence of Fraudulent Evasion of Tax

Claiming a Refund if You Overpaid

If you overpay SDLT, whether through a calculation error, a post-completion price adjustment, or a relief you forgot to claim, there are two routes back. Within one year of the filing date, you can amend the original return to correct the figures or add a relief claim.16GOV.UK. Stamp Duty Land Tax Online and Paper Returns After that year closes but within four years of the effective date, you can make a separate overpayment relief claim. It must include a signed declaration from each buyer confirming that the information is correct.
