SMSF Trustee Declaration (NAT 71089): Duties, Deadline, and Penalties

If you take on a role as trustee of a self-managed super fund, or as a director of a company acting as its corporate trustee, you must sign the ATO’s SMSF trustee declaration (Form NAT 71089) within 21 days of your appointment.1Australian Taxation Office. Trustee declaration The form is a binding acknowledgment that you understand the legal duties, investment restrictions, and record-keeping obligations that come with managing retirement savings. Missing the deadline exposes you personally to an administrative penalty of 10 penalty units, currently $3,300.2Australian Taxation Office. PS LA 2020/3 – Self-managed superannuation funds

Who Has to Sign

Every individual trustee of an SMSF must complete the declaration. If the fund uses a corporate trustee, every director of that company must sign a separate copy. It does not matter whether the fund is new or has existed for years, and one signature does not cover the group. Each trustee or director signs their own.3Australian Taxation Office. Any change in fund management brings the requirement back. When a new trustee is appointed to an existing fund, or the fund switches from individual trustees to a corporate trustee, the incoming people each sign their own declaration.

Legal Personal Representatives

If a member is under 18, or is an adult who lacks legal capacity (for example, someone under an enduring power of attorney), the member cannot serve as trustee. A legal personal representative or the member’s parent can be appointed on the member’s behalf, and that representative signs the declaration in the same way any other trustee would.4Australian Taxation Office. The 21-Day Deadline

You must sign the declaration within 21 days of becoming a trustee or corporate trustee director.1Australian Taxation Office. Trustee declaration For a brand-new fund, the clock starts when the fund is established. For someone joining an existing fund, it starts on the date the appointment takes effect under the trust deed.

The ATO does not publish a formal extension process. If the window has closed and you still have not signed, its guidance is to sign one as soon as possible.1Australian Taxation Office. Trustee declaration Missing the deadline does not remove the obligation; it puts you in breach and you fix it by signing. Record the exact date you signed, because your auditor will compare that date against the date of your appointment.

What You Are Actually Declaring

The declaration is drawn from the Superannuation Industry (Supervision) Act 1993, and you are confirming that you understand each obligation it lists.

The Sole Purpose Test

The fund must exist solely to provide retirement benefits to members, or death benefits to their beneficiaries. This is exclusivity, not a primary-purpose standard: every decision about the fund’s assets, contributions, and payments has to serve that retirement purpose.5Australian Taxation Office. Core Trustee Duties

The declaration spells out your ongoing legal obligations. You must:

  • Act honestly in all matters concerning the fund.
  • Exercise care, skill, and diligence as if you were managing someone else’s money.
  • Act in the best financial interests of all fund members, not just yourself.
  • Keep personal assets completely separate from the fund’s assets.
  • Protect fund assets with clear evidence of ownership in the fund’s name.
  • Avoid conflicts of interest that would prevent you from properly fulfilling your trustee role.
  • Give members access to information about the fund’s financial situation, investments, and their benefit entitlements.3Australian Taxation Office. Trustee declaration – NAT 71089

Investment Strategyh3>

You are confirming you understand the legal requirement to prepare, implement, and regularly review an investment strategy for the fund. The strategy must address the risks of the fund’s investments, expected returns relative to the fund’s cash flow needs, diversification, liquidity, and whether the fund should hold insurance for its members.3Australian Taxation Office. Trustee declaration – NAT 71089 It is not a one-time exercise and needs to reflect the fund’s current circumstances.

Contributions, Benefits, and Early Access

You are confirming that contributions will only be accepted and benefits only paid when the conditions set by the law and the trust deed have been met. Releasing money to a member who has not met a condition of release is treated as illegal early access to super: those payments lose their tax concessions and are taxed as ordinary income at the member’s marginal rate, and the ATO may impose penalties on you as trustee.6Australian Taxation Office. Conditions of release

You are also acknowledging restrictions on using fund resources to give financial assistance to members or their relatives, and the limits on acquiring assets from related parties.

Administrative Obligations

The declaration also covers appointing an approved auditor each year, lodging the fund’s annual return, and keeping proper records of all decisions made about the fund.

Who Cannot Sign at All

Before you sign, confirm you are eligible to serve as trustee in the first place. Under the SIS Act, certain people are classified as disqualified persons and are prohibited from acting as a trustee or corporate trustee director. Knowingly acting as trustee while disqualified is a criminal offence.

You are a disqualified person if you:

  • Have been convicted of an offence involving dishonesty.
  • Are an undischarged bankrupt or otherwise insolvent under administration.
  • Have been disqualified by the ATO Commissioner under a specific direction.
  • Have been subject to a civil penalty order under superannuation law.

If any of these apply and you sign anyway, you are not just breaching the Act. You are exposing the fund to loss of its complying status, which can result in the entire balance being taxed at the highest marginal rate.

Completing and Storing the Form

Form NAT 71089 is available on the ATO website or through your tax professional. You provide the fund’s official name and either its ABN or TFN, along with your full name and signature.1Australian Taxation Office. Trustee declaration

The signature must be in wet ink. Electronic signatures are not accepted, because trustee declarations fall under the SIS Act, which is excluded from the electronic transactions legislation that permits digital signing elsewhere. This catches people out, especially when trustees live in different cities. Plan the logistics before the 21 days start ticking.

You do not send the signed form to the ATO. It stays in the fund’s own records. You must retain it for at least 10 years, or for as long as it remains relevant to the fund, whichever is longer.7Australian Taxation Office. Compliance Audit of an SMSF In practice, keep it for the life of the fund. A trustee still serving after 10 years still needs their original declaration on file. Store it somewhere secure and accessible, because you will need to produce it at least once a year.

How the Declaration Shows Up at Audit

Every SMSF must be audited annually by an approved SMSF auditor, and the compliance audit includes verifying that all current trustees have signed declarations on file and that those declarations were signed within the required timeframe.7Australian Taxation Office. Compliance Audit of an SMSF

The auditor will also ask you to sign a Trustee Representation Letter as part of the audit evidence. For confirming that you have retained your trustee declaration, the representation letter can serve as sufficient audit evidence on its own.8Australian Taxation Office. Trustee representation letters in SMSF audits

If you cannot produce the signed declaration during the audit, the auditor may issue a qualified audit report and lodge an Auditor Contravention Report with the ATO. That report flags your fund for further investigation.

What It Costs to Get This Wrong

The ATO has a graduated set of responses, and failing on the declaration can trigger any of them.

Administrative Penalty

The penalty for failing to sign as required under section 104A of the Act is 10 penalty units per trustee. Each penalty unit is currently $330, making the total $3,300 per person.9Australian Taxation Office. Penalty units The penalty is assessed against you personally, not the fund, and you cannot use fund assets to pay it.2Australian Taxation Office. PS LA 2020/3 – Self-managed superannuation funds

Education Direction

Where the ATO thinks a trustee’s lack of understanding contributed to a breach, it can issue an education direction. This is a formal written notice requiring you to complete an approved SMSF education course within a set timeframe and provide proof of completion. After finishing the course, you must sign or re-sign the trustee declaration within 21 days.10Australian Taxation Office. Supporting SMSF compliance through education directions Failing to comply with an education direction carries its own penalty of 5 penalty units ($1,650) and can escalate to disqualification.11Australian Taxation Office. Our SMSF non-compliance actions

Disqualification and Loss of Complying Status

At the severe end, the ATO can disqualify a trustee and remove the fund’s complying status. When that happens, the fund’s concessional tax rate disappears and its taxable income, including unrealised capital gains, can be taxed at the highest marginal rate. For a fund with substantial assets, that is financially devastating, and it is the outcome the declaration exists to prevent.
