A single-member LLC needs an EIN only if it has employees, owes excise taxes, withholds tax on payments to a non-resident alien, or elects to be taxed as a corporation or S corporation. Without any of those triggers, the IRS treats your LLC as a “disregarded entity” and lets you use your Social Security number for everything federal tax related.1Internal Revenue Service. When You Can Skip It
By default, the IRS classifies a single-member LLC as a disregarded entity. The business isn’t separate from you for income tax purposes: income and deductions flow onto your Form 1040, usually through Schedule C for an operating business or Schedule E for rental income, and your SSN serves as the tax identification number on everything.1Internal Revenue Service. Single Member Limited Liability Companies
In that setup, with no employees and no excise tax liability, the IRS says plainly that you don’t need an EIN.1Internal Revenue Service. Single Member Limited Liability Companies A solo freelancer, consultant, or online seller working alone fits this description. Your SSN covers what the IRS needs.
When an EIN Becomes Mandatory
Four situations convert the EIN from optional to required:
- You hire employees. An EIN is necessary to withhold federal income tax, report wages on W-2 forms, and pay employment taxes.2Internal Revenue Service. Employer Identification Number
- You owe excise taxes. Businesses dealing in fuel, heavy highway vehicles, sport fishing equipment, firearms, or certain wagering activities file excise returns that require an EIN.3Internal Revenue Service. Excise Tax
- You withhold tax on payments to a non-resident alien, such as a foreign independent contractor.2Internal Revenue Service. Employer Identification Number
- You elect corporate tax treatment. Filing Form 8832 for C corporation status or Form 2553 for S corporation status requires the LLC to have an EIN before the IRS will process the election.4Internal Revenue Service. Form 8832 Entity Classification Election
If any of those applies now, or will soon, apply for the EIN before the triggering event. The Form 2553 S corporation election, for instance, must be filed within 75 days of the start of the tax year you want it to take effect, so the EIN needs to be in hand well ahead of that deadline.
The Employment Tax Trap
Here’s where owners get caught. Even though a single-member LLC is disregarded for income tax, the IRS treats it as a separate entity for employment and certain excise taxes. For wages paid after January 1, 2009, the LLC itself must use its own name and its own EIN when reporting and paying employment taxes.1Internal Revenue Service. Single Member Limited Liability Companies
You can’t put your SSN on payroll filings. If you’ve been running your LLC alone and are about to bring on your first worker, apply for the EIN before you run payroll. You’ll still use your SSN for income tax reporting on your personal return; the EIN exists alongside it for employment tax purposes.
Why Many Owners Get One Anyway
Even when it isn’t required, there are good reasons to apply. The IRS acknowledges this, noting that you can request an EIN for banking or state tax purposes without being federally obligated.2Internal Revenue Service. Employer Identification Number
Opening a Business Bank Account
Most banks ask for an EIN when you open a business account. The SBA lists it as a standard document, while noting that sole proprietors can sometimes substitute an SSN.5U.S. Small Business Administration. Open a Business Bank Account Having the number ready smooths the process. Keeping business funds in a separate account also protects the liability shield your LLC provides; commingling personal and business money is one of the fastest ways to lose that protection in court.
Keeping Your SSN Out of Circulation
Every W-9, vendor form, and credit application that collects your SSN adds exposure. The IRS warns that tax-related identity theft happens when someone uses a stolen SSN to file a fraudulent return, and recommends sharing the number only when necessary.6Internal Revenue Service. Identity Protection Tips An EIN gives you a different number to hand out for routine business dealings. It isn’t a complete shield, since the IRS classifies EINs as personally identifiable information too, but it adds separation between your business paperwork and your personal identity.
Building Business Credit
An EIN is generally required for business credit cards, loans, and lines of credit. Lenders and credit bureaus use it to track your business’s credit history separately from your personal profile. If outside financing is anywhere on your horizon, having an established EIN gives the business a head start.
When You Need a New EIN
If you already have an EIN and something about the business changes, the question is whether to request a fresh one. The IRS says yes in two situations relevant to a single-member LLC owner:
- You terminate the existing LLC and form a new corporation or partnership.
- You’ve been using your SSN and now need to file excise or employment taxes for the first time.
You do not need a new EIN if you change your business name, change your location, change your tax election to a corporation or S corporation, or convert a partnership to an LLC classified as a partnership.7Internal Revenue Service. When to Get a New EIN Rebranding doesn’t start you over; the IRS just wants to be notified. And when you elect corporate taxation, you keep the same EIN rather than getting a new one.
How to Apply
The IRS charges nothing for an EIN. Any website asking for payment is a third-party service, not the IRS. Three application methods are available:
- Online. The IRS application runs Monday through Friday, 7:00 a.m. to 10:00 p.m. Eastern Time, and issues the EIN immediately on completion. The session times out after 15 minutes of inactivity, so gather your information first.8Internal Revenue Service. Instructions for Form SS-4
- Fax. Complete Form SS-4 and fax it to the appropriate IRS office. Expect your EIN within about four business days.9Internal Revenue Service. Where to File Your Taxes for Form SS-4
- Mail. Send Form SS-4 and allow four to five weeks for processing.8Internal Revenue Service. Instructions for Form SS-4
The application asks for the responsible party’s name and taxpayer identification number (SSN or ITIN), the LLC’s legal name and address, the entity type, and the reason you’re applying. The responsible party must be an individual, not another business entity, and for a single-member LLC that’s almost always the sole owner.10Internal Revenue Service. Instructions for Form SS-4 If you’re physically in the United States and have a valid SSN or ITIN, the online application is by far the fastest route.
