The Series 57 exam is FINRA’s Securities Trader Representative qualification, required for anyone executing equity, preferred, or convertible debt trades off-exchange, including on NASDAQ and OTC markets.1FINRA. Series 57 – Securities Trader Representative Exam It has 50 scored multiple-choice questions, costs $105, and requires a 70% to pass.2FINRA. Section 4 – Fees You cannot register on your own. A FINRA member firm has to sponsor you before you can schedule a test date.
Who Has to Take It
FINRA Rule 1220(b)(4) requires Securities Trader registration if you engage in proprietary trading, execute transactions on an agency basis, or directly supervise either activity in equity, preferred, or convertible debt securities traded off-exchange. The same registration applies to anyone primarily responsible for designing, developing, or significantly modifying an algorithmic trading strategy for those securities, and to anyone supervising that work day-to-day.3Financial Industry Regulatory Authority (FINRA). 1220 Registration Categories
An “algorithmic trading strategy” under the rule means an automated system that generates or routes orders. A system that simply routes orders it receives in their entirety to a market center is not covered. One narrow exemption exists: if your trading is conducted principally on behalf of an SEC-registered investment company that controls, is controlled by, or is under common control with your firm, the Securities Trader registration requirement does not apply.
What the License Lets You Do
The Series 57 is deliberately narrow. It authorizes NASDAQ equity trading, OTC equity trading, and proprietary trading. It does not authorize soliciting customers, selling mutual funds, underwriting offerings, or handling options accounts. For client-facing work covering corporate securities, municipal fund securities, options, direct participation programs, investment company products, and variable contracts, you would need the Series 7 instead.4FINRA. Permitted Activities of Registered Representatives If a firm hires you as a trader and later asks you to recommend securities to clients or run options strategies, the Series 57 alone will not cover those activities.
Prerequisites and Sponsorship
Two exams make up the Securities Trader registration: the Securities Industry Essentials (SIE) exam and the Series 57 itself.1FINRA. Series 57 – Securities Trader Representative Exam The SIE is a general knowledge test with 75 multiple-choice questions, a $100 fee, and a passing score of 70.5FINRA. Securities Industry Essentials (SIE) Exam The two are corequisites. You need both for the registration, but you can take them in either order.
One practical difference between them matters a lot if you are job-hunting. The SIE does not require sponsorship: anyone 18 or older can register and sit for it independently. The Series 57 does require you to be associated with and sponsored by a FINRA member firm or another applicable self-regulatory organization member.1FINRA. Series 57 – Securities Trader Representative Exam Passing the SIE on your own first shortens the onboarding timeline once a trading firm hires you.
Form U4, Fees, and the 120-Day Window
Before the firm can register you, it files a Form U4 (Uniform Application for Securities Industry Registration or Transfer) through FINRA’s electronic system. The application asks for ten years of employment history with no unexplained gaps longer than three months (including self-employment, military service, full-time education, or unemployment) and five years of residential history under the same no-gap rule. The disclosure section covers criminal history, civil litigation, regulatory actions, financial events such as bankruptcies and unsatisfied liens, and customer complaints, with a Disclosure Reporting Page for each affirmative response.6FINRA. Form U4 Fingerprinting accompanies the background check.
Accuracy on the U4 is not optional. False or misleading information can trigger a statutory disqualification under Section 3(a)(39) of the Securities Exchange Act of 1934, which bars you from associating with any FINRA member firm.7FINRA. General Information on Statutory Disqualification and FINRAs Eligibility Proceedings If your history is complicated, disclose it fully and let compliance assess it.
The sponsoring firm submits the U4 through the Central Registration Depository (CRD), FINRA’s digital system for securities professionals.8FINRA. Register a New Candidate Fees assessed at filing include:
- Series 57 exam fee: $1052FINRA. Section 4 – Fees
- Initial Form U4 registration fee: $1252FINRA. Section 4 – Fees
- Fingerprinting and background check: typically $30 to $40
- State registration fees: vary by jurisdiction, roughly $50 per state
Most firms cover these for new hires, though smaller shops sometimes pass them through. Ask before you assume. Once FINRA processes the filing, you have a 120-day enrollment window to take the exam.9FINRA. Schedule an Exam Let it expire and the fees are forfeited and the process restarts. Appointments are scheduled through the Prometric testing network using the candidate ID assigned at enrollment.
Exam Structure and Content
The Series 57 has 50 scored multiple-choice questions plus 5 unscored pretest items scattered randomly through the exam. You will not know which are experimental, so treat every question as if it counts. Total time is one hour and 45 minutes, and the passing score is 70.10FINRA. Securities Trader Qualification Examination (Series 57) Content Outline
Function 1: Trading Activities (82%)
The bulk of the exam tests actual trading operations: achieving market-making status, order types, market access rules, clearly erroneous transactions, and display, execution, and trading systems.10FINRA. A significant portion of Function 1 focuses on prohibited activities: insider trading, front-running block transactions, spoofing, prearranged trading, and pump-and-dump schemes.10FINRA. Function 2: Books, Records, Trade Reporting, and Settlement (18%)
Function 2 covers reporting trades to the designated reporting facility, creating and retaining required records of orders and transactions, and clearance and settlement.10FINRA. Test Day
Arrive at the Prometric testing center at least 30 minutes before your appointment to allow for check-in. Bring one valid, unexpired government-issued photo ID with a signature, such as a driver’s license, passport, or military ID.14Financial Industry Regulatory Authority. Prepare for Your Test Center Appointment Security is tight. Phones, watches, wallets, and jewelry go into an assigned locker before you enter the testing room.
The center supplies a four-function calculator, erasable note boards, and dry-erase markers, and nothing else.14Financial Industry Regulatory Authority. Prepare for Your Test Center Appointment If you have been studying with a financial calculator, practice without it beforehand. When you submit the exam, the system generates an unofficial score report immediately, so you will know whether you passed before you leave.
If You Fail
A failed Series 57 triggers mandatory waiting periods before your firm can re-enroll you. After a first or second failure, the wait is 30 days. After a third failure, the wait jumps to 180 days, and every subsequent attempt carries the same 180-day wait.15FINRA. SIE Exam and Exam Restructuring Frequently Asked Questions (FAQ) Each retake needs a new $105 exam fee filed through CRD and a new 120-day scheduling window. Your sponsoring firm must still be willing to re-enroll you; firms are not obligated to keep paying, and some cap the number of attempts they will fund.
Keeping the Registration After You Pass
Passing is the entry point. Keeping the registration active means completing continuing education each year, in two parts:
- Regulatory Element: an annual online training requirement due by December 31 for every registration you hold. FINRA publishes the learning topics for each category by October 1 of the preceding year, covering significant rule changes and regulatory developments relevant to your role.16FINRA. Continuing Education (CE)
- Firm Element: a training program your broker-dealer maintains, built around an annual needs analysis and written training plan, with records of content and completion.16FINRA. Continuing Education (CE)
Missing the Regulatory Element deadline puts your registration into inactive status, meaning you cannot perform activities requiring the registration until you catch up.
If Your Registration Lapses
If you leave the industry or your firm terminates your registration, your Series 57 exam results stay valid for two years. Within that window, a new sponsoring firm can file a Form U4 and restore your registration without a retake. After two years, you have to pass the exam again. SIE results last longer, four years from your pass date, so a return to a sell-side trading desk within that window means retaking only the Series 57, not both exams.
