On each of those dates, EDGAR will not receive, process, or accept any filings, and the paper mailroom is closed as well. Deadlines that land on a closure day roll to the next business day under Exchange Act Rule 0-3.

How Deadlines Shift When They Land on a Closure Day
If a mandatory filing deadline falls on a Saturday, Sunday, or federal holiday, the filing is timely if submitted on the next business day. Exchange Act Rule 0-3 sets this directly: when the last day to file lands on a non-business day, the first business day that follows becomes the effective due date.3eCFR. 17 CFR 240.0-3 – Filing of Material With the Commission This applies across Exchange Act filings, including 10-K annual reports, 10-Q quarterly reports, 8-K current reports, and Form 4 insider ownership disclosures.
The shift matters most when short-window filings run into a holiday cluster. A Form 4 is normally due within two business days of the reported transaction. An insider who sells shares on the Wednesday before Thanksgiving would ordinarily face a Friday deadline, but with Thanksgiving on Thursday, the count skips the holiday and the deadline lands the following week. Calculating in either direction is worth doing carefully.
EDGAR Hours and the 5:30 p.m. Filing-Date Cutoff
On regular business days, EDGAR accepts filings from 6:00 a.m. to 10:00 p.m. Eastern Time.4U.S. Securities and Exchange Commission. Open until 10:00 p.m. does not mean same-day credit until 10:00 p.m. Most filings transmitted after 5:30 p.m. ET receive the next business day’s filing date. A filing that begins transmission at or before 5:30 p.m. and is accepted gets the current day’s date. A filing that starts at 5:31 p.m. is stamped the following morning.5U.S. Securities and Exchange Commission. Section 16 filings are the exception. Forms 3, 4, and 5 receive a same-day filing date if submitted by 10:00 p.m. ET.6U.S. Securities and Exchange Commission. SEC Holidays vs. Market Holidays: The 2026 Mismatches
The SEC calendar does not match the stock exchange calendar, and 2026 has divergences running both ways.
Good Friday, April 3: Markets Closed, SEC Open
The NYSE and NASDAQ close for Good Friday every year.7NYSE. Holidays and Trading Hours Good Friday is not a federal holiday, so the SEC stays open and EDGAR runs on its normal schedule. Filing deadlines that fall on April 3 remain in effect, and no extension applies.
Columbus Day and Veterans Day: SEC Closed, Markets Open
Monday, October 12 and Wednesday, November 11 are federal holidays, so the SEC and EDGAR are closed. The NYSE and NASDAQ trade on normal schedules.8NASDAQ. US Stock Market Holiday Schedule Trading activity on those days can trigger filing obligations, such as an insider transaction that requires a Form 4, but EDGAR will not accept the submission until the next business day.
Early Market Closes on November 27 and December 24
The exchanges close early at 1:00 p.m. ET on Friday, November 27 (the day after Thanksgiving) and Thursday, December 24 (Christmas Eve).7NYSE. Holidays and Trading Hours The SEC does not close early on either day. EDGAR keeps its usual hours and the 5:30 p.m. filing-date cutoff still governs.
If You Cannot File on Time: Form 12b-25
When a company knows it will miss a 10-K or 10-Q deadline, Form 12b-25 (the Notification of Late Filing, sometimes called Form NT) is the safety valve. It must be filed no later than one business day after the original due date.9eCFR. 17 CFR 240.12b-25 – Notification of Inability to Timely File
A timely Form 12b-25 extends the deadline by up to fifteen calendar days for a 10-K and five calendar days for a 10-Q, measured from the original due date. The form must explain why the deadline could not be met and confirm that the delay could not have been avoided without unreasonable effort or expense. Missing the Form 12b-25 window or running past the grace period has consequences beyond a late stamp. A delinquent filer loses eligibility to use Form S-3, cannot make sales under effective registration statements, and can lose access to Rule 144 for shareholder resales.10U.S. Securities and Exchange Commission. Staff are available from 9:00 a.m. to 5:30 p.m. ET on weekdays, excluding federal holidays.11SEC.gov. Filer Support and Resources Voicemail is available outside those hours, but a live person is not. If a filing question is unresolved the day before a holiday, resolve it before the close of business. Waiting until the holiday and then finding a technical problem leaves no one to call.
