Pine Gate Renewables Lawsuit: Liens, Bonds, and WARN Claims

The Pine Gate Renewables lawsuit landscape centers on a single pre-bankruptcy contract suit filed by Gallatin Power Partners over the Sunstone Solar project, plus a cluster of subcontractor, vendor, surety, and creditor claims that were folded into the company’s Chapter 11 case in the Southern District of Texas. Most of that litigation has now been resolved through the automatic stay, court-approved settlements, or the asset sales that closed before the plan was consummated on April 22, 2026.

The Gallatin Power Partners Lawsuit

The most prominent standalone lawsuit was filed on October 28, 2025, just days before Pine Gate’s bankruptcy petition. Gallatin Power Partners LLC sued Pine Gate Renewables and multiple Sunstone Solar entities in the U.S. District Court for the Southern District of New York (Case No. 1:25-cv-08946). Gallatin had originally developed the Sunstone solar site in Morrow County, Oregon before Pine Gate acquired it in 2023, and its complaint challenged Pine Gate’s equity claim to the project.1Law360. Once Pine Gate filed for Chapter 11 on November 6, 2025, the defendants invoked the automatic stay. Judge John P. Cronan stayed the case on November 12, 2025, denying Gallatin’s motion for a temporary restraining order without prejudice. The Sunstone project itself moved through the bankruptcy auction and was sold to Amazon on January 8, 2026 for $83 million, with the court approving the sale on January 12, 2026. Under the sale terms, Amazon agreed to work with Gallatin to manage the remaining development phases of the Sunstone project.2PV Magazine USA. Subcontractor, Vendor, and Mechanic’s Lien Claims

The bulk of the legal activity around Pine Gate came from its construction subsidiary, Blue Ridge Power, which had persistent cost overruns and payment disputes with subcontractors and vendors long before the bankruptcy. Those disputes turned into filed claims once the case opened.

Two subcontractors, Power Construction JR, Inc. and Power Construction G Inc., filed notices to preserve mechanic’s liens against project properties. Blue Moon Energy, LLC filed a claim exceeding $40.6 million against the Blue Ridge Power estate, then withdrew it in January 2026. The court also approved a settlement involving Blue Ridge Power Holding Company, The Hanover Insurance Company, ACT Power Services, and Fundamental.4Omni Agent Solutions. Employee Layoffs and WARN Act Notices

Pine Gate and Blue Ridge Power filed two large WARN Act notices, but the file does not report a resulting WARN lawsuit.

In September 2025, Blue Ridge Power president David Sanders submitted a WARN Act notice to the North Carolina Department of Commerce disclosing 517 position eliminations in Asheville and Fayetteville, with roughly two-thirds of the cuts in Fayetteville. It ranked among North Carolina’s largest layoffs of the year.6News & Observer. The Bankruptcy Case Behind the Claims

Pine Gate Renewables and certain subsidiaries filed voluntary petitions on November 6, 2025 in the U.S. Bankruptcy Court for the Southern District of Texas, assigned to Judge Christopher M. Lopez (Case No. 25-90669). Estimated assets and liabilities each fell in the $1 billion to $10 billion range, with between 5,001 and 10,000 creditors.8PACER Monitor. Pine Gate Renewables, LLC
