For calendar-year partnerships filing for tax year 2025, the Form 1065 deadline is Monday, March 16, 2026. The statutory rule under 26 U.S.C. § 6072(b) sets the due date as the 15th day of the third month after the partnership’s tax year ends, but because March 15, 2026 falls on a Sunday, the deadline moves to the next business day.1Office of the Law Revision Counsel. 26 USC 6072 – Time for Filing Income Tax Returns2Internal Revenue Service. Publication 509 (2026), Tax Calendars The partnership itself owes no income tax on this return; Form 1065 is informational, and each partner picks up their share of income, deductions, and credits on their own return through a Schedule K-1.3Internal Revenue Service. Fiscal-Year Partnerships
The same rule applies to fiscal-year filers. Count three months forward from the end of your tax year and file by the 15th. A partnership with a June 30 year-end files by September 15. A partnership closing its books October 31 files by January 15.1Office of the Law Revision Counsel. 26 USC 6072 – Time for Filing Income Tax Returns
Note that partnerships get one month less than individual fiscal-year filers, who have until the 15th day of the fourth month. If a partnership dissolves mid-year, the short-period return follows the same formula: three months after the close of the short year. A calendar-year partnership that winds up on August 20 files its final return by November 15.
Every domestic partnership has to file unless it had no income and claimed no deductions or credits for the year. Publicly traded partnerships taxed as corporations under IRC § 7704 file Form 1120 instead.4Internal Revenue Service. Instructions for Form 1065 (2025)
Getting a Six-Month Extension
If you need more time, file Form 7004 by the original due date. The extension is automatic — six months, no reason required, no IRS approval needed as long as the form is complete and timely.5Internal Revenue Service. About Form 7004, Application for Automatic Extension of Time To File Certain Business Income Tax, Information, and Other Returns For calendar-year 2025 returns, Form 7004 is due March 16, 2026, and the extended deadline becomes September 15, 2026.
One important limit: extending the time to file does not extend the time to pay. Most partnerships owe no tax with Form 1065, but any amounts due (such as withholding tax on foreign partners under IRC § 1446) must still be paid by the original deadline. Filing Form 7004 without paying triggers a separate failure-to-pay penalty on the unpaid balance.6Internal Revenue Service. Form 7004 (Rev. When Partners Receive Their K-1
The partnership has to furnish a Schedule K-1 to each partner by the same date Form 1065 is due.3Internal Revenue Service. About Form 1065, U.S. Return of Partnership Income For 2025 calendar-year returns, that’s March 16, 2026. If the partnership extends, the K-1 delivery date extends with it, pushing out to September 15, 2026.
That creates a timing squeeze for partners. Individual Form 1040 is due April 15, so a partner waiting on a K-1 from an extended partnership almost always has to file their own extension on Form 4868, moving their personal deadline to October 15.8Internal Revenue Service. Partners Instructions for Schedule K-1 (Form 1065) Partners don’t attach the K-1 to their 1040 unless specifically required; they report the numbers from it and keep the form with their records.
What a Late Return Costs
The late-filing penalty under IRC § 6698 is $245 per partner for each month or partial month the return is late, capped at 12 months. That applies to returns due in 2026.9Office of the Law Revision Counsel. 26 USC 6698 – Failure to File Partnership Return The clock runs from the original due date, or from the extended due date if Form 7004 was filed on time.
Multiplied out, this gets expensive quickly. A 10-partner firm four months late owes $9,800. A 50-partner firm hitting the 12-month cap owes $147,000. Because partnerships generally don’t pay income tax directly, this penalty is the main financial risk a late return carries.
The same penalty applies to returns that are filed on time but incomplete. Leaving out required information about the partnership’s operations is treated as a failure to file.9Office of the Law Revision Counsel. 26 USC 6698 – Failure to File Partnership Return
Getting the Penalty Removed
Three paths exist for erasing or reducing a § 6698 penalty. Which one fits depends on the partnership’s size, prior compliance, and the facts behind the late filing.
Small Partnership Relief Under Rev. Proc. 84-35
A partnership with 10 or fewer partners can get the penalty waived under a long-standing IRS presumption of reasonable cause. All of the following must be true:10Internal Revenue Service. Understanding Your CP162B Notice
- No more than 10 partners during the year, with a married couple filing jointly counted as one partner.
- Every partner is a natural person (not a nonresident alien) or the estate of a natural person.
- Each partner’s share of every partnership item is the same as their share of every other item.
- The partnership did not elect into the centralized partnership audit regime under IRC §§ 6221–6234.
All partners must also have timely filed their own returns and correctly reported their share of partnership income. If a notice arrives (often a CP162), a response letter citing Rev. Proc. 84-35 and confirming each condition usually clears it.
First-Time Abatement
Partnerships with a clean record qualify for first-time abatement, and the § 6698 penalty is specifically eligible.11Internal Revenue Service. 20.1.1 Introduction and Penalty Relief The partnership must have filed the same type of return for the three prior tax years with no unresolved penalties in that window. For larger firms that can’t use Rev. Proc. 84-35, this is often the quickest route.
Reasonable Cause
Any partnership can argue reasonable cause by showing it exercised ordinary business care and prudence but still could not file on time.12Internal Revenue Service. Penalty Relief for Reasonable Cause Natural disasters, destruction of records, serious illness of the person responsible for the return, and reliance on incorrect advice from a tax professional can all support a request. The IRS judges each case on its facts, and a bare assertion without documentation rarely succeeds.
Two Related Deadlines to Watch
If the partnership has foreign partners, Form 8804 for IRC § 1446 withholding follows the same filing deadline as Form 1065, and any withholding tax owed must be paid by that original date regardless of extensions.7Internal Revenue Service. Reporting and Paying Tax on Partnership Withholding Separately, partnerships with more than 100 partners must file Form 1065 electronically; smaller partnerships may e-file but aren’t required to.13Internal Revenue Service.
