A New York LLC publication notice is a short paragraph, published in two county-designated newspapers, that announces the formation of your LLC and repeats the key facts already on file with the state. Here is an example of a New York State LLC publication notice, along with what each line has to include, how to get it into print, and what it will cost you.
Sample Publication Notice
Nearly every notice you’ll see in a designated newspaper reads like a variation of this:
Notice of Formation of [Your LLC Name], LLC. Articles of Organization filed with the Secretary of State of New York (SSNY) on [Filing Date]. Office location: [County Name] County. SSNY designated as agent of LLC upon whom process against it may be served. SSNY shall mail process to: [Mailing Address]. Purpose: Any lawful purpose.
If your LLC has a separate registered agent, add a sentence after the SSNY designation: “[Agent Name], [Agent Address], is designated as the registered agent of the LLC upon whom process against it may be served.” If your Articles of Organization set a specific dissolution date, insert that date before the purpose statement.1New York State Senate. Before you send the draft to the newspapers, compare it line by line against the filing receipt you received when you filed your Articles of Organization. The LLC name, filing date, and county must match character for character. A mismatch will cause the Department of State to reject your Certificate of Publication when you file it later.
What the Notice Must Contain

- The LLC’s exact legal name, matching the Articles of Organization.
- The date the Articles of Organization were filed with the Department of State. If the LLC’s formation date differs from the filing date, include both.
- The county in New York where the LLC’s office is located, as stated in the Articles of Organization.
- The street address of the principal business location, if the LLC has one.
- A statement that the Secretary of State has been designated as the LLC’s agent for service of process, plus a mailing address where the Secretary of State should forward legal papers.
- If the LLC has designated a private registered agent in addition to the Secretary of State, that agent’s name and New York address.
- If the Articles of Organization specify a dissolution date, that date.
- A description of the LLC’s business purpose. Most LLCs use “any lawful purpose,” and that broad language satisfies the statute.
Every line has a statutory reason for being there. The SSNY designation, for instance, tells the public that anyone suing the LLC can serve the Secretary of State, who will then forward the papers to the mailing address in the notice.
Sample Notice for a Foreign LLC
An LLC formed outside New York that registers to do business in the state has to publish under Section 802, and its notice needs more information than a domestic notice. Beyond the standard elements, it must include the home jurisdiction and original formation date, the address of the office maintained in the home jurisdiction (or the principal office if no home office is required), and the name and address of the official in the home jurisdiction where the LLC’s certificate of organization is filed.2New York State Senate. How To Publish the Notice

First, contact the County Clerk in the county listed on your Articles of Organization. The clerk designates two newspapers, one printed daily and one printed weekly, and you don’t get to pick them. If the clerk hasn’t designated a daily or weekly paper in your county, you can publish in a qualifying newspaper from an adjacent county.1New York State Senate. Second, submit your notice to both designated newspapers and pay their advertising fees. The notice must appear once per week for six consecutive weeks in each paper. Publishing in a non-designated paper does not count, no matter how legitimate the paper.
Third, once the six-week run finishes, each publisher will give you a notarized affidavit of publication.

What Publication Costs
The $50 state filing fee is the easy part. Newspaper advertising is the real expense, and it varies dramatically by county. Industry data for 2026 shows total publication costs ranging from roughly $395 in Albany County to $1,795 in Manhattan.

The county you publish in is the county listed on your Articles of Organization, not necessarily where you physically operate. What Happens If You Miss the Deadline
If you don’t file proof of publication within 120 days of formation, your LLC’s authority to do business in New York is automatically suspended.3New York Department of State. Certificate of Publication for Domestic Limited Liability Company
Suspension doesn’t dissolve the LLC or void contracts you’ve already signed. The entity still legally exists and your personal liability protection stays intact. What suspension does is strip the LLC of its ability to file or maintain a lawsuit in a New York court. If a business dispute arises while you’re suspended, you can’t enforce a contract until you cure the deficiency.
The cure is the same process, done late. Complete publication, file the Certificate of Publication with the affidavits and the $50 fee, and the suspension is annulled.
