Is Merrill Lynch a Fiduciary? Advisory, Brokerage, Rollovers

Merrill Lynch is a fiduciary when you hold an investment advisory account with the firm, and it is not a fiduciary when you use a standard brokerage account. The firm’s legal name, Merrill Lynch, Pierce, Fenner & Smith Incorporated, is registered with the SEC as both a broker-dealer and an investment adviser, which makes it a “dual registrant.”1Merrill Lynch. Client Relationship Summary Which hat the firm wears, and therefore which standard of care you get, depends on the account you opened and the service being provided at the moment.

When Merrill Lynch Owes You a Fiduciary Duty

If you are enrolled in one of Merrill Lynch’s investment advisory programs, the firm is acting as your investment adviser under the Investment Advisers Act of 1940 and owes you a fiduciary duty.2Office of the Law Revision Counsel. 15 USC Chapter 2D, Subchapter II – Investment Advisers Merrill Lynch’s own Form CRS describes these programs as providing “fiduciary services.”1Merrill Lynch. Client Relationship Summary

That duty has two parts. The duty of care requires the firm to give advice in your best interest and to seek the best possible execution on your trades, weighing total cost, execution speed, reliability, and the value of any research alongside commission.3Securities and Exchange Commission. Compliance Issues Related to Best Execution by Investment Advisers The duty of loyalty requires the firm to put your interests ahead of its own and to either eliminate conflicts of interest or disclose them fully. The Advisers Act makes it unlawful for an adviser to use any scheme to defraud a client or engage in any practice that operates as a deceit.2Office of the Law Revision Counsel. 15 USC Chapter 2D, Subchapter II – Investment Advisers

This obligation is ongoing. For as long as the advisory relationship exists, Merrill Lynch has a continuing duty to monitor your portfolio and update its recommendations as your circumstances change. Advisory accounts are usually billed as a percentage of assets under management rather than per trade. At Merrill Lynch, the maximum advisory fee when working with an adviser is 1.75 percent of assets, and an additional manager fee of up to 0.65 percent may apply depending on the strategy you choose.4Merrill Lynch. When It Does Not: Brokerage Accounts and Reg BI

If you hold a standard brokerage account, Merrill Lynch is not your fiduciary. Instead, the firm must comply with Regulation Best Interest, which took effect in June 2020.5eCFR. 17 CFR 240.15l-1 – Regulation Best Interest Reg BI sits above the old “suitability” rule but stops short of a fiduciary standard. It imposes four obligations on the broker-dealer:

  • Disclose, in writing before or at the time of a recommendation, that the firm is acting as a broker-dealer, along with material fees and conflicts of interest.5eCFR. 17 CFR 240.15l-1 – Regulation Best Interest
  • Exercise reasonable diligence to understand a product’s risks, rewards, and costs, and have a reasonable basis to believe the recommendation is in your best interest given your investor profile.
  • Maintain written policies to identify conflicts, disclose or eliminate them, and mitigate incentives that would push the firm to favor its own interests.
  • Establish and enforce overall compliance procedures.

The practical difference from a fiduciary duty is timing. Reg BI applies only at the moment a recommendation is made. Once the trade is done, the broker-dealer has no ongoing duty to monitor the account or revisit the advice unless it has separately agreed to.6Securities and Exchange Commission. Regulation Best Interest and the Investment Adviser Fiduciary Duty Brokerage accounts generally charge per-trade commissions rather than ongoing asset-based fees.

Retirement Accounts and Rollovers

Retirement money sits in its own category. When an employer-sponsored plan such as a 401(k) is involved, the Employee Retirement Income Security Act applies. ERISA treats anyone who exercises discretionary authority over plan assets or provides investment advice for a fee as a fiduciary, held to the care, skill, prudence, and diligence a prudent person familiar with such matters would use.7U.S. Department of Labor. FAQs About Retirement Plans and ERISA8eCFR. 29 CFR Part 2550 – Rules and Regulations for Fiduciary Responsibility A fiduciary that breaches these duties can be held personally liable for losses to the plan.

Rollovers are the pressure point. In 2024, the Department of Labor finalized a Retirement Security Rule that would have required advisers making rollover recommendations to meet fiduciary standards, including giving prudent and loyal advice, avoiding misleading statements, and charging only reasonable fees.9U.S. Department of Labor. Retirement Security Rule and Amendments to Class Prohibited Transaction Exemptions for Investment Advice Fiduciaries Federal courts in Texas stayed the rule before it took effect, and it remains blocked as of early 2026. In its absence, the standard on a rollover recommendation reverts to the account type: an advisory account triggers the Advisers Act fiduciary duty, while a brokerage account is governed by Reg BI.

The Same Adviser Can Switch Roles

Because Merrill Lynch is dually registered, the same financial professional can shift between advisory and brokerage capacities during a single conversation. The SEC requires broker-dealers to disclose the capacity in which they are acting before or at the time of any recommendation, and for dual registrants, the general Form CRS is not enough on its own. The firm may satisfy the rule by stating a default capacity and then flagging any change, for example by disclosing that all recommendations are made in a broker-dealer capacity unless expressly stated otherwise.10Securities and Exchange Commission. Regulation Best Interest – The Broker-Dealer Standard of Conduct

Certain moments also trigger a fresh delivery of the firm’s Form CRS: opening a new type of account, receiving a recommendation to roll over retirement assets, or being offered a new advisory service.11eCFR. 17 CFR 275.204-5 – Delivery of Form CRS Each of these is a signal that the standard of care may be changing. If you hold both advisory and brokerage accounts with Merrill Lynch, read these disclosures carefully.

How to Check Which Standard Applies to Your Account

Three documents will tell you what you need to know.

Start with the Form CRS, or Client Relationship Summary. Every registered investment adviser and broker-dealer must deliver this to retail investors before opening an account.11eCFR. 17 CFR 275.204-5 – Delivery of Form CRS Merrill Lynch’s version distinguishes its brokerage and advisory roles and labels the advisory programs as providing “fiduciary services.”1Merrill Lynch. Client Relationship Summary

Next, look at your Client Relationship Agreement or Account Opening Agreement. This is the contract that defines the relationship. It will specify whether the firm’s duty is ongoing (advisory) or limited to specific recommendations (brokerage). The fee structure is a quick tell: a percentage-of-assets fee usually signals an advisory relationship with fiduciary protections, while per-transaction commissions point to a brokerage relationship under Reg BI.

Finally, FINRA’s BrokerCheck lets you verify your financial professional’s registration status. A BrokerCheck report includes current registrations, licenses, and the firms the person has been associated with.12FINRA.org. About BrokerCheck If the individual is listed as an Investment Adviser Representative, that person can serve in a fiduciary capacity for advisory accounts.

What Happens If You Have a Dispute

The forum for a dispute depends on the account. Because Merrill Lynch is a FINRA member, brokerage disputes generally go through FINRA arbitration when the customer requests it or a written agreement requires it.13FINRA.org. FINRA Rule 12200 – Arbitration Under an Arbitration Agreement or the Rules of FINRA Advisory disputes are less uniform. FINRA requires dually registered firms to arbitrate disputes that arise from their FINRA member activities, so a complaint tied to advisory services can still end up in FINRA arbitration depending on the terms of your client agreement.14FINRA.org.
