Is Belize a tax haven? Not in the classic sense anymore, but not quite a normal jurisdiction either. Belize still offers zero local tax on foreign-source income earned by non-resident companies, and it still has no capital gains tax. What it no longer offers is the secrecy and the paper-only presence that defined offshore Belize a decade ago. Bearer shares are gone, beneficial ownership is on the record with the regulator, and companies conducting certain activities must prove real operations in the country. For a US person, the harder question is not what Belize charges, but what the IRS already requires you to report and pay regardless.
The Yardstick: How Tax Havens Are Defined
The OECD set out four criteria in the late 1990s that still frame the debate. A tax haven typically shows zero or only nominal taxation on relevant income, lacks effective information exchange with foreign tax authorities, lacks transparency in its legal and administrative framework, and does not require real economic activity for entities registered there.1Organisation for Economic Co-operation and Development. The OECDs Project on Harmful Tax Practices: The 2001 Progress Report
A jurisdiction does not have to fail every test to attract scrutiny. Failing one or two, especially on information exchange or substance, is enough to land on an international watchlist. Historically, Belize failed on all four. The reforms since 2019 were designed to pass at least two of them, with mixed results.
Where Belize Sits on International Lists
Belize has moved on and off the EU’s list of non-cooperative jurisdictions repeatedly. It was blacklisted in March 2019, removed in November 2019, re-added in October 2023, and removed again in February 2024.2Council of the European Union. Timeline – EU List of Non-Cooperative Jurisdictions As of February 2026, Belize sits on Annex II, the EU’s greylist of countries that have made commitments to reform but have not finished delivering on them. Falling back onto the blacklist carries real consequences for EU-based counterparties: withholding tax measures and enhanced due diligence when transacting with Belizean entities.3Council of the European Union. EU List of Non-Cooperative Jurisdictions for Tax Purposes
On information exchange, Belize signed the Multilateral Competent Authority Agreement in October 2015 and adopted the Common Reporting Standard. Belizean financial institutions now collect and automatically share information on non-resident account holders with their home tax authorities.4Financial Services Commission Belize. Automatic Exchange of Financial Information For a US person opening a Belize bank account, that means data on balances and account activity flows back to the IRS through the same pipeline that applies to any CRS or FATCA-partner jurisdiction.
What Changed for the Belize IBC
The International Business Company is the vehicle that built Belize’s offshore reputation, and it is the clearest place to see what the reforms did and did not touch.
Under the original model, IBCs owned by non-residents and doing business outside Belize paid no local tax on foreign-source income.5Council of the European Union. Outcome of Proceedings – Belizes Foreign Source Income Exemption Regime Bearer shares were permitted. Nominee directors and shareholders could be appointed. No beneficial ownership information appeared on any public register. You could own a legal entity in Belize whose true owner was effectively invisible, and that entity owed Belize nothing.
The post-2019 picture is different. The Belize Companies (Amendment) Bill of 2023 prohibits issuing or exchanging bearer shares, bearer share warrants, or bearer share certificates. Registered agents must maintain registers of directors and beneficial owners, and Financial Services Commission guidelines issued in 2025 require legal persons to keep that information accurate and current. IBCs licensed to trade in financial derivatives and securities now pay a 1.75% business tax on gross receipts from those transactions, which breaks the blanket exemption that used to apply.6Belize Tax Service Department. BTSD Advisory No. 002/2021 – International Business Companies Licensed to Trade in Financial and Commodity Based Derivatives and Other Securities and Payments to Non-Residents
What survives: an IBC that does no business inside Belize and earns only foreign-source income from non-residents still pays no Belizean income or business tax. The exemption still exists; the anonymity around it does not.
Economic Substance: Who Has to Prove Real Operations
The Economic Substance Act of 2019 was the single biggest change.7National Assembly of Belize. Economic Substance Act, 2019 Before it, an IBC could exist as a line in a registry with a registered agent address. After it, entities engaged in certain activities have to demonstrate they are actually operating from Belize.
Covered Activities
The Act reaches entities registered under the International Business Companies Act and other designated laws that carry out any of the following:
- Banking
- Insurance
- Fund management
- Financing and leasing
- Headquarters business
- Distribution and service centre operations
- Shipping
- Holding company activities, where the holding company or a subsidiary engages in any of the above
Entities that do none of these activities are not subject to the substance requirements.8Financial Services Commission of Belize. Guidance Notes on the Belize Economic Substance Act 2019 A passive holding company that owns no subsidiaries engaged in the listed work falls outside the scope. That carve-out is worth noting, because it is why Belize can argue the IBC framework survived even after the reforms.
The Substance Test
Covered entities have to show all of the following in Belize: core income-generating activities taking place in the country; adequate operating expenditure spent locally; qualified full-time personnel employed in Belize; and strategic management and control exercised from within the country. Entities that can prove tax residence in another jurisdiction are exempt from the substance test, provided they submit the proof to the Financial Services Commission.7National Assembly of Belize. Economic Substance Act, 2019
Penalties
The penalties are not symbolic. The Financial Services Commission can impose administrative penalties up to BZD $350,000 for a single violation, payable within 30 days, with BZD $1,000 per day for continuing breaches. Failing to start a required audit within 60 days can bring up to BZD $150,000. Failing to implement remedial measures after an audit can bring up to BZD $300,000, license suspension or revocation, or being struck off the IBC register. Criminal penalties include fines up to BZD $200,000, imprisonment up to one year, or both.7National Assembly of Belize. What Belize Still Does Not Tax
Three features of Belizean tax law remain genuinely attractive for non-residents.
First, qualifying IBCs owe no income or business tax on foreign-source income, as long as they are not conducting business inside Belize and are not engaged in the specific activities Belize has carved out for taxation.
Second, Belize imposes no capital gains tax, on residents or non-residents, on real property, securities, or other assets.
Third, Belize international trusts under the Trusts Act of 1992 remain exempt from Belizean income tax on foreign-source income when the settlor and beneficiaries are non-residents. The Act also repealed the application of the Statute of Elizabeth to international trusts, which removes the legal basis for fraudulent conveyance claims against trust assets. Foreign judgments are not directly enforceable in Belize; a creditor must file fresh proceedings in Belize and litigate under Belizean law. For asset protection purposes, that combination remains unusually strong.
None of this, on its own, makes a Belize structure useful to a US person. That depends on what the US tax code does when you own one.
What the IRS Does to a US Owner of a Belize Structure
The US taxes its citizens and residents on worldwide income, and it layers reporting rules on top of that. The reporting penalties alone can erase whatever tax benefit a Belize structure was supposed to deliver.
FBAR
Any US person with a financial interest in or signature authority over foreign financial accounts must file a Report of Foreign Bank and Financial Accounts when the combined value of those accounts exceeds $10,000 at any point in the calendar year.10FinCEN. Report Foreign Bank and Financial Accounts The threshold is cumulative across all foreign accounts. The form is FinCEN Form 114, due April 15 with an automatic extension to October 15. Willful violations can draw penalties up to $100,000 or 50% of the account balance, whichever is greater.
FATCA Form 8938
Separately from the FBAR, Form 8938 requires reporting of specified foreign financial assets above threshold amounts that vary by filing status and residence. For an unmarried taxpayer in the US, the threshold is $50,000 on the last day of the tax year or $75,000 at any time during the year. Married couples filing jointly in the US have thresholds of $100,000 and $150,000. US persons living abroad have higher thresholds, up to $400,000 and $600,000 for joint filers.11Internal Revenue Service. Do I Need to File Form 8938, Statement of Specified Foreign Financial Assets
Form 5471 for Ownership of a Belize IBC
A US shareholder who owns 10% or more of a foreign corporation’s voting power or stock value must file Form 5471 with their tax return, even if the company earned no income that year. The penalty for failing to file is $10,000 per annual accounting period per foreign corporation. If the IRS sends a notice and the taxpayer still does not file within 90 days, an additional $10,000 penalty accrues for each subsequent 30-day period, up to a further $50,000. The taxpayer also loses 10% of available foreign tax credits, with an additional 5% reduction for each three-month period the failure continues after the 90-day notice.12Internal Revenue Service. Instructions for Form 5471 (Rev. December 2025)
CFC Rules, Subpart F, and GILTI
When US shareholders collectively own more than 50% of a foreign corporation, it is a controlled foreign corporation. Each US shareholder owning at least 10% must include their share of the corporation’s Subpart F income in gross income, whether or not any distribution is made.13Office of the Law Revision Counsel. 26 US Code 951 – Amounts Included in Gross Income of United States Shareholders Subpart F income covers passive categories such as interest, dividends, royalties, and rents.
A related provision, 26 USC 951A, requires US shareholders of controlled foreign corporations to include “net CFC tested income,” formerly known as GILTI, in gross income each year.14Office of the Law Revision Counsel. 26 USC 951A – Net CFC Tested Income This reaches active earnings as well as passive ones. Between the two regimes, a US-owned Belize IBC produces very little real tax deferral on most types of income.
PFIC Classification
A Belize IBC earning primarily passive income or holding primarily passive assets can be classified as a passive foreign investment company. The threshold is 75% passive income or 50% passive assets. The tax treatment is deliberately punitive: distributions and gains are taxed at the highest ordinary income rate plus an interest charge, unless the shareholder makes elections that require annual reporting. This classification commonly catches Belize IBCs used as holding vehicles for investment portfolios.
So, Is Belize a Tax Haven?
Measured against the OECD’s four factors, Belize is in a middle zone. On taxation, the exemption for foreign-source income earned by qualifying IBCs still exists, and there is no capital gains tax; by that measure, Belize passes the haven test. On information exchange, Belize has adopted the Common Reporting Standard and signed the multilateral agreement, so account data moves automatically to partner jurisdictions.15Belize Tax Service Department. Guidance Note on the Common Reporting Standard for the Automatic Exchange of Information in Tax Matters On transparency, bearer shares are prohibited and beneficial ownership information must be maintained. On substance, the 2019 Act created real requirements with real penalties, though only for entities engaged in the eight covered activities.
The honest description is a low-tax jurisdiction with targeted compliance infrastructure, not a classic haven. The blanket secrecy is gone. The blanket exemption is narrower. The core appeal, zero local tax on foreign-source income for non-resident entities, is still there.
For a US taxpayer, however, that local tax treatment is largely beside the point. FBAR and Form 8938 report the accounts. Form 5471 reports the company. Subpart F and net CFC tested income tax the earnings currently. PFIC rules punish passive holding structures. The US tax code was designed to reach exactly these arrangements, and the reporting penalties for getting it wrong can run higher than any tax a Belize structure could ever save.
