Ireland Dividend Withholding Tax: Exemptions, Forms, and Reclaims

To claim an exemption from Ireland’s dividend withholding tax, you file the correct non-resident declaration form with the Irish company’s paying agent before the dividend record date — and, if you are a US individual or non-corporate entity, you include a current IRS tax residency certificate (Form 6166). File on time and you receive the full gross dividend. File late or incorrectly and the paying agent withholds 25%, leaving you to chase a refund.

US investors who hold Irish shares through American Depositary Receipts get this exemption automatically based on their US address, with no forms to file.

Who Can Claim the Exemption

Irish-resident companies must withhold tax at 25% on dividends and other distributions.1Revenue Irish Tax and Customs. Dividend Withholding Tax (DWT) The default applies to every shareholder in the world. Two groups can get out of it, and neither exemption is automatic.

The first group is Irish-resident “excluded persons,” including Irish companies, registered charities with Revenue charitable tax exemption, pension schemes, collective investment undertakings, qualifying employee share ownership trusts, and approved retirement fund managers.2Revenue Irish Tax and Customs. Dividend Withholding Tax – Exemptions for Residents

The second group — the one most readers of this article belong to — is non-residents who are tax-resident in a “relevant territory.” Irish law defines a relevant territory as an EU or EEA member state (other than Ireland) or any country with which Ireland has a Double Taxation Treaty.3Revenue Commissioners. Dividend Withholding Tax Non-Resident Form V2A The United States qualifies through the US-Ireland tax treaty.

Under Section 172D of the Taxes Consolidation Act, a qualifying non-resident must be beneficially entitled to the dividend, not resident or ordinarily resident in Ireland, resident for tax purposes in a relevant territory, and have filed the proper declaration with a current tax residency certificate.4Chartered Accountants Ireland. Taxes Consolidation Act 1997, Section 172D – Exemption From Dividend Withholding Tax Non-resident companies face extra conditions: the company must not be controlled by Irish residents, or it must be controlled by residents of a relevant territory, or its shares must be substantially and regularly traded on a recognized stock exchange in a relevant territory. Non-resident pension funds and charities also qualify as long as they meet the residency test.5Revenue Irish Tax and Customs. Exemptions for Non-Residents

Why the US Exemption Is Zero, Not 15%

A common misreading of the US-Ireland tax treaty causes confusion. Article 10 of the treaty caps Ireland’s source withholding at 5% for a corporate shareholder holding at least 10% of the voting stock, and 15% in all other cases.6Internal Revenue Service. Convention Between the Government of the United States of America and the Government of Ireland for the Avoidance of Double Taxation Those are ceilings on what Ireland is permitted to charge.

Ireland’s domestic law goes further. Section 172D waives Irish DWT entirely for qualifying non-residents from relevant territories, and the US is a relevant territory. When a US investor files the correct exemption paperwork, Ireland collects nothing at source. The 15% treaty figure is the fallback if the domestic exemption isn’t claimed; it is not the floor.

So the practical outcome for a US investor who files on time is zero Irish withholding. For a US investor who files nothing, 25% is withheld and must be reclaimed, with any amount above the treaty rate recoverable through Revenue’s refund process.

Which Declaration Form You File

Revenue has three non-resident forms, matched to entity type:5Revenue Irish Tax and Customs. Exemptions for Non-Residents

Forms V2A and V2C must be certified by the tax authority of your country of residence. For US persons that means the IRS. Form V2B is a self-declaration from the company but must include the company’s tax identification number in its country of residence. The V2B is valid from the date it is signed until December 31 of the fifth year following, so a single filing can cover years of dividends. The V2A and V2C must be refreshed each year because the tax residency certificate attached to them must cover the year of payment.

Irish-resident excluded persons use a composite form, Form V3, which covers Irish companies, pension schemes, charities, collective investment undertakings, and the other resident categories.9Revenue Commissioners. Composite Resident Form V3 – Dividend Withholding Tax One narrow case needs no form at all: an Irish-resident subsidiary paying its Irish-resident parent can distribute free of DWT without a formal declaration.10Chartered Accountants Ireland. Getting Your IRS Residency Certificate

If you file a V2A or V2C, you need IRS Form 6166 covering the year in which the dividend is paid. A certificate from a prior year will not satisfy Revenue.

To obtain Form 6166, file Form 8802 with the IRS. The user fee is $85 for individual applicants and $185 for non-individual applicants such as corporations, partnerships, and trusts.11Internal Revenue Service. Instructions for Form 8802 Mail the application with the fee at least 45 days before you need the certificate; the IRS will contact you after 30 days if processing runs long.12Internal Revenue Service. Form 8802 – Application for United States Residency Certification If you hold Irish shares year-round, filing Form 8802 in January for the current year gives you a certificate in hand before spring and summer dividend seasons.13Internal Revenue Service. Where and When to Send the Forms

The completed declaration and residency certificate go to the Dividend Paying Agent (DPA) or to the Irish company itself, not to the Irish Revenue Commissioners. For publicly traded Irish companies, the DPA is usually a registrar or transfer agent.

Submit the paperwork before the dividend record date. If the DPA holds a valid exemption declaration when it processes the payment, it releases the full gross dividend. Miss the window and the DPA must withhold the 25% and remit it to Revenue; nothing it holds after the fact can reverse that.

Some paying agents will accept forms well in advance and keep them on file across multiple payment dates. Ask the DPA how it handles filings. With a V2B, one submission can cover up to five years. With a V2A or V2C, plan on sending an updated residency certificate every year.

An Authorised Withholding Agent (AWA) may sit in the chain. An AWA is an intermediary, typically a bank or broker authorized by Revenue, that receives Irish dividends gross and then applies the DWT rules itself: withholding where required, paying gross to exempt shareholders, and filing the returns. When an AWA is involved you file your declaration with it rather than with the underlying company.

The ADR Shortcut for US Investors

Most US investors who hold Irish companies hold them through American Depositary Receipts, and the ADR route sidesteps the entire paperwork process.

Under a special arrangement with Revenue, American depositary banks acting as qualifying intermediaries can pass Irish dividends through without any DWT deduction to beneficial owners whose registered address is in the United States. The exemption is granted on the basis of the US address recorded on the depositary bank’s register. No V2A, no Form 6166, no annual refiling.14Office of the Revenue Commissioners. Dividend Withholding Tax – Details of Scheme, Part 06-08A-01

If you buy an Irish company’s ADRs through a US brokerage account, the dividend arrives in your account with no Irish tax deducted and nothing for you to do. If you instead hold the Irish shares directly on the Irish register, the shortcut does not apply and you need to file the full exemption paperwork.

One caveat: depositary banks typically charge administrative fees on ADR dividends. Those fees are separate from tax and come out of the dividend amount before it reaches your account.

Reclaiming DWT That Was Already Withheld

If the 25% was deducted because the paperwork wasn’t in place, you can claim a refund from Revenue’s DWT Unit in Nenagh, Co. Tipperary. A refund claim must include:

  • The completed refund claim form (published on Revenue’s website as “Claim for Refund of Dividend Withholding Tax”).
  • Original dividend vouchers showing the gross amount and the tax deducted.
  • A copy of the relevant certified declaration form — V2A, V2B, or V2C.
  • A nominee statement if the shares are held in a nominee’s name on your behalf.
  • A power of attorney or authorization letter if someone else is filing for you.15Revenue Commissioners. Claim for Refund of Dividend Withholding Tax

The claim must reach Revenue within four years from the end of the calendar year in which the tax was deducted. DWT withheld on a May 2026 dividend, for example, must be reclaimed by December 31, 2030. The window is generous, but the refund process itself takes months. Getting the exemption on file before the dividend date is always cheaper and faster than reclaiming it afterward.
