Investment Advisor Registration: Forms, Fees, and Exemptions

Anyone who provides investment advice for compensation must register as an investment adviser before taking clients, and the core investment adviser registration requirements come down to three things: register with the SEC or your home state based on how much you manage, file Form ADV through the electronic IARD system, and make sure the individuals giving advice hold the qualifications your state demands. Operating without proper registration carries fines of up to $10,000 per violation, up to five years in prison for willful violations, and a permanent industry bar.1GovInfo. 15 USC 80b-17 – Penalties

Where You Register: SEC or State

The Investment Advisers Act splits jurisdiction by assets under management. A firm with less than $25 million in AUM generally cannot register with the SEC and must register with the state where it keeps its principal office.2Office of the Law Revision Counsel. 15 USC 80b-3a – State and Federal Responsibilities Mid-sized advisers managing between $25 million and $100 million also register at the state level unless a specific exemption pushes them to the SEC.

At $100 million in AUM, a firm may choose to register with the SEC. At $110 million, federal registration becomes mandatory.3U.S. Securities and Exchange Commission. Transition of Mid-Sized Investment Advisers from Federal to State Registration That $100-to-$110 million window is deliberate. It lets a growing firm plan the switch rather than react to a single quarter.

Once you are SEC-registered, portfolio swings won’t force you out on the downside either. The buffer rule lets you keep federal registration until AUM drops below $90 million. If it does, you have 180 days after your fiscal year ends to file Form ADV-W and complete the move back to state registration.4eCFR. 17 CFR 275.203A-1 – Eligibility for SEC Registration; Switching to or from SEC Registration

Smaller firms with clients spread across many states get a different door. If you would otherwise need to register in 15 or more states, you may register with the SEC instead, regardless of AUM.5Investor.gov. Investment Adviser Registration Even after federal registration, states keep authority to require notice filings and collect fees from SEC-registered advisers operating within their borders, so expect state-level filings in each state where you have an office or a meaningful client base.2Office of the Law Revision Counsel. 15 USC 80b-3a – State and Federal Responsibilities

Who Is Exempt from Registration

A few narrow exemptions exist, but most still require a limited filing.

Advisers whose business is limited to venture capital funds are exempt from full registration under Section 203(l). The definition is strict: the fund must cap non-qualifying assets at 20% of committed capital, limit borrowing to 15% of committed capital, and avoid giving investors standard redemption rights.6eCFR. 17 CFR 275.203(l)-1 – Venture Capital Fund Defined Advisers who work solely with private funds and manage less than $150 million in U.S. assets qualify under Section 203(m).7U.S. Securities and Exchange Commission. Exemptions for Advisers to Venture Capital Funds, Private Fund Advisers “Solely” means solely: one account outside the definition ends the exemption.

Firms using either exemption file as Exempt Reporting Advisers. That means a stripped-down Form ADV covering identifying information, organizational structure, other business activities, financial industry affiliations, control persons, and disciplinary history.8U.S. Securities and Exchange Commission. What Form ADV Contains

Form ADV is three documents in one. Draft each before you touch the electronic filing system; incomplete or vague brochures are a common reason filings get bounced or flagged.9U.S. Securities and Exchange Commission. Form ADV General Instructions

Part 1A is the regulatory census. You report business name and structure, ownership, employee counts, AUM, client types, other business activities, affiliations with financial entities, and the disciplinary history of every supervised person.9U.S. Securities and Exchange Commission. Form ADV General Instructions Disciplinary history catches people out. It reaches every supervised person and covers events that predate their arrival at your firm.

Part 2A is the plain-English brochure that prospective clients see. It has to describe your investment strategies, fees, client types, conflicts of interest, and the risks tied to your approach.10Investor.gov. Investor Bulletin: Form ADV – Investment Adviser Brochure Part 2B is a supplement for each supervised person who advises clients, covering education, background, and any disciplinary events.9U.S. Securities and Exchange Commission. Form ADV General Instructions Write these as if a regulator and a skeptical client will both read them carefully. Both will.

SEC-registered advisers also prepare Form CRS, a concise relationship summary for retail investors, meaning any individual seeking services for personal or family purposes. It must cover services, fees, conflicts, and disciplinary history in plain language. Deliver it before or when you enter an advisory agreement with a retail investor, even an oral one. You also redeliver when you recommend a new account type, a retirement rollover, or a service the client hasn’t used before. Existing clients who request a copy must receive it within 30 days.11U.S. Securities and Exchange Commission. Form ADV, Part 3: Instructions to Form CRS

How to File: The IARD System

All Form ADV filings go through the Investment Adviser Registration Depository, an electronic system run by FINRA. Before filing, your firm completes an entitlement process and designates a Super Account Administrator who controls digital access.12FINRA. Super Account Administrator (SAA)

Part 1 data goes into structured fields inside IARD. Parts 2A, 2B, and Form CRS upload as PDFs. The system will not accept a filing unless your IARD Daily Account holds enough to cover the fee, so confirm the balance before submitting.

Registration Fees

SEC filing fees through IARD scale with AUM:13U.S. Securities and Exchange Commission. Electronic Filing for Investment Advisers on IARD: IARD Filing Fees

  • $100 million or more in AUM: $225 initial, $225 for each annual updating amendment
  • $25 million to $100 million: $150 initial, $150 annual
  • Less than $25 million: $40 initial, $40 annual
  • Exempt Reporting Advisers: $150 for the initial report, $150 for each annual update

Routine amendments outside the annual update carry no fee, and Form ADV-W is free.13U.S. Securities and Exchange Commission. Electronic Filing for Investment Advisers on IARD: IARD Filing Fees These are federal fees only; state notice filings have their own charges, which vary. Each individual adviser representative also triggers a $15 IARD processing fee at initial setup and $15 annually.14IARD. IA Representative (RA) System Processing Fees

Requirements for the People Giving Advice

Registering the firm is half the job. The individuals who advise clients need their own credentials, usually at the state level.

Most states require investment adviser representatives to pass the Series 65 exam. It runs 130 questions, allows 180 minutes, requires at least 92 correct answers to pass, and costs $187.15FINRA. Series 65 – Uniform Investment Adviser Law Exam Some states accept certain professional designations instead of the exam, so check your state’s rules before scheduling.

Each representative files a Form U4 through IARD showing the required exams passed or an accepted professional designation.16NASAA. State Investment Adviser Registration Information State fees for representatives range from nothing in a few states to over $200, with most between $50 and $200.

How Long Review Takes and Why Applications Get Denied

The SEC has 45 days after submission to grant registration or begin proceedings to determine whether it should be denied. If proceedings open, they must conclude within 120 days of the original filing date, with possible extensions of up to 90 additional days.17Office of the Law Revision Counsel. 15 USC 80b-3 – Registration of Investment Advisers State timelines vary and can run longer. Watch your IARD account and email during this period, because regulators often request clarifications or brochure revisions, and slow responses stretch the timeline.

The SEC must grant registration when all statutory requirements are met. It will deny when the firm or any associated person has a disqualifying background:

  • Willfully providing false or misleading information in the application or any SEC report
  • A felony or misdemeanor within the past ten years involving securities fraud, theft, forgery, bribery, or similar conduct
  • A court order permanently or temporarily barring the person from acting as an adviser, broker-dealer, or in a related role
  • Revocation or suspension of registration by another regulatory body

These grounds apply equally to the firm and to any person associated with it.17Office of the Law Revision Counsel. 15 USC 80b-3 – Registration of Investment Advisers A single associated person with a disqualifying history can sink the firm’s application, which is why background checks before hiring are standard.

What Registration Commits You To

Registration switches on a fiduciary duty. You cannot place your own financial interests ahead of a client’s, and the SEC has said an adviser “must, at all times, serve the best interest of its client and not subordinate its client’s interest to its own.”18Securities and Exchange Commission. Commission Interpretation Regarding Standard of Conduct for Investment Advisers That standard shapes recommendations, fee arrangements, trading practices, and the duty to disclose conflicts.

Every registered adviser and exempt reporting adviser files an annual updating amendment to Form ADV within 90 days after fiscal year end.9U.S. Securities and Exchange Commission. Form ADV General Instructions You also file promptly whenever information in your Form ADV becomes materially inaccurate. Missing these can lead to revocation.

Federal recordkeeping rules are extensive. Registered advisers keep journals of all transactions, general ledgers, memoranda for every securities order, written client agreements, copies of communications involving advice or recommendations, and a current code of ethics with acknowledgments from supervised persons.19eCFR. 17 CFR 275.204-2 – Books and Records to Be Maintained by Investment Advisers Advertising materials, testimonials, and the calculations behind any performance figures fall in the same bucket.

If your firm has custody of client funds or securities, a further set of rules applies. You must hold client assets with a qualified custodian, ensure clients receive account statements at least quarterly, and arrange an annual surprise examination by an independent public accountant.20eCFR. Investment Advisers Act of 1940 (17 CFR Part 275) Authority to deduct advisory fees from client accounts, standing alone, does not trigger the surprise examination requirement.

Penalties for Operating Without Registration

Willful violations of the Investment Advisers Act carry a maximum criminal fine of $10,000 and up to five years in prison.1GovInfo. 15 USC 80b-17 – Penalties On the administrative side, the SEC imposes civil monetary penalties in three tiers, rising when the conduct involves fraud or causes substantial losses; per-violation caps reach $100,000 for individuals and $500,000 for firms at the top tier. The SEC can also censure the firm, limit its activities, suspend registration for up to twelve months, or revoke it outright.21Office of the Law Revision Counsel. 15 USC 80b-3 – Registration of Investment Advisers Each violation counts separately, so penalties stack quickly on a firm with multiple issues.
