To qualify for an IFC equity investment, a company must operate as a private enterprise in a developing member country, avoid every activity on the IFC’s Exclusion List, show that private capital markets cannot supply the same financing on the same terms, and pass environmental, social, integrity, and development-impact reviews before the IFC’s Board of Directors votes on the deal. The International Finance Corporation typically takes a minority stake of 5 to 20 percent, and the process from first proposal to signed agreement generally runs six months or longer.1International Finance Corporation. Where the Company Must Be and Who Can Own It
Article III of the IFC’s Articles of Agreement restricts the organization to “productive private enterprises in the territories of its members.”2International Finance Corporation. IFC Articles of Agreement The project must sit in a developing member country. The IFC has 186 member countries and concentrates on regions where private capital is scarce.3International Finance Corporation. Where We Work
The private-sector requirement is not absolute. The Articles state that “the existence of a government or other public interest in such an enterprise shall not necessarily preclude the Corporation from making an investment therein.”2International Finance Corporation. IFC Articles of Agreement A company with partial government ownership can still qualify, especially if it runs on commercial terms or is being privatized. Fully state-controlled entities with no private participation fall outside the mandate.
Sectors the IFC Will Not Finance
Even a company that clears every other test can be disqualified by its industry. The Exclusion List blocks IFC financing for the following:4International Finance Corporation. IFC Exclusion List
- Activities illegal under host-country law or international conventions, including certain pharmaceuticals, pesticides, ozone-depleting substances, and wildlife products regulated under CITES
- Weapons and munitions
- Tobacco
- Hard alcohol (beer and wine are not covered by this prohibition)
- Gambling and casinos
- Unbonded asbestos fibers
- Drift-net fishing with nets longer than 2.5 kilometers in the marine environment
The list was amended in December 2025 to remove radioactive materials, effective for transactions mandated after December 31, 2025.4International Finance Corporation. IFC Exclusion List Financial intermediaries receiving IFC equity must screen their own downstream investments against the Exclusion List, plus added prohibitions on forced and harmful child labor and unsustainable logging.
Additionality: Why the IFC and Not a Commercial Investor
Geography and sector alone do not carry a proposal. Every IFC investment has to demonstrate additionality, meaning the IFC contributes something private markets cannot or will not. A company that could raise the same money on the same terms from a commercial bank or private investor generally fails this test.
What counts as additional changes with context. In low-income countries, taking equity risk in an unlisted company often qualifies because local investors will not. In middle-income markets, additionality is easier to show during a financial crisis, when private investors retreat. Beyond capital, the IFC frequently adds value by helping a company strengthen corporate governance, install environmental safeguards, or structure the deal so other investors follow in.
Size of Stake and Type of Instrument
The IFC generally takes between 5 and 20 percent of a company’s equity.5International Finance Corporation. IFC Information Statement FY25 There is no published fixed dollar minimum or maximum; the amount follows from the percentage range and the company’s capital structure. The minority position is deliberate. The IFC wants to catalyze other private investment, not run companies, so management and strategic decisions stay with the founders and operators.
Equity typically takes the form of common or preferred stock that the company cannot be forced to redeem and the IFC cannot put back to the company.5International Finance Corporation. IFC Information Statement FY25 Warrants, put and call options, and profit participation features also appear in the toolkit. The exact structure is deal-specific.
Environmental and Social Standards
Compliance with the eight Performance Standards on Environmental and Social Sustainability is a prerequisite for investment, not an aspiration.6International Finance Corporation. IFC Performance Standards on Environmental and Social Sustainability Each standard addresses a distinct risk area:
- PS 1: Assessment and management of environmental and social risks
- PS 2: Labor and working conditions
- PS 3: Resource efficiency and pollution prevention
- PS 4: Community health, safety, and security
- PS 5: Land acquisition and involuntary resettlement
- PS 6: Biodiversity conservation and sustainable management of living natural resources
- PS 7: Indigenous peoples
- PS 8: Cultural heritage
During appraisal, the IFC assigns the project a risk category:7International Finance Corporation. Environmental and Social Categorization
- Category A: significant adverse risks that are diverse, irreversible, or unprecedented
- Category B: limited risks that are largely site-specific, reversible, and manageable through mitigation
- Category C: minimal or no adverse environmental or social risks
The category affects more than the depth of review. Category A projects must sit in public disclosure for 60 days before the Board of Directors votes; all other projects require 30 days.8International Finance Corporation. Access to Information Policy
What to Prepare
A workable proposal package includes a detailed business plan covering operational strategy and how the IFC’s capital would be used, financial projections, and audited financial statements for at least the three most recent years. Incomplete submissions are one of the more common reasons for delays at initial screening.
Ownership transparency is non-negotiable. The company must supply a clear map of its corporate structure identifying all beneficial owners and parent entities. If the IFC cannot determine who ultimately controls the company, it will not invest.9International Finance Corporation. IFC Integrity Due Diligence Process
Every project is also scored for development impact under the Anticipated Impact Measurement and Monitoring (AIMM) framework. Scoring looks at direct outcomes (jobs created, tax revenue generated, technology transferred) and at market creation potential across five attributes: competitiveness, resilience, integration, inclusiveness, and sustainability.10World Bank Group. AIMM General Guidance Note: Project Assessment and Scoring Guidance Note Be prepared to describe the expected impact in specific, measurable terms.
Integrity Due Diligence
Financials and environmental compliance tend to dominate applicants’ attention, but integrity screening is where many deals quietly fail. The process is broader and deeper than a bank’s know-your-customer check.9International Finance Corporation. IFC Integrity Due Diligence Process
The review usually includes open-source research in multiple languages, industry reference checks, daily screening of individuals and entities against international sanctions lists (including United Nations sanctions and the World Bank’s list of ineligible firms), and, where warranted, engagement of independent external risk consultants and local counsel.9International Finance Corporation. IFC Integrity Due Diligence Process For a financial institution receiving IFC equity, the review extends to the institution’s own anti-money laundering and counter-terrorism financing systems, measured against national law and Financial Action Task Force standards. A private equity fund manager seeking IFC capital is assessed on whether its own integrity screening of downstream investments is adequate.
How the Approval Process Runs
A submitted proposal enters the IFC’s Project Cycle, which moves through several stages:11International Finance Corporation. IFC Project Cycle
- Early Review. An investment officer drafts a project description covering the IFC’s role, expected development contribution, stakeholder benefits, and potential deal-breakers, with lessons from similar past projects. IFC senior management then decides whether to authorize full appraisal.
- Appraisal. IFC staff typically visit the site for in-depth due diligence across financial, environmental, social, and integrity dimensions. A pre-appraisal visit sometimes precedes this to flag issues.
- Management Review. Appraisal findings go to IFC management for internal review and structuring of investment terms.
- Board Approval. The proposal is submitted to the Board of Directors for a vote. Before the vote, the IFC must publicly disclose a Summary of Investment Information for at least 30 days, or 60 days for Category A projects.8International Finance Corporation. Access to Information Policy
- Legal Closing. The legal team drafts and executes the share purchase agreement and shareholders’ agreement.
Start to signed agreements generally takes six months or longer. Transactions in higher-risk countries or with novel structures can run considerably longer. A designated investment officer serves as the primary point of contact throughout.
What Signing Commits the Company To
The investment agreement opens a long-term relationship with reporting and governance obligations. On financial reporting, expect quarterly unaudited results and annual audited financial statements within agreed timeframes, plus an Annual Environmental and Social Performance Report showing continued compliance with the Performance Standards set during appraisal.6International Finance Corporation. IFC Performance Standards on Environmental and Social Sustainability
On governance, the IFC often reserves the right to appoint a board director or a board observer. The shareholders’ agreement typically gives the IFC consent rights over major corporate actions such as changes to share capital, related-party transactions, and sale of substantially all assets. If a company falls out of compliance, the IFC can require corrective action or exercise exit rights written into the original agreement.
The IFC is also not a permanent shareholder. Its Articles of Agreement create an obligation to revolve funds by selling investments to private investors on satisfactory terms. There is no fixed holding period, and the board-approved policy is that the IFC will not sell until its developmental role is complete or can no longer be completed. Exits happen through trade sales to strategic buyers, secondary sales to other investors, IPOs, or company buyback provisions written into the shareholders’ agreement. Because the terms that govern how and when the IFC eventually sells are negotiated before closing, those provisions deserve close attention during the legal drafting stage.12International Finance Corporation.
