How to Renew a Tax Exemption Certificate: Federal and State Deadlines

“Renewing” a tax exemption certificate means two very different things depending on which certificate you hold. Federal tax-exempt status under Section 501(c) has no expiration and no renewal application, but you keep it alive by filing an annual return with the IRS; miss three years in a row and the exemption is revoked automatically.1Internal Revenue Service. Automatic Revocation of Exemption State sales tax exemption certificates usually do expire on a set date and require a real renewal application through the state’s revenue department. Here is how to handle each one, and what to do if you have already fallen behind.

Federal 501(c) Status: The Annual Return Is Your Renewal

If your organization is exempt under Section 501(c), there is no renewal form to submit. The IRS treats your annual information return as ongoing proof that you still qualify.2Office of the Law Revision Counsel. 26 USC 6033 – Returns by Exempt Organizations Most exempt organizations must file some version of the Form 990 series each year. Churches and certain church-affiliated organizations are the main exception and are not subject to the annual filing requirement.1Internal Revenue Service. Automatic Revocation of Exemption

Many organizations assume that once the IRS grants exemption, it stays in place with no further action. That is only half true. No renewal exists, but the annual filing functions as one, and it needs to be treated that way on your calendar.

Which Form 990 Applies

The right form depends on your size, and filing one you have outgrown does not count.

An organization that grows past the 990-EZ thresholds but keeps filing the short form has not met its requirement, and those years count toward the three-year revocation clock.

When It Is Due, and Getting More Time

Form 990 series returns are due on the 15th day of the 5th month after the end of your accounting period.5Internal Revenue Service. Annual Exempt Organization Return: Due Date For a calendar-year organization that means May 15.

Need more time? File Form 8868 for an automatic six-month extension. No IRS approval is required, and you get one extension per tax year.6Internal Revenue Service. Extension of Time to File Exempt Organization Returns Form 990-N cannot be extended, though there is no penalty for filing it late unless it is the third consecutive missed year.5Internal Revenue Service. Keep the IRS’s Contact Information Current

Certain changes need separate notice. If your mailing address, business location, or responsible party changes, file Form 8822-B. A change in the responsible party must be reported within 60 days.7Internal Revenue Service. About Form 8822-B, Change of Address or Responsible Party This matters more than it sounds: if the IRS mails a warning notice about missed returns and your address is stale, you may never see it. Updates to bylaws, articles of incorporation, and governance should be reflected on your annual return, which the IRS uses to confirm you still meet the requirements of your exemption category.8Office of the Law Revision Counsel. 26 USC 501 – Exemption From Tax on Corporations, Certain Trusts, Etc.

Renewing a State Sales Tax Exemption Certificate

State sales tax exemption certificates work on a different clock. Many states issue certificates with fixed expiration dates and require a real renewal application. Validity periods vary widely. Some states issue certificates with no set expiration so long as the underlying information stays current; others require renewal anywhere from annually to every ten years.

The renewal process typically looks like this:

  • Check the expiration date on your current certificate and the issuing state’s requirements.
  • Complete the state’s renewal form, usually available through the department of revenue website.
  • Submit updated organizational information and proof of continued eligibility.
  • Pay any applicable fee. In most states the fee is minimal or zero.

Letting a certificate lapse creates exposure on both sides of a transaction. Your organization may owe back sales tax on purchases made after the expiration date, and vendors who accepted the expired certificate could face liability for uncollected tax. The straightforward fix is a calendar entry for each state’s renewal deadline, set well in advance.

If you operate in several states, keep a tracking list for every active certificate with the issuing state, expiration date, and renewal requirements. When a certificate covers ongoing purchases from a particular vendor, both you and the vendor share responsibility for keeping it current and properly completed.

The Multi-State Shortcut

Organizations buying goods across state lines can simplify the paperwork with the Multistate Tax Commission’s Uniform Sales and Use Tax Resale Certificate, which 36 states have indicated they accept.9Multistate Tax Commission. Uniform Sales and Use Tax Resale Certificate It can often serve as a blanket exemption for ongoing purchases from a specific vendor, but each state sets its own rules for acceptance. California, for example, restricts it to resale purchases only. Verify acceptance with each state’s revenue department before relying on it, since state policies can change without notice to the Commission.

Penalties for Late or Missed Federal Returns

Financial penalties for a late or incomplete Form 990 scale with your size. Under 26 U.S.C. ยง 6652(c), the base statutory penalty is $20 per day, capped at the lesser of $10,000 or 5 percent of gross receipts for the year. For organizations with gross receipts above $1,000,000, the penalty rises to $100 per day with a $50,000 cap.10Office of the Law Revision Counsel. 26 USC 6652 – Failure to File Certain Information Returns, Registration Statements, Etc.

These base amounts are adjusted annually for inflation. For returns required to be filed in 2026, the adjusted penalty for smaller organizations is $25 per day, capped at the lesser of $13,000 or 5 percent of gross receipts. For organizations with gross receipts above roughly $1.3 million, the penalty is $130 per day up to a maximum of $65,000.

Individual managers face separate exposure. If the IRS sends a demand for the overdue return and a responsible person does not comply, that person owes a personal penalty of $10 per day up to $5,000.10Office of the Law Revision Counsel. 26 USC 6652 – Failure to File Certain Information Returns, Registration Statements, Etc.

Automatic Revocation After Three Missed Years

Miss three consecutive annual returns and the IRS automatically revokes your tax-exempt status. The statute makes revocation mandatory; there is no discretion.2Office of the Law Revision Counsel. 26 USC 6033 – Returns by Exempt Organizations Revocation takes effect on the filing due date of the third missed return.1Internal Revenue Service. Automatic Revocation of Exemption The IRS sends a warning notice after two consecutive missed years, but it goes to the address on file.

Once revoked, your organization is treated as a taxable entity. Donations are no longer tax-deductible for donors, and the organization owes federal income tax on its earnings. The IRS publishes a searchable list of revoked organizations, so donors and grantmakers can find the revocation easily.

Getting Federal Status Reinstated

If your exemption has been revoked, reinstatement means filing a new application on the same forms first-time applicants use.2Office of the Law Revision Counsel. 26 USC 6033 – Returns by Exempt Organizations Revenue Procedure 2014-11 sets out four paths; the one you use depends on how quickly you act and your filing history.11Internal Revenue Service. Automatic Revocation – How to Have Your Tax-Exempt Status Reinstated

Streamlined Retroactive Reinstatement

This is the simplest path. It is open to organizations that were eligible to file Form 990-EZ or 990-N during the three years that triggered revocation and have not been revoked before. You must apply within 15 months of the later of the date on your revocation letter (CP-120A) or the date your organization appeared on the IRS revocation list. Submit the appropriate application (Form 1023, 1023-EZ, 1024, or 1024-A) with the user fee. Late-filing penalties for the three missed years are waived if you file those overdue returns along with the application.11Internal Revenue Service. Automatic Revocation – How to Have Your Tax-Exempt Status Reinstated

Retroactive Reinstatement Within 15 Months

Organizations that can’t use the streamlined path, such as those required to file the full Form 990 or Form 990-PF, or those previously revoked, can still seek retroactive reinstatement within the same 15-month window. This path requires a written statement showing reasonable cause for failing to file in at least one of the three missed years, plus all overdue returns marked “Retroactive Reinstatement.”11Internal Revenue Service. Automatic Revocation – How to Have Your Tax-Exempt Status Reinstated

Retroactive Reinstatement After 15 Months

Past the 15-month window, reinstatement is still possible but the standard rises: you must demonstrate reasonable cause for failing to file in all three consecutive years, not just one.11Internal Revenue Service. Automatic Revocation – How to Have Your Tax-Exempt Status Reinstated The IRS evaluates reasonable cause by asking whether your organization exercised ordinary business care in trying to meet its filing obligations.12Internal Revenue Service. Revenue Procedure 2014-11 Factors in your favor include reasonable reliance on erroneous written IRS guidance, events beyond your control, and concrete steps taken to prevent a repeat.

Non-Retroactive Reinstatement

If you cannot establish reasonable cause, you can still apply for reinstatement on a going-forward basis. Exempt status becomes effective on the date the IRS receives the application. The gap between revocation and reinstatement stays taxable, and donations made during that gap are not deductible for the donors who made them.
