How to Perfect a Security Interest Under the UCC

To perfect a security interest under the UCC, a creditor must first have an interest that has attached to the collateral, then take the step Article 9 assigns to that type of collateral: file a UCC-1 financing statement, take possession, obtain control, or rely on automatic perfection in the narrow situations where it applies.1Legal Information Institute. Uniform Commercial Code 9-322 – Priorities Among Conflicting Security Interests in and Agricultural Liens on Same Collateral Perfection is what makes your claim enforceable against other creditors and a bankruptcy trustee. Skip it and your interest still binds the debtor, but almost no one else.

Attach Before You Perfect

Attachment creates the security interest. Perfection makes the world respect it. You cannot do the second without the first, and three conditions all have to be in place for attachment:

  • You have given value — a loan, a line of credit, or some other consideration.
  • The debtor has rights in the collateral, meaning the debtor owns it or has the power to transfer rights in it.
  • The debtor has authenticated a security agreement describing the collateral, or you already have possession or control of it under a security agreement.

If any piece is missing, there is no security interest to perfect. The description in the security agreement matters more than people realize, because it fixes exactly what property secures the debt.

Filing a UCC-1 Financing Statement

Filing is the default method and the one most lenders use. The UCC-1 goes into a public record so other lenders and buyers can search for existing claims before extending credit. That public-notice function is the whole purpose of the system.

What the Form Must Contain

A financing statement is legally sufficient with just three pieces of information: the debtor’s name, the secured party’s name (or a representative’s name), and a description of the collateral.2Legal Information Institute. Uniform Commercial Code 9-502 – Contents of Financing Statement The description can be broader than what sits in your security agreement. Phrases like “all inventory” or “all accounts” work on the UCC-1. Filing fees run roughly $5 to $40 depending on the state, and online filing is widely available.

Getting the Debtor’s Name Right

Most filing failures trace back to the debtor’s name. A financing statement that fails to state the debtor’s name sufficiently is “seriously misleading” and treated as if it were never filed.3Legal Information Institute. Uniform Commercial Code 9-506 – Effect of Errors or Omissions

For a registered organization — a corporation or LLC — use the exact name on the entity’s most recent public organizational filing.4Legal Information Institute. Uniform Commercial Code 9-503 – Name of Debtor and Secured Party Not the trade name, not what appears on the loan application, not a nickname. The name on the articles of incorporation or certificate of formation. For an individual debtor, the rule depends on the state: some require the name on the driver’s license, others accept the legal name.

There is one narrow safety valve. If a search of the filing office’s records under the debtor’s correct name, using that office’s standard search logic, would still pull up your filing, the error is not seriously misleading.3Legal Information Institute. Uniform Commercial Code 9-506 – Effect of Errors or Omissions Do not plan around that exception. Get the name right the first time.

Where to File

You file in the state where the debtor is located, almost always with the Secretary of State’s office.5Legal Information Institute. Uniform Commercial Code 9-501 – Filing Office For a registered organization, “located” means the state of organization, regardless of where it operates. A Delaware LLC headquartered in Texas with a California warehouse gets a Delaware filing.6Legal Information Institute. Uniform Commercial Code 9-307 – Location of Debtor

Collateral tied to real property is different. Minerals, timber, and fixtures get filed with the county recorder’s office where the real property sits.5Legal Information Institute. Uniform Commercial Code 9-501 – Filing Office

Perfection by Possession

For certain tangible collateral you can skip the filing system by taking physical possession. This works for goods, negotiable documents, instruments, money, and certificated securities.7Legal Information Institute. Uniform Commercial Code 9-313 – When Possession by or Delivery to Secured Party Perfects Security Interest Without Filing For money, possession is the only option. You cannot perfect a security interest in cash by filing.8Legal Information Institute. Uniform Commercial Code 9-312 – Perfection of Security Interests in Chattel Paper, Deposit Accounts, Documents, Goods Covered by Documents, Instruments, Investment Property, Letter-of-Credit Rights, and Money

Possession-based perfection lasts only while you keep possession. Hand the collateral back to the debtor without filing and perfection ends. That limitation is why possession rarely works for operating assets the debtor needs day to day, and why filing stays the default.

A third party like a warehouse can hold the collateral for you, but only if it authenticates a record acknowledging it holds the goods for your benefit.7Legal Information Institute. Uniform Commercial Code 9-313 – When Possession by or Delivery to Secured Party Perfects Security Interest Without Filing The warehouse has no obligation to sign. If it refuses, you need another method.

Perfection by Control

Some collateral cannot be held. Deposit accounts, investment property, electronic chattel paper, and letter-of-credit rights are perfected through “control.”9Legal Information Institute. Uniform Commercial Code 9-314 – Perfection by Control For a deposit account, control is the only method. Filing a UCC-1 against a bank account does nothing.

The usual mechanism for control over a deposit account is a three-party control agreement, under which the bank agrees to follow the secured party’s instructions about the account without needing the debtor’s further consent.10Legal Information Institute. Uniform Commercial Code 9-104 – Control of Deposit Account The secured party can also be the bank itself, or become a customer of the bank on the account.

Control carries a priority advantage worth knowing about. A security interest in investment property perfected by control beats one perfected by filing, and the same rule applies to deposit accounts.11Legal Information Institute. Uniform Commercial Code 9-328 – Priority of Security Interests in Investment Property If you are lending against these assets, a control agreement is how you make sure you sit first in line.

Control-based perfection lasts only while control continues. End the control agreement and perfection ends with it.9Legal Information Institute. Uniform Commercial Code 9-314 – Perfection by Control

Automatic Perfection

A handful of security interests are perfected the moment they attach, with no further step required. The common one is a purchase-money security interest in consumer goods.12Legal Information Institute. Uniform Commercial Code 9-309 – Security Interest Perfected Upon Attachment A PMSI in consumer goods arises when a seller finances a buyer’s purchase of an item for personal, family, or household use and retains a security interest in that item. The furniture store financing a couch has an automatically perfected PMSI as soon as the paperwork is signed and the couch leaves the showroom.

This shortcut applies only to consumer goods. A PMSI in business inventory or equipment does not perfect automatically. For inventory specifically, the PMSI holder must file a financing statement and send written notice to competing secured creditors before the debtor takes delivery. Miss those steps and the PMSI loses its special priority.

Temporary Perfection and Proceeds

Article 9 provides a short automatic-perfection window for certificated securities, negotiable documents, and instruments when the interest arises from new value given under an authenticated security agreement. Perfection runs for 20 days from attachment without filing or possession.8Legal Information Institute. Uniform Commercial Code 9-312 – Perfection of Security Interests in Chattel Paper, Deposit Accounts, Documents, Goods Covered by Documents, Instruments, Investment Property, Letter-of-Credit Rights, and Money After day 20, you need to file or take possession to stay perfected.

When the debtor sells collateral, your interest attaches automatically to the proceeds and is automatically perfected if the original interest was. That automatic perfection in proceeds expires on the 21st day after attachment unless certain conditions are met.13Legal Information Institute. Uniform Commercial Code 9-315 – Secured Party’s Rights on Disposition of Collateral and Other Collateral Perfection continues past 20 days if the proceeds are identifiable cash proceeds, or if your original financing statement already covers the type of property the proceeds represent and the proceeds were not acquired with cash proceeds. When proceeds fall into a different collateral category than your UCC-1 describes, plan on an amendment or a new filing.

Temporary perfection also appears when a debtor changes jurisdiction of organization or when collateral moves across state lines. A grace period applies for refiling, and missing it can leave the interest unperfected — in some cases treated as if it had never been perfected.

Collateral That Doesn’t Use the UCC Filing System

When a federal or state statute creates its own recording system for a type of property, that system replaces UCC filing. A financing statement filed for property covered by one of those statutes is simply ineffective.14Legal Information Institute. Uniform Commercial Code 9-311 – Perfection of Security Interests in Property Subject to Certain Statutes, Regulations, and Treaties

  • Motor vehicles and boats. Most states require the lien to be noted on the certificate of title through the state’s motor vehicle agency, not filed as a UCC-1.
  • Aircraft. Security interests in FAA-registered aircraft, and in certain engines and propellers meeting minimum power thresholds, are recorded through the FAA aircraft registry. Priority runs from the date and time of filing with the FAA.15Office of the Law Revision Counsel. 49 USC 44107 – Recordation of Conveyances, Leases, and Security Instruments
  • Copyrights. For registered copyrights and pending applications, the Copyright Act preempts Article 9. Record the security agreement with the U.S. Copyright Office.
  • Patents. Courts are split on whether UCC filing alone is enough or whether recording with the U.S. Patent and Trademark Office is also required. The cautious practice is to do both.

Keeping the Filing Alive

A UCC-1 is effective for five years from the filing date. After that, it lapses, and unless another perfection method is in place, the security interest becomes unperfected. A lapsed filing is treated as if perfection never existed as against anyone who purchased the collateral for value, which can be devastating in a priority fight.16Legal Information Institute. Uniform Commercial Code 9-515 – Duration and Effectiveness of Financing Statement

To prevent lapse, file a continuation statement (UCC-3) during the six-month window before the five-year expiration date.16Legal Information Institute. Uniform Commercial Code 9-515 – Duration and Effectiveness of Financing Statement A continuation filed too early is ineffective. A continuation filed too late is useless, because the original has already lapsed, and starting over with a new UCC-1 means losing the original priority date. Calendar the renewal the day you file the original.

What Happens If You Don’t Perfect

An unperfected security interest still binds the debtor. The problem is everyone else. A perfected interest beats an unperfected one in any priority contest.1Legal Information Institute. Uniform Commercial Code 9-322 – Priorities Among Conflicting Security Interests in and Agricultural Liens on Same Collateral If another creditor perfected first, that creditor gets paid first from the collateral, regardless of who lent money earlier.

Bankruptcy makes the stakes higher. A bankruptcy trustee has the power of a hypothetical lien creditor as of the petition date. An interest unperfected on that date can be avoided by the trustee, leaving the lender in the unsecured pool. Perfection is the difference between recovering collateral and standing in line for pennies.
