How to Invest in Stocks in India: Accounts, Costs, Taxes, NRI Rules

To invest in stocks in India, you need a Permanent Account Number (PAN), a completed Know Your Customer (KYC) profile, and three linked accounts — Demat, trading, and bank — opened through a broker registered with the Securities and Exchange Board of India (SEBI). Once those are in place, you place orders on the National Stock Exchange (NSE) or the Bombay Stock Exchange (BSE) through your broker’s platform. The full setup runs online in a few days, and the choices you make at the start shape what you pay in fees and taxes for years afterward.

What You Need Before You Open Anything

A PAN is non-negotiable. It’s a ten-digit alphanumeric code issued by the Income Tax Department, and SEBI has required it for cash-market trading since 2006. The requirement covers anyone opening a beneficiary (Demat) account.1Securities and Exchange Board of India. Mandatory Requirement of Permanent Account Number PAN – Issues and Clarifications Trading without one, or supplying a false PAN, carries a ₹10,000 penalty under Section 272B of the Income Tax Act and can get your trading privileges suspended.

Your identity and address then run through KYC, managed by SEBI-registered intermediaries or dedicated KYC Registration Agencies under SEBI’s KYC regulations.2Securities and Exchange Board of India. Securities and Exchange Board of India KYC Know Your Client Registration Agency Regulations 2011 You’ll usually submit your PAN, an Aadhaar card, and proof of address. Most brokers now run KYC entirely online with Aadhaar-based electronic verification, which takes minutes. Once your KYC is approved, the digital profile follows you across the financial system, so you don’t repeat it every time you open a new account.

The Three Accounts and What Each One Does

Indian stock investing runs on three separate accounts, and mixing them up is a common source of confusion.

The Demat account holds your shares in electronic form. When you buy stock, it lands here, replacing the old paper certificate system. The trading account is the interface you actually use to place buy and sell orders on NSE or BSE; it talks to the exchange on your behalf. Your savings bank account supplies the money and receives sale proceeds and dividends.

Most brokers open all three at once during onboarding. You’ll be asked for your bank’s IFSC code and account number to link electronic fund transfers. You’ll also designate a nominee, the person who receives your holdings if you die. Under SEBI’s revised rules, nomination is now mandatory for single-holder accounts.3National Securities Depository Limited. SEBI Circular on Revise and Revamp Nomination Facilities in the Indian Securities Market Keep your linked bank details current; outdated information stalls dividend credits and withdrawal of sale proceeds.

Choosing a SEBI-Registered Broker

You cannot trade directly on NSE or BSE. Every order routes through a SEBI-registered stockbroker, and no broker can operate legally without that registration.4Securities and Exchange Board of India. Registration of Brokers Before signing up anywhere, look up the broker’s registration number on SEBI’s website. If you can’t find it, don’t open the account.

Brokers split into two groups. Full-service brokers bundle research reports, advisory services, and a relationship manager with trade execution, and they typically charge a percentage-based commission, often between 0.25% and 0.75% of each trade’s value. Discount brokers drop the advisory layer and charge a flat fee, commonly ₹20 or less per order regardless of trade size. If you plan to make your own decisions, a discount broker usually costs far less. The gap compounds fast over hundreds of trades.

Placing an Order and How Settlement Works

Regular trading on both exchanges runs from 9:15 AM to 3:30 PM IST.5National Stock Exchange of India Ltd. Market Timings If you’re placing orders from the United States, IST is 9.5 hours ahead of Eastern Time, so the market opens around 11:30 PM ET the previous night and closes at 6:00 AM ET.

To buy shares, log into your broker’s platform, transfer funds from your bank to your trading balance, and search the stock by ticker or company name. Then pick an order type. A market order executes immediately at the current price; it’s fast but you don’t control the exact fill. A limit order sets the maximum you’re willing to pay, so it only fills at your price or better, though it may not fill at all if the price runs away.

After the exchange matches your order with a seller, ownership formally transfers to your Demat account one business day later under India’s T+1 settlement cycle.6Securities and Exchange Board of India. Enhancement in the Scope of Optional T+0 Rolling Settlement Cycle in Addition to the Existing T+1 Settlement Cycle in Equity Cash Markets Your broker sends a contract note itemizing price, quantity, fees, and taxes for every trade. Save them. You’ll need them at tax time and if any trade is ever disputed.

What Each Trade Actually Costs

Brokerage isn’t the only line item. The Securities Transaction Tax (STT) applies to every equity trade on a recognized exchange. For delivery-based trades where you buy and hold, STT is 0.1% of the transaction value, charged on both the buy and the sell. For intraday trades where you enter and exit the same day, STT is 0.025% on the sell side only. It’s deducted automatically.

On top of STT, expect exchange transaction fees, SEBI turnover fees, stamp duty that varies by state, and GST on brokerage. Each is a small fraction of a percent, but they stack up for frequent traders. Your contract note breaks out every charge, so read the first few carefully to see what you’re actually paying.

Tax on Gains and Dividends

India’s equity tax rules changed in July 2024, and the updated rates apply from financial year 2024-25. Older calculators and guides may still show the previous numbers.

Short-term capital gains, on listed shares held under 12 months, are taxed at a flat 20% under Section 111A, plus applicable surcharge and the 4% health and education cess.7Press Information Bureau, Government of India. New Capital Gains Tax Regime Proposed in the Union Budget 2024-25 The rate applies regardless of your income slab as long as the trade attracted STT. The previous rate was 15%.

Long-term capital gains, on listed shares held over 12 months, fall under Section 112A. The first ₹1.25 lakh of long-term gains in a financial year is exempt. Anything above is taxed at 12.5% without indexation.7Press Information Bureau, Government of India. New Capital Gains Tax Regime Proposed in the Union Budget 2024-25 Before July 2024, the rate was 10% with a ₹1 lakh exemption.

Dividends from Indian companies are taxed as income in your hands at your slab rate. Companies deduct TDS at 10% under Section 194 before paying the dividend to resident shareholders. If total dividend income from a single company stays under ₹5,000 in a financial year, no TDS is withheld, but you still owe tax on the amount when you file.

If You’re a Non-Resident Indian

NRIs and Persons of Indian Origin can invest in Indian equities, but the process adds steps. The biggest one: you need a PIS (Portfolio Investment Scheme) Permission Letter from an Authorized Dealer bank, issued on behalf of the Reserve Bank of India, before you can trade on the exchanges on a repatriable basis.8Securities and Exchange Board of India. Investments by NRIs in Indian Securities Market Without it, no Demat or trading account for repatriable investments.

You’ll also need either an NRE (Non-Resident External) or NRO (Non-Resident Ordinary) bank account. An NRE account is funded with foreign earnings remitted to India; funds and interest are fully repatriable with no cap, and interest is tax-free in India. An NRO account holds India-sourced income like rent, dividends, and pension; repatriation is capped at $1 million per financial year and requires a Chartered Accountant’s certificate, and the income is taxed at your applicable slab rate.9Reserve Bank of India. Master Circular on Non-Resident Ordinary Rupee NRO Account

For repatriable PIS trading, you’ll typically route transactions through an NRE-PIS savings account opened alongside your NRE account. Sale proceeds from repatriable investments can be credited to your NRE, FCNR, or NRO account after applicable taxes.10Ministry of External Affairs, Government of India. Portfolio Investment Scheme for NRIs Invest on a non-repatriation basis and capital gains cannot be sent out of India.

Every rupee-denominated gain is also a currency position. If the rupee weakens against the dollar while you hold the stock, your dollar return shrinks. A 12% rupee gain might deliver only 7% or 8% in dollars after currency movement. It works the other way if the rupee strengthens, but the long-run trend has been gradual rupee depreciation against the dollar, and retail investors have no easy hedge. Build currency risk into your expected return rather than pretending it isn’t there.

If You’re a U.S. Taxpayer

U.S. citizens, green card holders, and U.S. tax residents owe the IRS reporting on Indian accounts whether or not additional U.S. tax is due. This is where the most expensive mistakes happen.

If the combined value of all your foreign financial accounts, including Indian bank, Demat, and NRE/NRO accounts, exceeds $10,000 at any point in the year, you must file a Report of Foreign Bank and Financial Accounts on FinCEN Form 114.11Internal Revenue Service. Report of Foreign Bank and Financial Accounts FBAR The deadline is April 15 with an automatic extension to October 15. It’s filed electronically through FinCEN’s BSA E-Filing System, separate from your tax return. Penalties reach $10,000 per violation for non-willful failures and substantially more for willful ones.

India will tax your capital gains and withhold TDS on dividends. The U.S. taxes your worldwide income. To avoid paying twice, claim a foreign tax credit on your U.S. return using IRS Form 1116.12Internal Revenue Service. Instructions for Form 1116 If your total creditable foreign taxes are $300 or less ($600 for married filing jointly) and all the income is passive income reported on a payee statement, you can claim the credit on your return without filing Form 1116. Above those thresholds, the full form is required.

The U.S.-India Double Taxation Avoidance Agreement sets treaty withholding rates on dividends flowing to U.S. residents: 15% if you hold at least 10% of the voting stock in the paying company, and 25% otherwise.13Embassy of India, Washington D.C. TDS Withholding Tax Rates Under Indo-US DTAA These amounts can generally be claimed as a foreign tax credit on your U.S. return, so the treaty prevents double taxation but not the paperwork.

Where to Turn If Something Goes Wrong

If your broker fails you — unauthorized trades, delayed payouts, account access problems — SEBI runs a centralized complaint portal called SCORES (SEBI Complaints Redress System). File online at scores.gov.in or through the SCORES mobile app.14Securities and Exchange Board of India. Grievance Redressal in Securities Market Once you file, the entity you’ve complained about has 30 days to submit an action taken report to SEBI, and you can track the complaint’s status in real time. SEBI also runs a toll-free helpline at 1800-22-7575 for investors who need guidance before filing.
