Filling out and submitting Form 3CD is a shared task: your Chartered Accountant prepares the 44 clauses in the Income Tax Department’s offline utility from your books of account, uploads the signed JSON file to the e-filing portal at incometax.gov.in against your PAN, and you log in to formally accept the upload. The form never travels alone. It attaches to either Form 3CA, if your accounts are already audited under another law such as the Companies Act, or Form 3CB, if the Section 44AB tax audit is the only audit your accounts undergo.1Income Tax Department. Webinar for 3CA-3CD and 3CB-3CD On the portal you select the paired option (3CA-3CD or 3CB-3CD) as a single filing.
Form 3CD only applies if you are subject to a tax audit under Section 44AB — broadly, businesses above ₹1 crore turnover (₹10 crore where cash receipts and payments each stay below 5%), professionals above ₹50 lakh in gross receipts, and certain presumptive-scheme opt-outs.2Income Tax Department. Income-tax Act, 1961 – Section 44AB If none of those apply, you do not file this form.
What to Gather Before Your CA Starts
The form is filled from your records, so the quality of the handoff sets the pace of the filing. Assemble the following before the engagement begins:
- PAN, TAN, and GSTIN.
- Audited financial statements — the signed balance sheet and profit and loss account for the financial year.
- Bank statements for every account, covering the full year.
- TDS/TCS returns and challans: Forms 26Q, 24Q, 27Q, and quarterly deposit proofs.
- Depreciation schedule, asset-wise, with dates of acquisition, cost, and rates applied.
- Related-party transaction list under Section 40A(2)(b): names, relationship, nature of payment, and amount for every transaction with directors, partners, relatives, or associated entities.
- MSME vendor details: registration status of each micro or small enterprise vendor, invoice dates, and actual payment dates.
- Inventory records, with the method of stock valuation and any change from the prior year.
Missing any of these forces the CA to work from incomplete data, which either delays filing or produces a report that needs revision later.
What the 44 Clauses Will Ask About
Form 3CD contains 44 clauses that walk through the financially relevant aspects of your business or profession.3Income Tax Department. Items Reportable in the Tax Audit Report Your CA populates them; you supply the underlying records. A few clauses generate most of the friction.
Identification and Business Details (Clauses 1–9)
The opening clauses capture your PAN, business address, legal status, nature of business, registrations under other laws, and the accounting method you follow (cash or accrual). Any change in accounting method or inventory valuation during the year is disclosed here.
Depreciation, Disallowances, and Related-Party Payments (Clauses 10–21)
These cover depreciation, amounts debited to the profit and loss account but disallowed under the Income Tax Act, and payments to related parties under Section 40A(2)(b). The related-party disclosure is where the department checks for inflated expenses that may not reflect market rates, so a clean list of all such payees and relationships matters.
MSME Payment Timelines (Clause 22)
Section 43B(h) requires payments to micro and small enterprises within the limits set by the MSMED Act, 2006: 15 days without a written agreement, up to 45 days with one. Late payments get disallowed in the current year and can only be claimed in the year of actual payment. Delayed payments must be reported in Form 3CD, so vendor MSME registration details and payment records need to be ready.
TDS and TCS Compliance (Clause 34)
Clause 34 asks whether tax was correctly deducted or collected at source on salaries, rent, professional fees, and contractor payments.3Income Tax Department. Items Reportable in the Tax Audit Report The auditor cross-checks your TDS returns (Form 26Q, 24Q) against your books; late deposits, missed deductions, and wrong rates all surface here and typically cause the biggest delays.
GST Expenditure Breakup (Clause 44)
The final clause requires a split of total expenditure between payments to GST-registered entities and payments to unregistered ones.3Income Tax Department. Items Reportable in the Tax Audit Report Accounts-payable data needs each vendor’s GSTIN status.
Submitting Form 3CD on the E-Filing Portal
Form 3CD follows a strictly digital workflow. Neither the taxpayer nor the CA files a paper version.
Step 1: The CA Prepares the JSON in the Offline Utility
Your CA downloads the current offline utility and schema from the portal’s downloads page.4Income Tax Department. Download – Income Tax Forms The utility runs on Windows and needs the Edge browser installed. The CA enters all 44 clauses, the utility validates entries against the current schema, and it generates a JSON file — the finalized data packet for upload.
Step 2: You Assign the Form to Your CA
Log in to your e-filing account and go to e-File → Income Tax Forms → File Income Tax Forms. Select the applicable pair (3CA-3CD or 3CB-3CD), pick the assessment year, and add your CA by entering their membership number. This assignment gives the CA access to upload the report against your PAN.
Step 3: The CA Uploads, Signs, and Adds UDIN
The CA accepts the assignment from their own portal account, uploads the JSON, and authenticates it with a Digital Signature Certificate. The CA also generates a Unique Document Identification Number from the ICAI portal; UDIN has been mandatory for all tax audit reports since April 1, 2019, and the e-filing portal validates it before accepting the upload.5The Institute of Chartered Accountants of India. Step 4: You Accept the Report
After a successful upload you receive a portal notification. Log in, open your worklist under “Pending for Acceptance,” review the uploaded report, and approve it. The filing is not complete until you accept. An uploaded-but-unapproved report is treated as unfiled.6Income Tax Department. Form 3CA-3CD User Manual
Filing a Revised Form 3CD
If your financial statements change after filing, or the original report contains errors, Rule 6G(3) of the Income-tax Rules permits revision. Typical reasons include post-audit adjustments, clerical mistakes, or recalculation of payment-linked disallowances.
The revised filing uses the same workflow with a few changes. When assigning the form on the portal, select “Revised” as the filing type instead of “Original.”7Income Tax Department. FAQs for Form 3CA-3CD and 3CB-3CD Your CA prepares a fresh JSON in the offline utility with the filing type set to “Revised” (wrong metadata here triggers an “INVALID METADATA” rejection), generates a new UDIN, re-signs with a DSC, and uploads. You accept the revised report the same way you accepted the original. Keep documented reasons and working papers on file. The deadline for a revised report is the end of the relevant assessment year — March 31, 2027 for AY 2026-27.
Filing Deadline and Penalty
The “specified date” for submitting the tax audit report is defined in Section 44AB as one month before the Section 139(1) return due date.8Income Tax Department. Income-tax Act, 1961 – Section 44AB For most taxpayers subject to audit that means September 30, 2026 for AY 2026-27, since the ITR due date is October 31, 2026. Transfer pricing cases have until October 31, 2026, tied to the November 30, 2026 ITR due date.9Income Tax Department. Income Tax Returns FAQs Extensions do happen — the AY 2025-26 September 30 date was pushed to October 31 — but do not plan around one.
Under Section 271B, the Assessing Officer can impose a penalty equal to 0.5% of total sales, turnover, or gross receipts, or ₹1,50,000, whichever is less.10Income Tax Department. Penalties The penalty applies both to failing to get the audit done and to failing to furnish the report by the specified date. Filing the return late, which typically follows a late audit report, can also block carry-forward of business losses, an indirect cost that often exceeds the penalty itself.
