How to Fill Out and File the UCC-3 Continuation Form

To file a UCC-3 continuation, complete a UCC-3 Financing Statement Amendment, check the continuation box (Item 4), enter the original UCC-1 file number, identify the secured party authorizing the filing, and submit it to the same filing office that recorded the original — but only during the six months immediately before the financing statement’s five-year expiration date. File outside that window, in either direction, and the continuation is ineffective.

The Five-Year Clock and the Six-Month Window

A standard UCC-1 financing statement is effective for five years from its filing date.1Cornell Law Institute. Uniform Commercial Code 9-515 – Duration and Effectiveness of Financing Statement; Effect of Lapsed Financing Statement A timely continuation extends that effectiveness for another five years, measured from the day the statement would otherwise have lapsed. You can continue the same financing statement as many times as the underlying obligation requires; there is no cap.

The catch is when you can file. A continuation is only valid if filed during the six months immediately before expiration.1Cornell Law Institute. Uniform Commercial Code 9-515 – Duration and Effectiveness of Financing Statement; Effect of Lapsed Financing Statement If the original UCC-1 was filed on March 15, 2022, it expires on March 15, 2027. The continuation window opens September 15, 2026, and closes March 15, 2027. Submit it on September 14, 2026, and it is ineffective. Submit it on March 16, 2027, and the underlying statement has already lapsed. Filing offices will refuse a continuation submitted outside this window.2Cornell Law Institute. Two special filing types do not follow the standard five-year cycle. A financing statement covering a manufactured-home transaction lasts 30 years, and a filing by a transmitting utility remains effective until terminated.1Cornell Law Institute. Filling Out the UCC-3 for a Continuation

The UCC-3 Financing Statement Amendment is one form that handles terminations, assignments, party changes, and continuations. For a continuation, only a few fields matter.

Item 1a: Initial Financing Statement File Number

Enter the file number the Secretary of State assigned to the original UCC-1. Every digit must match. A transposed number breaks the link between the amendment and the original record, and the filing will not index correctly against the debtor. If you do not have the acknowledgment on hand, run a UCC search on the state’s online database and pull the number from there before filing.

Item 4: The Continuation Box

Check Item 4 for continuation. Do not also check Item 2 (Termination) or Item 3 (Assignment). Marking the wrong box can terminate the very filing you are trying to preserve.

Item 9: Name of Authorizing Party

Enter the name of the secured party of record authorizing the continuation. A continuation only needs the secured party’s authorization, not the debtor’s.3Cornell Law Institute. Uniform Commercial Code 9-509 – Persons Entitled to File a Record If the original lists multiple secured parties, any one of them can authorize a continuation for its own interest.

What to Leave Blank

A pure continuation does not require you to re-enter collateral descriptions, debtor addresses, or organization ID numbers. Items 5 through 8 stay blank unless you are simultaneously changing party information or collateral, which is allowed on the same form but adds moving parts and additional review by the filing office.

Check the Debtor Name Before You File

A continuation extends whatever is already on file. It does not repair a debtor name that has drifted out of accuracy. If the debtor is a corporation or LLC that has merged, reorganized, or changed its name since the original UCC-1 was filed, the filing may already be at risk.

The UCC treats a financing statement that fails to sufficiently identify the debtor as “seriously misleading.”4Cornell Law Institute. Uniform Commercial Code 9-506 – Effect of Errors or Omissions The test is mechanical: if a search under the debtor’s correct legal name using the filing office’s standard search logic would not turn up the statement, the filing fails. For registered organizations, the debtor’s name on the statement must match the name on the public organic record — the articles of incorporation or organization on file with the state.

Before submitting the continuation, confirm the debtor’s current legal name against that record. If it has changed, file an amendment to update the debtor name in addition to checking the continuation box, so the filing extended is also one a searcher can actually find.

Where to File and What It Costs

File the continuation with the same office that recorded the original financing statement — for most filings, the Secretary of State in the state where the UCC-1 was filed. Most states offer online portals that accept the file number, the continuation election, and the fee in a single session and return confirmation within minutes. Online filing removes the mail-delivery risk that matters most as the window closes.

Paper filing by mail is still accepted in most jurisdictions. Include the correct fee, typically by check or money order, and a self-addressed envelope for the acknowledgment. What counts is when the filing office receives and accepts the form, not when you mailed it, so build in real lead time.

Fees vary by state, generally $5 to $40 for a standard electronic filing. Paper and expedited processing usually cost more. Confirm the current fee on the Secretary of State’s website before submitting.

Fixture Filings Go to the County

If the original UCC-1 was a fixture filing — covering goods attached or to be attached to real property — the continuation goes to the local recording office that took the original, not the Secretary of State. Fixture filings sit alongside real estate records, usually with the county recorder or clerk, and require a description of the related real property.

What a Missed Continuation Costs

When a financing statement lapses without a timely continuation, the security interest it perfected becomes unperfected. The law goes further: against a purchaser of the collateral for value, the security interest is treated as though it was never perfected.1Cornell Law Institute. A creditor who held first priority for years can drop behind a junior lender whose filing is still alive.

After a lapse, the only fix is to file a new UCC-1. The priority date resets to the new filing date, and any liens filed by other creditors during the gap now rank ahead. In a bankruptcy or liquidation, that lost priority can decide whether the creditor recovers the collateral’s value or waits in line with the unsecured.

After the Continuation Is Filed

Once the office processes the filing, you will receive an acknowledgment — a stamped paper copy by mail or a digital confirmation through the portal. That acknowledgment is your proof of continued perfection for the next five years. File it with the original UCC-1 acknowledgment and the loan documents.

Then calendar the next expiration date, immediately. The new five-year period runs from the day the statement would have lapsed, not the day you filed the continuation. A statement that would have expired March 15, 2027 now runs through March 15, 2032, and the next six-month filing window opens September 15, 2031. Most lenders set a reminder at least 60 days ahead of the window opening so preparation has room to happen.

If a filing is rejected — wrong file number, wrong fee, submission outside the six-month window — the filing office should notify you of the refusal.2Cornell Law Institute. If the window has closed, the statement has lapsed, and the only path forward is a new UCC-1 with a new priority date.
