To file Form 1120-X, the Amended U.S. Corporation Income Tax Return, enter your original figures and corrected figures side by side in the form’s three-column layout, explain each change in Part II, attach any corrected schedules, and submit the signed return either electronically through an approved e-file provider or on paper to the IRS service center that processed the original Form 1120. You generally have three years from the date the original return was filed or two years from the date the tax was paid, whichever is later, to file and claim any refund.1Internal Revenue Service. Confirm Form 1120-X Is the Right Form
Form 1120-X amends Form 1120 and the discontinued short-form Form 1120-A.2Internal Revenue Service. About Form 1120-X Common reasons to file include math errors, a misapplied deduction, a missed credit, or adjustments flowing from an IRS examination of a related entity.
S corporations do not use Form 1120-X. If your business files Form 1120-S, you amend by filing a complete corrected Form 1120-S with the “Amended Return” box checked, along with all changed schedules, supporting attachments, and an explanation of each change.3Internal Revenue Service. When You Have to File By
The general refund-claim deadline is the later of three years from the date the original return was filed or two years from the date the tax was paid.1Internal Revenue Service. Instructions for Form 1120-X A return filed before its due date is treated as filed on the due date, so filing early does not shorten the window.4Internal Revenue Service. Instructions for Form 1120-X – Amended U.S. Corporation Income Tax Return Miss the window and the refund right is gone.
Several situations get longer windows:
- Bad debts and worthless securities: seven years from the prescribed filing date for the year in question.5Office of the Law Revision Counsel. 26 U.S. Code 6511 – Limitations on Credit or Refund
- Net operating loss or capital loss carrybacks: three years after the due date (including extensions) of the return for the year the loss arose.5Office of the Law Revision Counsel. 26 U.S. Code 6511 – Limitations on Credit or Refund
- Foreign tax credits: 10 years from the regular due date for the return of the tax year in which the foreign taxes were paid or accrued. The same 10-year window covers switching between the credit and the deduction for those taxes.5Office of the Law Revision Counsel. 26 U.S. Code 6511 – Limitations on Credit or Refund6Internal Revenue Service. Working Through the Three Columns
Every line you adjust in Part I has three columns. Column (a) carries the amount originally reported, or the amount as previously adjusted if you have already amended once. Column (b) shows the net increase or decrease. Column (c) shows the correct amount. Those columns run through income, deductions, and the recalculated tax liability.7Internal Revenue Service. Form 1120-X – Amended U.S. Corporation Income Tax Return
Work from your original return, not from memory. If the IRS already adjusted a line through an earlier notice or amendment, column (a) should reflect that adjusted figure, not what you first filed.
Writing Part II: Explanation of Changes
Part II is where the IRS examiner starts.4Internal Revenue Service. Instructions for Form 1120-X – Amended U.S. Corporation Income Tax Return Reference each line number you are changing and give the factual basis for the correction. “Corrected depreciation” is too thin. Something like “Depreciation on Line 20 was calculated using a 5-year life instead of the correct 7-year life for office furniture placed in service in 2024” tells the examiner what happened and lets the file move.
What to Attach
Include corrected versions of any schedule that was part of the original return and that your changes affect. That might mean a corrected Form 4797 for property sales or corrected Schedule K documents showing how income was computed. If the change involves a credit, attach the full supporting calculation even when only a summary number lands on the 1120-X itself. Put the corporation’s name and employer identification number on every attachment.1Internal Revenue Service. Instructions for Form 1120-X Incomplete filings usually are not rejected outright, but they trigger correspondence cycles that can stretch the process by months.
Electronic Filing or Paper
Form 1120-X can be filed electronically through the IRS Modernized e-File system using approved software. The IRS publishes a list of providers that have passed its testing for 1120-X submissions.8Internal Revenue Service. 1120x Modernized e-File (MeF) Providers Not every provider supports every schedule or attachment, so check with the vendor before assuming your specific amendment will go through.
If you file on paper, mail the signed return to the IRS service center where the original Form 1120 was filed.9Internal Revenue Service. Where to File – Forms Beginning With the Number 1 The current Form 1120-X instructions list the applicable addresses. When the deadline is close, use certified mail with return receipt requested; the postmark date establishes timely filing.
If You Owe More, or If You’re Owed a Refund
If the amendment increases your tax, send payment with the Form 1120-X. Interest accrues on any unpaid tax from the original due date of the return until the balance is paid in full.10Internal Revenue Service. Topic No. 653 IRS Notices and Bills, Penalties and Interest Charges The IRS will compute the final amount and bill any remaining balance. Pay what you can now rather than waiting for that notice.
If the amendment produces a refund, the IRS adds statutory interest to the overpayment, generally running from the original due date. Processing typically takes three to four months.1Internal Revenue Service. Instructions for Form 1120-X You may get letters during that window asking for clarification or more documentation. Answer quickly. Slow responses compound into much longer processing delays.
Checking the Status
The IRS “Where’s My Amended Return?” online tool does not work for business returns.11Internal Revenue Service. Where’s My Amended Return? To check on a corporate 1120-X, the corporation or an authorized representative needs to call the IRS Business and Specialty Tax Line. Keep a complete copy of the filed 1120-X, every attachment, and your certified mail receipt so you can reference them on the call.
Penalty Exposure After You File
Filing an amended return does not automatically eliminate penalties on the original underpayment. If the IRS finds a substantial understatement of income tax, the accuracy-related penalty is 20% of the underpaid amount.12Internal Revenue Service. Accuracy-Related Penalty Amending voluntarily before the IRS contacts you about the issue helps on penalty abatement, but it is not an automatic defense. The strongest protection is showing reasonable cause and good faith, so document why the original position was taken even when it turned out to be wrong.
Carrybacks: When to Use Form 1139 Instead
Most general corporate net operating loss carrybacks were eliminated by the Tax Cuts and Jobs Act for NOLs arising in tax years beginning after December 31, 2017, which replaced them with an indefinite carryforward limited to 80% of taxable income.13Office of the Law Revision Counsel. 26 U.S. Code 172 – Net Operating Loss Deduction Farming losses remain an exception and can still be carried back two years.
When a carryback is still available, you have two routes. Form 1139, the Corporation Application for Tentative Refund, is the faster one. It must be filed within 12 months after the end of the tax year in which the loss or credit arose, and the IRS generally processes it within 90 days.14Internal Revenue Service. Instructions for Form 1139 – Corporation Application for Tentative Refund Once that 12-month window closes, Form 1120-X is the fallback, with a refund-claim period that runs three years from the due date (including extensions) of the return for the year the loss arose.5Office of the Law Revision Counsel. 26 U.S. Code 6511 – Limitations on Credit or Refund Either route, include the completed return for the loss year and a clear computation showing how the loss or credit applies to the prior year’s income. Incomplete carryback claims are among the most common sources of correspondence delays on amended corporate returns.
