How to Deduct Health Insurance Premiums as an S Corp Owner

To deduct health insurance premiums as an S corp owner, the corporation pays or reimburses your premiums, adds that amount to Box 1 of your W-2 as wages, and you then claim an above-the-line deduction on Form 7206 that flows to Schedule 1, Line 17 of your Form 1040.1Internal Revenue Service. S Corporation Compensation and Medical Insurance Issues The deduction reduces your adjusted gross income dollar-for-dollar, which offsets the wage bump the corporation added, so you aren’t taxed on the value of the insurance. The mechanics are straightforward once you see them, but the reporting has to line up across the corporate return, the W-2, and your personal return, and a few rules disqualify people who don’t know to look for them.

Do You Qualify

You need to own more than 2% of the corporation’s outstanding stock or more than 2% of its total combined voting power.1Internal Revenue Service. S Corporation Compensation and Medical Insurance Issues That’s a low bar. Three percent puts you over it.

Ownership isn’t only what’s in your name. Family attribution rules under Section 318 treat you as owning stock held by your spouse, children, grandchildren, and parents.2Office of the Law Revision Counsel. 26 USC 318 – Constructive Ownership of Stock If your spouse owns the whole company and you work there, you count as a more-than-2% shareholder even without a share certificate.

You also have to be a genuine employee drawing W-2 wages from the corporation. No wages, no deduction. And your wages set a ceiling on the deduction, which matters more than most owners realize until they hit it.

Set the Plan Up So the IRS Recognizes It

The plan must be “established by” the S corporation. Notice 2008-1 gives you two ways to get there:3Internal Revenue Service. Notice 2008-1

  • The corporation pays the insurance company directly for your coverage.
  • You pay the premiums personally, hand the corporation proof of payment, and the corporation reimburses you in the same tax year.

The same-tax-year piece is strict. Pay a December premium and wait until January for reimbursement, and that premium is out. The reimbursement and the W-2 reporting have to happen in the calendar year the premium was paid.3Internal Revenue Service. Notice 2008-1

If the corporation never pays or reimburses the premiums, the plan isn’t considered established by the S corp, and you lose the above-the-line deduction entirely.3Internal Revenue Service. Notice 2008-1 This is the most common way owners forfeit the benefit: they pay out of pocket all year, never route it through the corporate books, and find out at filing time.

Report the Premiums on the W-2

Once the corporation has paid or reimbursed the premiums, the total goes on your W-2 as additional wages. Specifically, it lands in Box 1 (wages, tips, other compensation) and is subject to federal income tax withholding.1Internal Revenue Service. S Corporation Compensation and Medical Insurance Issues

It does not go in Boxes 3 and 5. As long as the payments are made under a plan covering employees or a class of employees and their dependents, the premiums are excluded from Social Security and Medicare wages, and from FUTA.1Internal Revenue Service. S Corporation Compensation and Medical Insurance Issues Miss that “plan or system” requirement and the premiums pick up a 6.2% Social Security tax and a 1.45% Medicare tax on top of income tax.

Most preparers also put the total in Box 14 with a label like “S-Corp Health Insurance” or “SEHI.” Box 14 is informational only, but it makes the tie between the W-2 amount and your personal deduction obvious to anyone reviewing the file later.

Claim the Deduction on Your Personal Return

The personal deduction runs through Form 7206, which replaced the old worksheet that used to sit inside Publication 535.4Internal Revenue Service. href=”https://www.irs.gov/instructions/i7206″ target=”_blank” rel=”noopener”>Instructions for Form 7206 You enter your premiums and your W-2 wages from the S corp, and the form calculates the allowable amount. That number carries to Schedule 1 (Form 1040), Line 17.5Internal Revenue Service. 2025 Schedule 1 (Form 1040) – Additional Income and Adjustments to Income

Because the deduction sits above the line, it reduces your AGI directly. You don’t have to itemize, and the deduction effectively cancels out the wage increase the corporation added.

Two limits catch people:

The wage cap. Your deduction cannot exceed your W-2 wages from the S corporation for the year.6Office of the Law Revision Counsel. 26 USC 162 – Trade or Business Expenses If your wages were $30,000 and your family premiums were $36,000, you can deduct only $30,000. The remaining $6,000 can’t be carried forward, though it may qualify as an itemized medical expense on Schedule A subject to the 7.5%-of-AGI floor. If you have multiple businesses, each plan’s deduction is limited to the net earnings from the business that established that plan, and you file a separate Form 7206 for each.7Internal Revenue Service. Instructions for Form 7206

The subsidized-plan disqualification. For any month you or your spouse are eligible to participate in a subsidized employer health plan, the deduction is disallowed for that month. “Eligible” is the operative word. You don’t have to enroll. If your spouse’s employer offers a subsidized family plan and you could have signed on during open enrollment, every month that coverage was available is a blocked month. The rule is applied month by month, so if your spouse leaves that job mid-year, you get the remaining months back. It also applies separately to long-term care insurance versus other medical coverage: one can be blocked while the other is deductible.6Office of the Law Revision Counsel. 26 USC 162 – Trade or Business Expenses

What Counts as Qualifying Coverage

The deduction reaches beyond a basic medical plan. Dental and vision premiums qualify. If you’re 65 or older, Medicare Part B, Part D, and Medigap premiums all run through the same rules.6Office of the Law Revision Counsel. 26 USC 162 – Trade or Business Expenses Coverage for your spouse, dependents, and children under age 27 (even if they aren’t your dependents) qualifies as well.

Long-term care insurance qualifies too, but the deductible amount is capped by age at year-end. For 2026:

  • Age 40 or younger: $500
  • Age 41 to 50: $930
  • Age 51 to 60: $1,860
  • Age 61 to 70: $4,960
  • Age 71 or older: $6,200

If your long-term care premiums exceed your bracket’s cap, the corporation can still reimburse the full amount and put it all in your W-2 wages, but your personal deduction is limited to the cap.6Office of the Law Revision Counsel. 26 USC 162 – Trade or Business Expenses The excess is taxable wages you can’t offset.

The ACA Trap If You Have Other Employees

If the same arrangement reimburses individual health premiums for you and for non-shareholder employees, the IRS treats it as a group health plan. Group plans that just reimburse individual policy premiums violate ACA market reform requirements, and the excise tax is $100 per day, per affected employee.8Office of the Law Revision Counsel. 26 USC 4980D – Failure to Meet Certain Group Health Plan Requirements

The safe harbor is narrow. The excise tax generally won’t apply if no more than one current employee participates in the reimbursement arrangement.1Internal Revenue Service. S Corporation Compensation and Medical Insurance Issues A sole owner with no staff is fine. A married couple who both work for the corporation and share one family policy also fit, because the IRS treats that as covering a single employee. Add one non-shareholder employee to the reimbursement arrangement and you’ve created a group health plan subject to the market reform rules.

If you want to help non-shareholder employees with health costs, the compliant options include a Qualified Small Employer Health Reimbursement Arrangement (QSEHRA), which for 2026 permits reimbursements up to $6,450 for self-only coverage and $13,100 for family coverage, or a traditional group health plan through an insurer. Keep the shareholder’s reimbursement on a separate track from whatever covers the rest of the staff.

HSA Contributions Work the Same Way

If your S corp plan is a high-deductible health plan paired with a Health Savings Account, the tax treatment mirrors the premium treatment for 2% shareholders. You can’t make pre-tax salary-reduction HSA contributions the way a rank-and-file employee would.9Internal Revenue Service. Publication 15-B Employers Tax Guide to Fringe Benefits Instead, the corporation’s HSA contributions on your behalf are additional compensation, included in Box 1 wages, and you take the deduction on your personal return.

For 2026, HSA contribution limits are $4,400 for self-only HDHP coverage and $8,750 for family coverage, with a $1,000 catch-up if you’re 55 or older.

If You Buy Through the Marketplace

Marketplace coverage with premium tax credits under Section 36B creates a circular calculation. The self-employed health insurance deduction lowers your AGI, which affects your credit; the credit reduces the premiums you actually paid, which affects your deduction. Revenue Procedure 2014-41 lays out an iterative or alternative method for resolving the loop.10Internal Revenue Service. Revenue Procedure 2014-41 Most tax software handles this automatically; by hand, you cycle through the calculation until the numbers stabilize within a dollar.

The Marketplace subsidy is a different question from the subsidized-employer-plan disqualification. You can take both the Marketplace credit and the S corp deduction in the same year, as long as the amounts are coordinated so nothing is counted twice.1Internal Revenue Service. Keep the Paper Trail Consistent

Every document has to agree. The premium amount should appear as a business expense on Form 1120-S, as additional wages in Box 1 of your W-2 (excluded from Boxes 3 and 5), as a labeled entry in Box 14, and as the basis for your deduction on Form 7206 flowing to Schedule 1, Line 17.11Internal Revenue Service. 2025 Shareholders Instructions for Schedule K-1 (Form 1120-S) If a personal deduction doesn’t trace back to matching W-2 wages, the IRS disallows it.

Keep original insurance invoices, proof of premium payments, reimbursement records, and copies of the W-2 and Schedule K-1 in one file. The corporations that struggle on audit usually handled the payments correctly and just can’t prove it three years later.
