GST Registration Cancellation: Form REG-16, Suspension, and Revival

GST registration cancellation ends your obligation to file returns and collect tax, and it can be initiated by you through Form GST REG-16 or imposed by a tax officer under Section 29 of the CGST Act. Either way, cancellation is not the end of your compliance work: you must reverse input tax credit on closing stock, wait through a suspension period, receive the order in Form GST REG-19, and file a final return in GSTR-10 within three months.

When You Can Apply to Cancel

Section 29(1) of the CGST Act sets out three situations where a registered person, or the legal heir of a deceased proprietor, can apply for cancellation. The business has been discontinued, sold, merged, or wound up. The business has changed its constitution in a way that requires a fresh registration, such as a partnership converting into a private limited company. Or the turnover has dropped below the threshold that made registration compulsory, and the owner wants to exit, including withdrawing a voluntary registration taken under Section 25(3).1CBIC Tax Information. The turnover thresholds depend on what you sell and where. Goods suppliers in most states must be registered above ₹40 lakh in aggregate turnover; service providers, above ₹20 lakh. In special category states and certain union territories, the limits drop to ₹20 lakh for goods and ₹10 lakh for services. Below the applicable limit, you have the right to step out.

When the Department Cancels on Its Own

Under Section 29(2), a proper officer can cancel your registration on their own initiative, effective from any date they choose, including retrospectively. The common triggers are a regular taxpayer who has not filed returns for six continuous months, or a composition taxpayer who has missed three consecutive tax periods.1CBIC Tax Information. Other grounds include obtaining the registration through fraud, wilful misstatement, or suppression of facts, and failing to start business within six months of a voluntary registration. Contravention of prescribed provisions of the Act or rules also qualifies. The officer must first issue a show cause notice in Form GST REG-17, and your registration status shifts to “suspended” from the date of that notice. You have seven working days to file a reply.2Goods and Services Tax. Suo Moto Cancellation of Registration

Ignoring the notice is the worst response. A suo moto cancellation blocks you from issuing tax invoices, adds unfiled return penalties, and creates input tax credit problems for the customers you supplied.

Reversing Input Tax Credit Before You Exit

This is the part most business owners miss. Section 29(5) requires every person whose registration is cancelled to pay back the input tax credit attributable to inputs held in stock, inputs in semi-finished or finished goods, and capital goods or plant and machinery, as of the day immediately before cancellation. What you owe is the higher of two figures: the ITC on those items, or the output tax that would be payable on them.1CBIC Tax Information. CGST Act Section 29 – Cancellation or Suspension of Registration

For capital goods, Rule 44 of the CGST Rules treats the useful life as five years (60 months). You work out the ITC attributable to the remaining useful life on a pro-rata monthly basis, then compare that figure against the tax payable on the transaction value of the equipment, and pay whichever is higher.

You settle the liability by debiting your electronic credit ledger or electronic cash ledger. If neither has enough balance, you deposit the shortfall before the cancellation application can be processed. Purchase invoices and depreciation records for capital assets should be in order before you start; reconstructing them later is painful.

What Form GST REG-16 Asks For

Voluntary cancellation is filed on Form GST REG-16 through the GST portal. It collects your GSTIN, legal name, trade name, and a correspondence address for future communication. You state the reason for cancellation and the date from which you want it to take effect. That date sets your final period of tax liability and drives the deadline for your last returns.

The most demanding part is the closing stock accounting. You list the value of inputs held in stock, inputs in semi-finished goods, inputs in finished goods, and the tax payable on each category. These figures feed the ITC reversal. If cancellation is due to a merger or transfer, you also provide the GSTIN, name, and address of the successor entity. The form additionally asks for the ARN and filing date of your last return.3Goods and Services Tax. Cancellation of Registration

Submitting the Application and What Follows

After you complete REG-16, the portal presents a verification screen. Check stock values, the proposed effective date, and the reason before submitting. Authentication uses a Digital Signature Certificate, an Electronic Verification Code sent to your registered mobile and email, or an Aadhaar-based e-sign. Companies and LLPs generally must use a DSC; sole proprietors and partnership firms can use the EVC route.3Goods and Services Tax. Cancellation of Registration

The system generates an Application Reference Number, sent by SMS and email. Track your application through the portal using this ARN. The tax officer has thirty days to process the request. Within that window, they may issue an electronic notice for discrepancies or supporting documents, and you must respond through the portal in the timeframe specified. Ignoring it risks outright rejection.

What You Cannot Do During Suspension

Between the date you file the application and the date the officer issues a final order, your registration is suspended. During suspension you cannot make taxable supplies, issue GST invoices, claim input tax credit, or file returns under Section 39. Ordinary business activity can continue in a limited sense, but anything involving GST collection or credit is off limits.

Filing the Final Return in GSTR-10

Receiving the cancellation order in Form GST REG-19 does not end your obligations. Section 45 requires every cancelled registrant who was filing returns under Section 39 to submit a final return in Form GSTR-10, within three months from either the date of cancellation or the date the cancellation order was issued, whichever is later.1CBIC Tax Information. CGST Act Section 29 – Cancellation or Suspension of Registration

GSTR-10 captures any remaining tax liability not settled during the cancellation application. It covers closing stock, ITC reversal amounts, and outstanding dues. Missing the three-month deadline triggers a late fee of ₹200 per day (₹100 CGST and ₹100 SGST), accumulating until you file, subject to a statutory cap. Any interest or penalty flagged during processing must be cleared in full.

Skipping GSTR-10 entirely leads nowhere good. The department can pursue recovery, including bank attachment, until all dues are settled. There is no mechanism to avoid this return.

Getting a Cancelled Registration Back

If the department cancelled your registration on its own initiative and you want it restored, Section 30 lets you apply for revocation. This option is available only for officer-initiated cancellations, not for cancellations you applied for voluntarily.4CBIC Tax Information. CGST Act Section 30 – Revocation of Cancellation of Registration

The standard window is 30 days from the date of the cancellation order. If you miss it, the Additional Commissioner or Joint Commissioner can grant up to another 30 days, and the Commissioner can grant a further 30 days beyond that, for a maximum of 90 days. Before filing, you must clear all pending returns and pay outstanding tax, interest, and late fees. The officer must give you an opportunity to be heard before rejecting a revocation application.

Once the 90-day window closes, the path becomes significantly harder and may require condonation of delay. If your registration was cancelled for non-filing, the cleanest move is to file all overdue returns and apply for revocation within the initial 30 days.

Appealing a Cancellation Order

If a tax officer cancelled your registration and you believe the decision was wrong, you can file an appeal before the Appellate Authority using Form GST APL-01. The appeal must be filed within three months from the date the order was communicated. Where sufficient cause prevented timely filing, the Appellate Authority can condone a delay of up to one additional month, but no further.5Goods and Services Tax. FAQs – Filing an Appeal against Demand Order

An appeal is available only against a cancellation initiated by a tax officer. If you applied for cancellation voluntarily and the order followed, there is nothing to appeal.6GST Portal. Filing an Appeal against Registration Cancellation Order (FORM GST APL-01)

Keep the two remedies straight. Revocation under Section 30 is an administrative fix where you acknowledge the default, usually non-filing, and clear it. An appeal under Section 107 is a legal challenge arguing the cancellation was improper. If you accept that returns were missed, revocation is faster. If you believe the officer acted without proper grounds or skipped due process, the appeal is the right route.
