A German power of attorney, called a Vollmacht, is a written authorization letting someone act on your behalf under German law, and getting it right means matching the document type to the job and meeting the form requirements that job demands. A note signed at your kitchen table can be perfectly valid for routine banking. That same note is worthless at a land registry. The rules for form, notarization, and registration are more structured than what most Americans or British expats expect, and skipping a step can leave your representative unable to act when it counts.
The Main Types of Vollmacht
German law does not treat “power of attorney” as one document. It offers several, each built for a different situation.
Generalvollmacht (General Power of Attorney)
A Generalvollmacht gives your representative the broadest possible authority across nearly all legal and financial matters: managing bank accounts, signing contracts, handling tax affairs, dealing with government agencies. Because the scope is sweeping, so is the risk. You are handing someone the ability to act as your legal stand-in across the board. German consulates abroad cannot notarize a Generalvollmacht, which matters if you live outside Germany.1German Missions in the United States. Certifications and Notarizations
Spezialvollmacht (Transaction-Specific Power of Attorney)
A Spezialvollmacht limits authority to one clearly defined task: buying a specific property, signing a particular contract, representing you in a single legal proceeding. When the task is done, the authority ends. It is the safer choice when you only need help with a discrete matter.
Vorsorgevollmacht (Precautionary Power of Attorney)
The Vorsorgevollmacht is designed to take effect if you lose the ability to make decisions through illness, accident, or age. It names someone to handle your personal, financial, and sometimes medical affairs without a court needing to appoint a guardian. If a valid Vorsorgevollmacht is on file, a guardianship court (Betreuungsgericht) will generally not appoint a legal guardian for you, because you have already chosen your own representative.2Gesetze im Internet. German Civil Code (BGB) – Section 672 Death or Incapacity to Contract of the Mandator Without one, the court picks someone, and that person may be a stranger.
A Vorsorgevollmacht does not automatically end when the principal dies. Under Section 672 of the BGB, the mandate continues, and the representative must keep managing affairs until the heirs or a legal representative can take over.3Gesetze im Internet. German Civil Code (BGB) – Section 672 Death or Incapacity to Contract of the Mandator
Patientenverfügung: Not a Power of Attorney
The Patientenverfügung, or living will, is worth mentioning because searchers often lump it in with Vollmacht documents. It is not one. It is a written advance directive about medical treatment. Under Section 1901a of the BGB, a competent adult specifies in writing which medical examinations, treatments, or interventions they consent to or refuse for situations where they can no longer communicate their wishes, and the directive binds medical providers as long as it applies to the current situation.4Gesetze im Internet. German Civil Code (BGB) – Section 1901a Living Will It often runs alongside a Vorsorgevollmacht: the living will states your treatment preferences, and the Vorsorgevollmacht names the person who makes sure providers follow them.
Prokura (Commercial Power of Attorney)
Businesses use a distinct form of authority called Prokura, governed by the German Commercial Code (HGB) rather than the BGB. A Prokurist can represent the business in virtually all commercial and legal dealings, including court proceedings. The scope is fixed by statute, and private restrictions have no legal effect on third parties. The one major exception is real property: a Prokurist cannot sell or encumber real estate without express authorization. Appointment must be registered in the Commercial Register, and Prokura only arises through an explicit declaration, never by implication.
What to Decide Before You Draft
Before drafting any Vollmacht, gather full legal names, dates of birth, places of birth, and current residential addresses for yourself (the principal) and your chosen representative. The Federal Ministry of Justice publishes a bilingual template that asks for exactly these details, and using it is smart practice because German banks and government offices know the format.5Federal Ministry of Justice. Lasting Power of Attorney
Then work through the substantive choices. Define the scope: bank accounts, real estate, healthcare, all of it? Set the trigger: does authority start on signing, or only after a physician certifies you lack capacity? Decide whether your representative acts alone or must act jointly with a second person. For real estate, describe the property precisely enough for the local land registry (Grundbuchamt); vague references cause problems.
Making the Document Legally Valid
German law is flexible on form. Section 167(2) of the BGB says the declaration granting authority does not need to follow the same form required for the underlying transaction.6Gesetze im Internet. German Civil Code (BGB) – Section 167 Conferment of Authority In practice, a simple written power of attorney, even without notarization, can be legally valid for many everyday matters. But “legally valid” and “accepted by the institution you are dealing with” are different things. Which level of formality you need depends on what the document has to do.
Signature Certification
The next step up is having your signature officially certified. A notary or the local guardianship authority (Betreuungsbehörde) verifies your identity and confirms you personally signed the document.7Gesund.bund.de. Lasting Powers of Attorney, Guardianship Directives and Advance Directives The Betreuungsbehörde typically charges a small fee. Certification confirms the signature is genuine, but not the legal content of the document itself. For most banking and administrative matters, this level of authentication gets third parties to cooperate.
Full Notarial Recording
Some transactions require the heavier process of notarial recording (Notarielle Beurkundung). Real estate falls squarely into this category. Section 311b of the BGB requires notarial recording for any agreement to transfer or acquire ownership of land.8Gesetze im Internet. German Civil Code (BGB) – Section 311b Contracts on Plots of Land, Assets and an Estate During recording, the notary reads through the document, explains its legal consequences, and confirms you understand what you are authorizing. Corporate actions affecting the commercial register also generally require this level of formality. If your Vollmacht might touch real estate or business transactions, get it notarially recorded from the start. Upgrading later means paying for the process twice.
Bank-Specific Forms
German banks often require their own internal power of attorney form (a Bankvollmacht or Kontovollmacht) in addition to, or instead of, your general Vollmacht. Under the German Money Laundering Act (Geldwäschegesetz), banks apply strict identification procedures, and many will not let a representative access accounts on a general power of attorney alone, even a notarized one. Call your bank before you finalize your documents and ask whether they require their own form signed at the branch.
Fees and the Central Register
Once your document is ready, you schedule a notary appointment. The notary confirms your identity, reviews the document with you, and witnesses your signature. For a Vorsorgevollmacht or Generalvollmacht, the notary determines the business value (Geschäftswert) of the document, which drives the fee. Under Section 98 of the Court and Notary Costs Act (GNotKG), that value is set at the notary’s equitable discretion based on the scope of authority and the principal’s assets, cannot exceed half the principal’s total assets, and is capped at one million euros.9Gesetze im Internet. Gesetz uber Kosten der Freiwilligen Gerichtsbarkeit fur Gerichte und Notare – Section 98 Vollmachten und Zustimmungen All German notaries follow the same national fee schedule. You cannot negotiate or shop around.
After execution, a Vorsorgevollmacht should be registered with the Central Register of Lasting Powers of Attorney (Zentrales Vorsorgeregister), operated by the Federal Chamber of Notaries.10Bundesnotarkammer. Institutions of the Bundesnotarkammer Registration is not legally required, but it serves a practical purpose: when a guardianship court receives a petition to appoint a guardian for you, it checks the register first. If your Vorsorgevollmacht is on file, the court will generally defer to the representative you chose.
You can register online or by mail. Online registration with direct debit costs 20.50 euros; postal registration by bank transfer costs 26.00 euros.11Zentrales Vorsorgeregister. Kosten einer Registrierung Keep the original document somewhere safe but accessible. The register records that the document exists, not the document itself.
Signing From Outside Germany
If you live abroad but need a German power of attorney, whether to manage inherited property, close a bank account, or handle a relative’s affairs, the process gets more complicated. German consulates abroad can certify your signature on a simple, revocable power of attorney for a single transaction. At German consular missions in the United States, the fee runs between 60 and 85 euros.1German Missions in the United States. Certifications and Notarizations
Consulates cannot perform full notarizations. A Generalvollmacht, Vorsorgevollmacht, or Patientenverfügung cannot be notarized at a German consulate in the United States.1German Missions in the United States. Certifications and Notarizations For those documents, you either travel to Germany to see a notary or work with a local U.S. notary public. The U.S. notary route will typically require an apostille, a certification issued by the Secretary of State in your state under the 1961 Hague Convention, to which both the U.S. and Germany are parties.12Federal Foreign Office. US Apostille Authorities State-level apostille fees generally run from a few dollars to around $25. Confirm with the German institution that will receive the document whether an apostille is enough for their purposes. Some banks and land registries have internal requirements that go beyond what the law technically demands.
Revoking a Vollmacht
A German power of attorney can be revoked at any time, even if the underlying relationship between you and your representative continues. Section 168 of the BGB makes authority revocable regardless of what the original agreement says, unless the nature of the relationship genuinely requires a different result.13Gesetze im Internet. German Civil Code (BGB) – Section 168 Expiry of Authority To revoke effectively, put it in writing, identify the specific power of attorney, state the date it takes effect, and deliver it to the representative. Demand the return of all copies of the original document. A revoked Vollmacht that still physically exists can cause serious problems if someone presents it to a bank or land registry that has not been told about the revocation.
If the document was registered with the Vorsorgeregister, notify the register so the entry can be updated or removed. If it was used with specific institutions, banks, the land registry, government agencies, send each of them a separate written notice. Institutional third parties are entitled to rely on a power of attorney they have on file until they are told otherwise.
When Someone Acts Without Proper Authority
If someone signs a contract on your behalf without a valid power of attorney, or exceeds the authority you granted, you are not automatically bound. Under Section 177 of the BGB, whether the contract takes effect depends on whether you ratify it. You can choose to accept or reject what was done in your name.14Gesetze im Internet. German Civil Code (BGB) – Section 177 Entry Into Contract by a Representative Having No Power of Agency If the other party asks you to confirm the deal, you have two weeks from receiving the request. Silence counts as refusal.
The unauthorized agent faces personal liability. If you refuse to ratify, the agent must either perform the contract themselves or pay damages to the other party, at that party’s choice.15Gesetze im Internet. German Civil Code (BGB) – Section 179 Liability of a Representative Having No Power of Agency The agent escapes liability only if the other party knew or should have known there was no valid power of attorney.
