Genesis HealthCare, once the country’s largest nursing home operator, filed for Chapter 11 bankruptcy on July 9, 2025, in the U.S. Bankruptcy Court for the Northern District of Texas, and the case is still open. The company listed between $1 billion and $10 billion in assets and liabilities, faced nearly 1,000 injury and wrongful death lawsuits, and disclosed that unsecured creditors — including families holding settlements — “may get nothing.”1U.S. Senate. The filing covered Genesis HealthCare, Inc. and 298 affiliated entities under Case No. 25-80185, assigned to Judge Stacey G. Jernigan. At the time, Genesis ran 175 skilled nursing and assisted living facilities across 18 states and employed roughly 27,000 people.3Skilled Nursing News. How Genesis Got Here
The debt problem traces to 2007, when private equity firms Formation Capital and JER Partners took Genesis private in a $1.7 billion leveraged buyout, financed largely with debt placed on the company’s own books.5Private Equity Stakeholder Project. Genesis Healthcare Files for Bankruptcy In 2011, the owners sold 147 Genesis real estate properties to Health Care REIT (now Welltower) for $2.4 billion, turning Genesis into a tenant under long-term triple-net leases responsible for rent, taxes, insurance, and maintenance. Proceeds went to investors rather than into the facilities.6Center for Economic and Policy Research. Inside the Genesis Private Equity Bankruptcy Case
By 2021, Genesis was again close to bankruptcy. Joel Landau’s firm ReGen Healthcare, affiliated with Pinta Capital Partners, put in $100 million for a 93% equity stake and two board seats. What It Means for Families With Settlements and Lawsuits
At filing, Genesis faced nearly 1,000 pending and settled lawsuits tied to patient injuries and deaths, with estimated liability of $259 million.8CBS News. A joint investigation by KFF Health News and CBS News found that Genesis had a pattern of signing settlement agreements and then using contract provisions to defer payments, often for a year or more. Of 155 settlement agreements reviewed, Genesis had paid nothing in 85 and only partial amounts in 70, leaving $41 million of the $58 million it had promised still unpaid at the filing date.9KFF Health News. Genesis Bankruptcy Judge Ruling on Delayed Settlement Payments Individual cases show what that looks like:
- A $3.5 million wrongful death settlement for Nancy Hunt, signed in August 2024, with $1.4 million still owed.
- A $650,000 wrongful death settlement for Nellie Betancourt, agreed in April 2025, on which Genesis filed for bankruptcy before the first installment was due.
- A $3 million neglect settlement for the estate of Alma Brown, on which Genesis stopped payments after $1 million and declared bankruptcy the day a judge ordered fines for non-payment.
- A $925,000 settlement for sexual assault, in the R.S. case, with nothing paid.8CBS News. Genesis Nursing Home Bankruptcy Settlements
The bankruptcy filing automatically stayed all pending litigation. Personal injury claims are unsecured, and in Chapter 11, secured creditors are paid before unsecured ones. The Blocked Insider Sale
When Genesis filed, it arranged a “stalking horse” bid from CPE 88988 LLC, an entity controlled by Joel Landau through WAX Dynasty Partners, to buy substantially all of the company’s assets. The proposed deal would have kept all 175 facilities operating and preserved employment for 27,000 workers, but it also included provisions releasing Landau, associate David Gefner, Pinta Capital Partners, and related entities from personal liability for claims against Genesis.10U.S. Senate. Senators Elizabeth Warren, Richard Blumenthal, and Peter Welch, along with Representative Maggie Goodlander, sent Genesis a demand for information in October 2025, and on December 8, 2025, Warren, Blumenthal, and Goodlander filed an amicus brief urging the court to appoint an independent examiner.11U.S. Senate. Warren, Blumenthal, Goodlander File Amicus Brief Pushing for Independent Examiner The U.S. Trustee’s office also opposed the proposed insider sale.
In December 2025, Judge Jernigan refused to approve it, citing “too many irregularities” in the auction, including the exclusion of certain bidders and the undervaluing of competing offers. She said she could not approve any sale with liability releases for Landau and Gefner without Landau first testifying under oath about his good faith, and ordered the auction redone under the U.S. Trustee’s supervision.9KFF Health News. The New Buyer
On January 7, 2026, Judge Jernigan approved Genie 3 Partners LLC as a new stalking horse bidder, with an offer of nearly $1 billion made up of $259 million in cash, a $100 million unsecured promissory note, and the assumption of significant liabilities. The redone auction took place on January 14, 2026. After five rounds, 101 West State Street LLC was selected with an offer of about $1.02 billion — $343 million in cash, a $100 million promissory note, and the assumption of $572 million in liabilities. The U.S. Trustee’s office then moved to install an independent Chapter 11 trustee, arguing Genesis management had conflicts of interest. On January 29, 2026, Judge Jernigan denied that motion, finding the evidence did not meet the threshold and that appointing a trustee would be disruptive, add administrative cost, and risk triggering the buyer’s termination rights.15McKnight’s Long-Term Care News. In March 2026, Genesis and the unsecured creditors committee filed an adversary proceeding inside the bankruptcy to block repayment of roughly $96 million in secured term loans held by Landau- and Gefner-controlled entities Wax Dynasty Partners and MAO 22322, alleging the debt was acquired with “actual intent to hinder, delay, or defraud” other creditors.
