Form BD is the Uniform Application for Broker-Dealer Registration, and any firm that plans to buy or sell securities for customers or its own account files it electronically through the Central Registration Depository (CRD) to register with the SEC, FINRA, and the states where it will operate. The form itself is only part of the process. A complete registration also requires a FINRA New Member Application, individual Form U4 filings for each representative, payment of SRO and state fees, and proof that the firm meets minimum net capital and other financial responsibility rules before it can legally do business.
Who Has to File Form BD
Section 15 of the Securities Exchange Act of 1934 requires registration for anyone in the business of executing securities transactions for others (a broker) or buying and selling securities for its own account (a dealer).1Office of the Law Revision Counsel. 15 USC 78o – Registration and Regulation of Brokers and Dealers If your firm does either on a regular basis, you file Form BD with the SEC, join a self-regulatory organization such as FINRA, and register in every state where you plan to operate.2U.S. Securities & Exchange Commission. A few categories sit outside the requirement. Banks generally fall outside the broker-dealer definition when their securities activities stay within statutory limits. Issuers selling their own securities without a third-party broker can avoid registration, as can firms dealing only in exempt securities like U.S. government obligations and certain purely intrastate dealers that don’t use any national exchange.2U.S. Securities & Exchange Commission. What Form BD Asks For
Before you touch CRD, spend real time on data collection. Most applications that generate deficiency notices trip on the same three areas.
Legal Entity and Ownership
You need certified copies of your articles of incorporation or organization documents and complete detail on the firm’s structure. Schedule A discloses direct owners and executive officers using ownership codes from under 5% up to 75% or more. Schedule B captures indirect owners holding 25% or more of a voting class.3Securities and Exchange Commission. Verify these figures against your operating agreement or shareholder records before filing.
Social Security numbers requested on the form are voluntary under the form’s instructions.3Securities and Exchange Commission. Form BD – Uniform Application for Broker-Dealer Registration Each associated person who will sell securities or supervise those who do must separately file a Form U4 through CRD, which captures employment history, disciplinary records, and qualification exam results.4FINRA. Jurisdictions and SRO Selections
The form asks you to check off every state, territory, and SRO where you want to register. Each carries its own initial fee. Based on FINRA’s published schedule, state initial registration fees range from $40 in Texas to $600 in Illinois and New Jersey, with most states between $200 and $300.5FINRA. Most firms select FINRA as their designated examining authority, making FINRA the primary regulator for financial and operational examinations.
Disclosure Reporting Pages
The Disclosure Reporting Pages (DRPs) are the most sensitive part of the form. They require detailed answers about the regulatory, civil, criminal, and financial history of the firm and its control persons. Every “yes” answer triggers an obligation to submit a written narrative explaining the circumstances, with copies of the relevant legal or regulatory documents attached. Vague DRP narratives are a top reason applications stall. Write each one as if a skeptical regulator will read it in isolation, with no other context.
Filing Through CRD
All Form BD filings go through the Central Registration Depository, operated by FINRA. CRD handles registration records for firms, branch offices, and individual representatives, and it processes fee payments, fingerprint submissions, and qualification exam records.6FINRA. Your filing isn’t considered submitted until all required fees clear through CRD’s centralized payment mechanism. Once submitted, the form enters the review pipeline. FINRA staff and state regulators review it, and the SEC’s own review generally begins after FINRA completes its membership application process. Deficiency notices come through CRD and detail exactly what you need to correct. Prompt, complete responses matter; vague or partial answers just generate more rounds. Registration becomes effective when the SEC issues a formal approval order, and you’ll receive electronic notification through CRD on that date.
The FINRA Membership Application
Filing Form BD alone does not get your firm registered. For most broker-dealers, FINRA membership is mandatory, which requires a separate New Member Application (NMA) governed by FINRA Rules 1011 through 1019.7FINRA. Application fees are based on firm size. They range from $7,500 for a small firm with 1 to 10 registered persons up to $55,000 for a large firm with more than 5,000 registered persons. Firms that intend to clear and carry accounts pay an additional $5,000 surcharge.8FINRA. Schedule of Registration and Exam Fees
FINRA has 180 calendar days to process a substantially complete application. You’ll have 60 days to respond to the staff’s initial request for information and only 30 days for any follow-up requests. Miss either deadline and FINRA can reject or lapse the application, forcing you to start over with a new filing and new fees.9FINRA. How to Become a Member – Membership Application Time Frames
FINRA reviewers look well beyond the paperwork. Staff examine the disciplinary history of the firm and every associated person, pending arbitration claims, unpaid customer awards, and whether the firm’s supervisory systems and net capital are adequate for the proposed business.10FINRA. Financial Responsibility Requirements
A Form BD filing will not clear approval unless the firm can show it meets minimum financial standards.
Net Capital
SEC Rule 15c3-1 sets minimums that vary by activity. A broker-dealer that does not hold customer funds or securities and does not carry customer accounts must maintain at least $5,000 in net capital. A firm that carries customer accounts and holds their funds or securities must maintain at least $250,000.11eCFR. 17 CFR 240.15c3-1 – Net Capital Requirements for Brokers or Dealers Firms electing the alternative method must maintain the greater of $250,000 or 2% of aggregate debit items. FINRA can impose higher requirements on individual firms when it deems necessary for investor protection.12FINRA. FINRA Rule 4110 – Capital Compliance
Fidelity Bond
FINRA Rule 4360 requires member firms to maintain fidelity bond coverage against losses from dishonest acts by employees. Firms with a net capital requirement below $250,000 must carry coverage equal to 120% of that requirement or $100,000, whichever is greater. Firms with higher net capital requirements carry amounts set by a schedule in the rule. Coverage must apply on a per-loss basis with no aggregate cap, and firms calculate the bonding requirement using the highest net capital requirement from the preceding 12 months.
Annual Audit
SEC Rule 17a-5 requires registered broker-dealers to have their financial statements audited annually by an independent firm registered with the Public Company Accounting Oversight Board (PCAOB). The audit follows PCAOB standards and includes an examination or review of the broker-dealer’s compliance with key financial responsibility rules, including those governing the safekeeping of customer assets.13Public Company Accounting Oversight Board. Keeping Form BD Current
Registration is not a one-time filing. FINRA’s By-laws require every firm to keep Form BD current at all times by filing supplementary amendments no later than 30 days after learning of the facts that trigger the change.14FINRA. Events that require a timely amendment include:
- Any ownership change that creates a new control person, or any change to the direct or indirect ownership shown on Schedules A and B.3Securities and Exchange Commission. Form BD – Uniform Application for Broker-Dealer Registration
- Any change to the firm’s legal name, business address, or mailing address.
- Any new “yes” answer to a DRP question, which must include a detailed narrative.
- Adding or removing a state or SRO registration.
- Any change in the SRO designated as the firm’s primary examiner.
A late amendment is itself a regulatory violation and shows up on FINRA’s timeliness report cards. Chronic late filers attract extra scrutiny at routine examinations.
Annual Renewal
Every registered broker-dealer goes through an annual renewal via CRD to keep its registrations active for the following calendar year. The renewal fee depends on how many jurisdictions the firm is registered in and how many associated representatives it has. FINRA issues a Preliminary Statement showing the total due, and full payment must be received and posted to your renewal or flex-funding account by December 8. Missing that date triggers a late fee. A Final Statement follows, and any remaining balance is due by January 23.15FINRA. Annual Renewal Program Non-payment does not produce a warning or grace period. Registration in the affected jurisdictions terminates automatically, and the firm loses authority to do business there.
Withdrawing Registration
A firm that stops operating as a broker-dealer or wants to end its registration files Form BDW through CRD. Before filing, the firm must first update its Form BD to correct any inaccurate information.16eCFR. 17 CFR 240.15b6-1 – Withdrawal From Registration Form BDW can be used for full withdrawal from all jurisdictions or partial withdrawal from selected ones.
Withdrawal does not take effect on the filing date. Under federal regulation, it becomes effective on the 60th day after filing unless the SEC determines a longer period is needed for investor protection. If the SEC has already begun proceedings to censure, limit, suspend, or revoke the firm’s registration, the withdrawal will not become effective until those proceedings are resolved on whatever terms the SEC sets.16eCFR. 17 CFR 240.15b6-1 – Withdrawal From Registration Even after withdrawal becomes effective for general purposes, the firm’s membership status under the Securities Investor Protection Act continues for an additional six months to cover customer claims arising before the withdrawal date.
