To amend a corporate tax return, a C corporation files Form 1120-X, Amended U.S. Corporation Income Tax Return, showing the figures from the original Form 1120, the net change to each line, and the corrected amounts, along with a written explanation and supporting documents.1Internal Revenue Service. About Form 1120-X, Amended U.S. Corporation Income Tax Return The form handles corrections that increase or decrease tax, and the IRS typically takes three to four months to process it.
When Form 1120-X Is the Right Form
Form 1120-X corrects a Form 1120 (or the older Form 1120-A) as originally filed or as later adjusted through an IRS examination or an earlier amendment.2Internal Revenue Service. Instructions for Form 1120-X Corporations also use it to make certain late elections when the IRS grants relief under its regulatory procedures.
Several situations look like amendments but call for a different form:
- Quick refund of estimated tax: Form 4466.
- Tentative refund from an NOL carryback, capital loss carryback, unused general business credit carryback, or claim-of-right adjustment: Form 1139, if filed within one year of the tax year that generated the carryback. Once that one-year window closes, Form 1120-X takes over.
- Change in accounting method: Form 3115.

The Filing Deadline
The general rule gives a corporation three years from the date it filed the original return, or two years from the date it paid the tax if it is claiming a refund, whichever period expires later.2Internal Revenue Service. One exception stretches the window to seven years: claims involving bad debts or worthless securities. If a corporation writes off a debt that later turns out to have been worthless in an earlier year, the seven-year period runs from the due date of the return for the year the loss should have been claimed.4Office of the Law Revision Counsel. 26 USC 6511 – Limitations on Credit or Refund
Corporations sometimes ask whether a net operating loss can be carried back to generate a refund for a prior year. For NOLs arising in tax years beginning after December 31, 2020, carrybacks are generally eliminated. The one exception is farming losses, which can still be carried back two years.5Office of the Law Revision Counsel. 26 US Code 172 – Net Operating Loss Deduction All other NOLs can only be carried forward.
Working Through Part I
Part I uses a three-column layout. Column (a) holds the amounts originally reported or as previously adjusted by the IRS. Column (b) captures the net change for each line. Column (c) is the corrected amount, calculated by combining columns (a) and (b).6Internal Revenue Service. Form 1120-X, Amended US Corporation Income Tax Return
Before working directly on the form, pull the original Form 1120, all schedules, any extensions filed, and any IRS correspondence about that year. Those figures fill column (a). Then calculate the exact difference between each original line item and its corrected value. That difference is what goes in column (b). Working the math on a spreadsheet first heads off arithmetic mistakes that can delay processing by months.
Identifying Information
The top of the form collects the corporation’s name, address, and Employer Identification Number exactly as they appeared on the original return. Specify the calendar year or fiscal year being amended and identify the type of return originally filed. Enter the date the original return was filed, because the IRS uses that date to verify the statute of limitations. If the corporation has already been examined by the IRS for this tax period, check the box indicating that prior activity.
Income, Deductions, and Tax
The core calculation lines are compact:
- Line 1, Total income: original amount in column (a), net change in column (b), corrected total in column (c).
- Line 2, Total deductions: same three-column approach.
- Line 3, Taxable income: Line 1 minus Line 2, computed independently in each column.
- Line 4, Total tax: apply the federal corporate rate to the corrected taxable income. For tax years beginning after December 31, 2017, that rate is a flat 21%.7Internal Revenue Service. Blended Tax Rates for Corporations
A decrease in income or an increase in deductions produces a negative net change in column (b); show negative amounts in parentheses. An increase in income or a decrease in deductions is a positive amount without parentheses. Enter amounts in column (b) only for lines that are actually changing.
Payments, Credits, and the Bottom Line
Lines 5 through 9 reconcile what the corporation already paid against the revised tax. They pull in prior-year overpayments applied as a credit, estimated tax payments, any refund applied for on Form 4466, tax deposited with Form 7004, refundable credits, and any tax deposited or paid with or after the original return. The result on Line 9 is the net amount already paid toward the year’s tax.
Lines 10 through 12 settle the outcome.6Internal Revenue Service. Form 1120-X, Amended US Corporation Income Tax Return If the corrected total tax on Line 4, column (c), exceeds Line 9, the difference is the additional tax due on Line 10. If Line 9 exceeds Line 4, column (c), the excess is an overpayment on Line 11. Line 12 lets the corporation choose how to apply an overpayment: credited to next year’s estimated tax, refunded, or split. Pay any balance due on Line 10 when you file, so interest stops accruing.
Writing Part II
Part II is the explanation of changes, and it is where amendments succeed or stall. The IRS wants a specific narrative for every change entered in column (b). “Corrected error in deductions” invites a follow-up letter. A specific entry naming the line, the dollar change, the reason, and the attached document does not.
When the amendment touches multiple lines, walk through each one and show how the changes interact. If a higher deduction on Line 2 reduced taxable income on Line 3 and lowered total tax on Line 4, spell out that chain. Attach every supporting document referenced in the narrative: revised depreciation schedules, corrected Schedule K-1s, amended Forms 4562, settlement agreements, anything that substantiates a number. If the amendment responds to an IRS notice or examination, include the correspondence and reference the notice number in Part II so the filing is routed to the right team. Missing attachments are one of the most common reasons the IRS suspends processing.
What the Corporation Owes or Gets Back
If the amendment shows underpaid tax, interest runs from the original due date of the return, not from the date the amendment is filed.8Office of the Law Revision Counsel. 26 USC 6601 – Interest on Underpayments Interest has been accruing the entire time between that due date and payment of the corrected amount. For the quarter beginning April 1, 2026, the standard underpayment rate is 6%, and large corporate underpayments (generally above $100,000) face an 8% rate.9Internal Revenue Service. The IRS can also impose an accuracy-related penalty of 20% on the underpaid portion if the original return contained a substantial understatement of income tax. For a C corporation (excluding S corporations and personal holding companies), a substantial understatement exists when the understatement exceeds the lesser of 10% of the tax that should have been shown on the return (or $10,000 if that’s greater) and $10 million.11Office of the Law Revision Counsel. 26 USC 6662 – Imposition of Accuracy-Related Penalty Filing the amendment voluntarily before the IRS makes contact generally shows good faith, which can weigh in the corporation’s favor if penalty abatement becomes an issue.
When the amendment produces a refund, the IRS pays interest as well, at a lower rate. For the quarter beginning April 1, 2026, corporate overpayments earn 5%, dropping to 3.5% on any portion exceeding $10,000.12Internal Revenue Service. Internal Revenue Bulletin 2026-08 On a large refund, that interest can be meaningful given the processing time.
Filing and What Happens After
Form 1120-X can be filed electronically through the IRS Modernized e-File system. The IRS has approved MeF providers for tax years 2022 through 2025.13Internal Revenue Service. 1120x Modernized e-File (MeF) Providers Electronic filing generally speeds up processing and confirms receipt.
Paper filers mail the completed form, all supporting schedules and documentation, and a check or money order payable to the United States Treasury for any balance due on Line 10. The IRS directs filers to send the form to the same service center where the original return was filed.14Internal Revenue Service. Where to File – Forms Beginning With the Number 1 Send paper submissions by certified mail with return receipt requested for proof of the filing date. An authorized corporate officer must sign and date the form. Keep a complete copy of everything submitted, including the Part II narrative and every attachment.
The IRS estimates processing at three to four months.15Internal Revenue Service. Instructions for Form 1120-X Paper filings and thin explanations push toward the longer end. Do not assume the amendment has been accepted simply because the IRS cashed a check for a balance due. Once review finishes, the corporation receives a formal notice. A refund arrives as a check or direct deposit with a Notice of Adjustment showing how the IRS calculated the amount and any interest. If the IRS disagrees with part or all of the amendment, the notice explains the IRS’s position and the corporation’s rights to respond or appeal.
The State Return That Follows
A federal amendment almost always triggers a state filing. Most states require corporations to file an amended state return whenever a federal change affects state taxable income. The typical window for notifying state tax authorities runs from 90 days to six months after the federal change is finalized, though the exact period varies by state. Waiting for the IRS to notify the state is a mistake. The information-sharing between the IRS and state revenue departments is not instantaneous, and by the time a state learns about the change independently, the corporation may have missed its deadline and triggered penalties.
The safer approach is to file the amended state return as soon as Form 1120-X goes to the IRS, or immediately after receiving the notice of adjustment if the final federal numbers differ from what was filed. Check each state where the corporation files. Some states have their own amended return forms; others accept a copy of the federal 1120-X with a state cover sheet.
