The Federal Arbitration Act is a 1925 federal statute that makes written arbitration clauses in contracts involving interstate or foreign commerce legally binding and enforceable in both federal and state courts. It requires judges to pause lawsuits that belong in arbitration, order refusing parties to arbitrate, and confirm the resulting awards as court judgments. It also strictly limits the grounds on which an arbitration award can be thrown out. A handful of narrow exceptions apply, most notably for certain transportation workers and for sexual assault and harassment claims.
What Contracts the FAA Covers
The statute reaches written arbitration clauses in two kinds of agreements: maritime contracts and contracts that involve commerce between states or with foreign countries.1Office of the Law Revision Counsel. 9 USC 1 – Maritime Transactions and Commerce Defined; Exceptions to Operation of Title Courts read “involving commerce” broadly. If a transaction touches interstate activity in any real way, the FAA almost certainly applies. That covers most modern business and consumer contracts, from cell phone service agreements to employment contracts at companies operating across state lines.
The Act reaches state courts too. In Southland Corp. v. Keating (1984), the Supreme Court held that the FAA creates federal substantive law binding on state and federal courts alike. A state court cannot refuse to enforce an arbitration clause just because state law disfavors arbitration.
Federal Preemption of State Law
Because the FAA is federal substantive law, it overrides state rules that single out arbitration for special treatment. A state cannot impose formatting or procedural requirements on arbitration clauses that it does not impose on contracts generally. In AT&T Mobility LLC v. Concepcion (2011), the Court struck down a state rule that treated class-action waivers in consumer arbitration agreements as automatically unconscionable. Epic Systems Corp. v. Lewis (2018) extended the point to employment agreements. Together, these rulings mean businesses can generally enforce clauses requiring disputes to be arbitrated individually rather than as a class or collective action.
Preemption has limits. States can still apply neutral contract defenses like fraud, duress, or unconscionability to arbitration clauses, as long as those defenses apply equally to every kind of contract. The line courts draw separates laws that happen to affect arbitration, which are allowed, from laws that target arbitration, which are not.
Who Is Exempt
Transportation Workers
The FAA excludes employment contracts for seamen, railroad employees, and any other class of workers engaged in interstate or international commerce.1Office of the Law Revision Counsel. 9 USC 1 – Maritime Transactions and Commerce Defined; Exceptions to Operation of Title Courts read this exemption narrowly. In Southwest Airlines Co. v. Saxon (2022), the Supreme Court held that the test looks at the actual work a class of workers performs, not the employer’s general business. Airline cargo loaders qualified because they physically load and unload freight moving in interstate commerce. Office workers at the same airline would not.
The exemption matters most for truck drivers, freight handlers, delivery workers, and similar roles. Workers outside the transportation sector are generally covered by the FAA even if their employer’s business involves interstate commerce.
Sexual Assault and Harassment Claims
In 2022, Congress carved out another significant exception. Under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act, a person alleging sexual assault or sexual harassment can choose to bring the claim in court, even if they previously signed an arbitration agreement covering the dispute.2Office of the Law Revision Counsel. 9 USC 402 – No Validity or Enforceability The election belongs to the person making the allegation, or to the named class representative in a collective action. The employer or company on the other side cannot push the dispute back into arbitration.
The law also voids predispute joint-action waivers for these claims, so a class-action waiver cannot block group litigation over sexual assault or harassment allegations. Whether the exemption applies is always decided by a court, not an arbitrator, no matter what the contract says.2Office of the Law Revision Counsel. 9 USC 402 – No Validity or Enforceability It applies to disputes arising on or after March 3, 2022.
How Arbitration Agreements Get Enforced
The core provision of the FAA declares that a written agreement to arbitrate a dispute arising from a covered contract is valid, binding, and enforceable.3Office of the Law Revision Counsel. 9 USC 2 – Validity, Irrevocability, and Enforcement of Agreements to Arbitrate Arbitration clauses sit on equal footing with every other contract term. You cannot simply walk away from the promise once a dispute develops.
The same statute preserves a saving clause. An arbitration agreement can still be invalidated on any ground that would justify revoking any other contract.3Office of the Law Revision Counsel. 9 USC 2 – Validity, Irrevocability, and Enforcement of Agreements to Arbitrate Fraud, duress, and unconscionability all remain available. The catch is that the defense has to apply to contracts generally, not just to arbitration clauses.
Normally a court decides whether the agreement is valid in the first place. Some contracts include a “delegation clause” giving the arbitrator power to rule on threshold questions like whether the clause covers the dispute. Courts enforce delegation clauses only when the language is clear and unmistakable. Boilerplate usually is not enough.
Staying a Court Case
When someone sues in federal court over an issue covered by an arbitration agreement, the other side can ask the court to pause the case. If the court is satisfied the dispute falls within a valid arbitration agreement, it must grant the stay and halt the litigation until arbitration finishes.4Office of the Law Revision Counsel. 9 USC 3 – Stay of Proceedings Where Issue Therein Referable to Arbitration The judge has no discretion. Once the requirements are met, the stay is mandatory.
One catch trips people up. The party asking for the stay must not be in default on the arbitration itself.4Office of the Law Revision Counsel. 9 USC 3 – Stay of Proceedings Where Issue Therein Referable to Arbitration You cannot drag your feet on starting or participating in arbitration and then ask a court to freeze the lawsuit.
Compelling a Refusing Party
When one side flatly refuses to arbitrate, the other can petition a federal district court for an order compelling arbitration.5Office of the Law Revision Counsel. 9 USC 4 – Failure to Arbitrate Under Agreement; Petition to United States Court Having Jurisdiction for Order to Compel Arbitration The petitioner has to show a written arbitration agreement exists and the other side has refused to honor it. If the existence of the agreement is itself in dispute, the court holds a hearing, and in some cases a jury trial, before ordering anyone into arbitration.
One detail catches parties off guard: the FAA does not create its own basis for federal court jurisdiction. To file a motion to compel in federal court, you need an independent jurisdictional hook, typically diversity of citizenship or a federal question in the underlying dispute. Without that, you may have to seek the order in state court.
Arbitrator Selection and Powers
Most arbitration agreements specify how the arbitrator gets picked, often by naming an administering organization like the American Arbitration Association. When an agreement is silent or the agreed method breaks down, the FAA lets a court appoint an arbitrator.6Office of the Law Revision Counsel. 9 USC 5 – Appointment of Arbitrators or Umpire Unless the agreement says otherwise, the default is a single arbitrator.
Arbitrators also have real investigative tools. They can issue written summonses requiring witnesses to appear and bring relevant documents.7Office of the Law Revision Counsel. 9 USC 7 – Witnesses Before Arbitrators; Fees; Compelling Attendance If a witness ignores the summons, the arbitrators can turn to a federal district court to compel attendance or hold the person in contempt. In practice, discovery from third parties in arbitration tends to be more limited than in traditional litigation, and federal circuits are split on how far arbitrators can go in demanding pre-hearing document production from non-parties.
What Courts Can Do to the Award
Once the arbitrator issues a decision, any party can ask a court to confirm the award, turning it into an enforceable judgment.8Office of the Law Revision Counsel. 9 USC 9 – Award of Arbitrators; Confirmation; Jurisdiction; Procedure If the arbitration clause said a court judgment should be entered on the award, the court must confirm it unless the award has been vacated, modified, or corrected. A confirmed award carries the same weight as any other federal court judgment.
Grounds for Vacating an Award
Courts can throw out an arbitration award only on four narrow statutory grounds:9Office of the Law Revision Counsel. 9 USC 10 – Same; Vacation; Grounds; Rehearing
- The award was procured by corruption, fraud, or undue means.
- The arbitrators showed evident partiality or corruption.
- The arbitrators refused to postpone a hearing when justified, refused to hear relevant evidence, or otherwise engaged in misconduct that prejudiced a party.
- The arbitrators exceeded their powers or failed to make a definitive decision on the matters submitted.
Notice what is missing: “the arbitrator got the law wrong” is not on the list. Some federal circuits have recognized a judge-made doctrine called “manifest disregard of the law,” but the Supreme Court has never endorsed a clear standard for it, and circuits disagree about whether it even survives after Hall Street Associates v. Mattel (2008). For practical purposes, an arbitrator’s legal reasoning is largely unreviewable.
Modifying or Correcting an Award
Short of vacating the whole award, a court can fix an obvious math error, a mistake in describing a person or property, or a formatting defect that does not affect the merits.10Office of the Law Revision Counsel. 9 USC 11 – Same; Modification or Correction; Grounds; Order A court can also correct an award that addresses matters the parties never submitted, so long as the extra material does not change the outcome on the issues that were properly before the arbitrator.
Deadlines
To vacate, modify, or correct an award, you must serve notice of your motion on the opposing party within three months after the award is issued.11Office of the Law Revision Counsel. 9 USC 12 – Notice of Motions to Vacate or Modify; Service; Stay of Proceedings Miss that window and you lose the right to challenge the award. For confirmation, the statute allows one year from the date of the award.8Office of the Law Revision Counsel. 9 USC 9 – Award of Arbitrators; Confirmation; Jurisdiction; Procedure Courts regularly reject motions filed even days late.
Appeals of Arbitration Orders
The FAA builds in a deliberate asymmetry on appeals. Orders that send a dispute to arbitration generally cannot be appealed right away. Orders that keep a dispute in court can be.12Office of the Law Revision Counsel. 9 USC 16 – Appeals
You can appeal immediately if a court:
- Refuses to stay litigation in favor of arbitration.
- Denies a petition to compel arbitration.
- Confirms, denies confirmation of, modifies, corrects, or vacates an award.
- Issues an injunction against an arbitration.
You generally cannot file an immediate appeal if a court:
- Grants a stay of litigation and sends the case to arbitration.
- Orders arbitration to proceed.
- Refuses to block an arbitration from going forward.
The pattern tracks the FAA’s pro-arbitration policy. A party forced into court against its will gets an immediate path to an appellate court. A party forced into arbitration typically has to wait for a final decision.12Office of the Law Revision Counsel. 9 USC 16 – Appeals
