Who Has to File

Every entity approved by Fannie Mae as a seller, a servicer, or both must submit Form 582 each year. Deadline and How to Access the Form

Submission runs through Fannie Mae’s Enterprise Customer Relationship Management (ECRM) application. To get in, ask your company’s Fannie Mae corporate administrator to assign you the FORM582_BUSINESS_ROLE. Once you officially submit a fiscal year’s Form 582, the next year’s form opens immediately and you can update it as changes occur. The submitted version locks.   • Quality Control. You choose your QC vendors from a picklist rather than typing them in, and confirm your program meets Selling Guide standards.

Financial Thresholds You’re Certifying

The financial requirements Form 582 documents apply continuously, not just at filing. Your annual certification is a snapshot of standards you have to maintain all year.

Minimum Net Worth

  • 0.25% of residential first-lien mortgage servicing UPB serviced for Fannie Mae and Freddie Mac
  • 0.35% of residential first-lien UPB serviced for Ginnie Mae

Capital and Liquidity

Depository seller/servicers must meet the minimum regulatory capital requirements of their primary regulator at all times. Non-depositories also face ongoing liquidity minimums calculated on servicing UPB, and the rate varies with remittance type and investor. Loans serviced for Fannie Mae and Freddie Mac under scheduled/scheduled or scheduled/actual remittance require 0.07% of UPB in allowable liquidity, actual/actual remittance requires 0.035%, and Ginnie Mae servicing requires 0.10%. Fidelity Bond Coverage

Your fidelity bond is part of what Form 582 confirms, and coverage has to keep pace with your book of business. The bond must protect against losses from dishonest or fraudulent acts by your principal owner, employees, outside firms providing legal or data processing services, temporary workers, and interns.6Fannie Mae. Required coverage is a percentage of the greater of your annual total UPB of originations or your highest monthly total UPB of servicing. Fannie Mae accepts a Mortgage Bankers Blanket Bond, Savings and Loan Blanket Bond, or Bankers Blanket Bond. The tiered coverage schedule:6Fannie Mae.   • $100 million UPB or less: $300,000 minimum coverage, with a maximum deductible of 10% of the policy face value or $100,000, whichever is higher.
  • Over $100 million up to $1 billion: add 0.150% of the next $400 million and 0.125% of the next $500 million, with a maximum 15% deductible.
  • Over $1 billion: add 0.100% of any amount above $1 billion, with a maximum 15% deductible.

The maximum coverage Fannie Mae requires is $150 million regardless of portfolio size. Reporting Changes Between Annual Filings

The annual filing is only half of it. When a reportable event occurs during the year, you must update the Pending Actions section of Form 582 and email Fannie Mae’s Changes in Lender Organization mailbox within five business days.7Fannie Mae.   • Threatened or pending legal actions that could materially affect your ability to comply with your Lender Contract, your financial status, or your servicing or origination operations.
  • Material adverse changes in the circumstances and qualifications that were in place when Fannie Mae approved you or completed its most recent operational review.
  • Any event that has, or could reasonably be expected to, materially affect your loan origination, your servicing of Fannie Mae loans, or your overall financial or business condition.

Major organizational changes also require advance written notification: mergers, acquisitions, reorganizations, substantial ownership changes, senior management turnover, legal name changes, charter conversions, and sales or purchases of substantially all of a seller/servicer’s assets.8Fannie Mae. This is where companies most often slip. Five business days is a tight window, and it’s easy to miss that an internal change triggered a reporting obligation. When in doubt, report it. Fannie Mae will tell you the notice was unnecessary; silence on something material puts your approval at risk.

What Happens If You Miss the Deadline

A late Form 582 can be treated as a breach of your Lender Contract.1Fannie Mae.   • Indemnification for actual and projected losses
  • Loan repurchases or make-whole payments
  • Compensatory fees
  • Suspension of your approval or other formal sanctions
  • More frequent financial and operational reporting
  • A block on acquiring additional Fannie Mae servicing
  • A required sale and transfer of all or part of your Fannie Mae servicing portfolio within 90 days
  • Cash collateral posting
  • Limits on trading desk transactions

Practical Tips for a Clean Filing

Engage your auditor early. The AFS requires an independent audit under GAAP, and firms with mortgage clients often have seasonal backlogs. Late audits are the single most common cause of late Form 582 filings.

Recheck your fidelity bond against current UPB before you submit. If your servicing book grew during the year, last year’s coverage level may no longer satisfy the tiered schedule. Finding that gap after you lock the form is an avoidable compliance issue.

Work through the Roles in Your Organization section carefully. The CFO designation is mandatory, and any turnover during the year should already be reflected.4Fannie Mae. Keep a running log of every mid-year event that triggered a five-business-day notice, and reconcile it against the Pending Actions section before you finalize the annual form.
