If your EIN doesn’t have LLC in the name, it usually isn’t a tax problem, because the IRS identifies your business by the nine-digit number rather than the suffix on the name line. Where it does bite is at the bank window, on 1099s, and in formal contracts. The fix doesn’t require a new EIN. You update the name on the one you already have.
Does the Missing “LLC” Actually Matter?
For federal tax matching, rarely. The IRS uses your EIN to attach returns to your account, so a name that reads “Acme Consulting” instead of “Acme Consulting LLC” won’t cause an outright rejection of most filings. It can, however, cause an e-filed return to be flagged for a name mismatch and require correction before it will process.1Internal Revenue Service. Age, Name or SSN Rejects, Errors, Correction Procedures For an annual return that’s an inconvenience. For quarterly payroll filings it becomes a recurring one.
The problems that hurt more happen outside the IRS.
Business Bank Accounts
Banks are required to collect and verify a business customer’s name, address, and taxpayer ID before opening an account.2FFIEC. BSA/AML Manual – Customer Identification Program They check the EIN confirmation letter (the CP 575 the IRS mailed you) against your articles of organization. If one has “LLC” and the other doesn’t, a lot of banks will refuse to open the account until you resolve the discrepancy. Some compliance officers will exercise discretion. Many won’t.
1099 Name/TIN Mismatches and Backup Withholding
This is the consequence most owners don’t see coming. When a client reports payments to you on a 1099, they submit your name and EIN. If the combination doesn’t match IRS records, the IRS sends the payer a CP2100 or CP2100A notice. The payer then sends you a “B” notice asking you to verify your information on a new W-9. If it isn’t resolved, the payer is required to begin backup withholding on your payments. That’s money pulled from what you’ve already earned, held until you file your return and claim it back.3Internal Revenue Service. Backup Withholding “B” Program For any business with meaningful 1099 income, that’s a cash-flow hit.
Contracts, Leases, and Procurement
Government contracts, commercial leases, and formal vendor agreements often demand documentation that exactly matches your LLC’s legal name. A W-9 that omits “LLC” when your contract includes it can hold up payments. Small-client invoicing rarely surfaces the issue. Procurement paperwork surfaces it fast.
A Note for Single-Member LLCs
If you’re the sole owner and haven’t elected corporate tax treatment, the IRS treats your LLC as a disregarded entity. For income tax purposes, a disregarded single-member LLC generally uses the owner’s SSN or personal EIN on information returns rather than the LLC’s own EIN.4Internal Revenue Service. Single Member Limited Liability Companies If your LLC has no employees and no excise tax obligations, you may not even need a separate EIN.
If the LLC does have employees, though, it must use its own name and EIN for employment tax reporting.4Internal Revenue Service. Single Member Limited Liability Companies In that case, a mismatched name matters as much as it would for any multi-member LLC because your payroll filings need to line up with the IRS database.
How To Correct the Name on Your EIN
You don’t need a new EIN. The IRS states that a name change alone never requires a new EIN for an LLC.5Internal Revenue Service. When To Get a New EIN You update the name on the existing one, using one of three methods.
Send the IRS a Letter
Write to the IRS with your LLC’s EIN, the current name on file, and the correct legal name you want reflected. Attach a copy of your state-filed articles of organization (or articles of amendment) showing the name with its LLC designation. An authorized person has to sign the letter. Mail it to the IRS address where your business files its returns.6Internal Revenue Service. Business Name Change That address is in the instructions for whichever form your LLC uses (Form 1065, 1120, 1120-S, or Schedule C with Form 1040).
Check the Name-Change Box on Your Next Return
If your LLC is taxed as a partnership or corporation and you haven’t yet filed the current year’s return, you can report the correction on the return itself. On Form 1065, check Page 1, Line G, Box 3. On Form 1120-S, use Page 1, Line H, Box 2. On Form 1120, use Page 1, Line E, Box 3.6Internal Revenue Service. Employer Identification Number That’s the letter banks and vendors will want to see.
Don’t Use Form 8822-B
Form 8822-B changes your business address or responsible party, not your business name.9Internal Revenue Service. About Form 8822-B, Change of Address or Responsible Party – Business Filing it for a name correction won’t do what you need and can confuse your records.
Getting Proof for the Bank
Once the IRS updates the name, you’ll want documentation you can hand to a bank or a client. Letter 147C is that document. It confirms your EIN and the name currently on file, and you can request it through the Business and Specialty Tax Line at 800-829-4933 or by requesting an entity transcript.8Internal Revenue Service. Letter 147C does the same practical job as the original CP 575 notice you received when the EIN was first issued. If your CP 575 is lost, or if it shows the old name, the 147C replaces it. Most banks will accept it for opening an account or updating an existing one, provided the name now matches your articles of organization.
