Documentary Stamp Tax Exemptions and Penalties

Florida documentary stamp tax exemptions cover a defined list of transactions: obligations issued by state and local governments, certain nonprofit transfers of conservation land, deeds between spouses as part of a divorce, homestead transfers between spouses secured only by an existing mortgage, student loan notes, qualifying renewal notes, certificates of deposit, correction deeds, employee relocation contracts, and transfers made under a confirmed Chapter 11 bankruptcy plan. Several transactions people assume are exempt — deeds in lieu of foreclosure, transfers of a mortgaged home into a revocable trust, divorce transfers of non-marital property — are not. Getting the distinction right matters, because an improperly claimed exemption can trigger the original tax plus penalties of up to 50 percent and 1 percent monthly interest.

Government-Issued Obligations

Florida Statute 201.24 exempts any obligation to pay money issued by a municipality, political subdivision, or state agency, along with documents arising from certain school district lease-purchase agreements.1Online Sunshine. Florida Statutes 201.24 – Obligations of Municipalities, Political Subdivisions, and Agencies of the State A bond or note issued by one of these entities carries no documentary stamp tax for any party.

The federal government is a different situation, and it catches people. Federal sovereign immunity means the United States itself cannot be taxed, but the document is not automatically exempt. Under Florida Statute 201.01, when the federal government is a party, the nonexempt party pays the full tax unless that party has its own exemption.2Online Sunshine. Florida Statutes 201.01 – Documents Taxable, Generally A 1991 Florida Attorney General opinion applied this to Small Business Administration foreclosures: when a commercial lender transferred property to the SBA, the lender owed the tax.3My Florida Legal. Documentary Stamp Taxes (AGO 91-54) All parties to a taxable document share liability, so one party’s exemption does not shield the other.

Nonprofit Conservation Transfers

This exemption is narrower than most people expect. It does not reach every 501(c)(3) organization, and it does not reach every transaction a qualifying nonprofit undertakes. It covers only real property transfers from a qualifying nonprofit to one of four recipients: the Board of Trustees of the Internal Improvement Trust Fund, a state agency, a water management district, or a local government. The nonprofit must be exempt under Section 501(c)(3) of the Internal Revenue Code, and its purpose must be the preservation of natural resources.4Florida Senate. Florida Code 201.02 – Tax on Deeds and Other Instruments Relating to Real Property or Interests in Real Property

A conservation land trust selling a tract to a county government qualifies. The same trust selling to a private developer does not, even though the organization’s tax status has not changed. The exemption follows the transaction, not the entity.

Divorce and Spousal Transfers

Transfers in a Dissolution of Marriage

No documentary stamp tax is due on a deed transferring the marital home between spouses or former spouses as part of a dissolution of marriage. The statute applies this exemption “in spite of any consideration,” so an outstanding mortgage does not defeat it.4Florida Senate. Florida Code 201.02 – Tax on Deeds and Other Instruments Relating to Real Property or Interests in Real Property If you already transferred the marital home and paid the tax within one year before the divorce was finalized, you can seek a refund.5Florida Department of Revenue. The limitation is strict: the exemption reaches only the property that was the couple’s marital home. A rental, a vacation house, or any other real estate transferred in the settlement is taxable, even when the court orders the transfer.

Transfers Between Spouses Outside a Divorce

Outside of a divorce, the rule splits by property type. A deed transferring homestead property between spouses is exempt when the only consideration is the existing mortgage or lien. That covers transfers from one spouse to the other, from one spouse to both, or from both to one.4Florida Senate. Florida Code 201.02 – Tax on Deeds and Other Instruments Relating to Real Property or Interests in Real Property

Non-homestead property is taxable. If the property carries a mortgage, tax is generally due on half of the outstanding balance, because the receiving spouse is effectively taking on half of the debt as new consideration.6Florida Department of Revenue. Documentary Stamp Tax

Exempt Notes and Financial Instruments

Student Financial Aid Notes

Promissory notes for student financial aid are exempt. The exemption covers notes for federal or state educational assistance programs, loans guaranteed by the federal or state government where federal regulations prohibit charging the borrower, and loans administered by a state university or community college. Holders of these notes do not lose any rights because the tax was not paid.7Online Sunshine. Florida Statutes 201.08 – Tax on Promissory or Nonnegotiable Notes, Written Obligations to Pay Money, or Assignments of Wages or Other Compensation; Exception

Renewal Notes

A renewal note that simply extends an existing obligation is exempt, so long as it does not add new borrowers or increase the principal beyond what was originally owed (excluding accumulated interest). The original note must be attached to the renewal with a notation confirming the tax was previously paid. For term obligations, the renewal may cover only the unpaid balance; for revolving obligations, it may renew up to the original face amount.8Online Sunshine. Florida Statutes 201.09 – Renewal of Existing Promissory Notes and Mortgages; Exemption

If a renewal increases the principal or adds obligors, tax applies only to the increase, not the full balance. Renewals of adjustable-rate notes with an initial adjustment interval of at least six months are taxed only on any accrued interest not previously taxed.8Online Sunshine. Florida Statutes 201.09 – Renewal of Existing Promissory Notes and Mortgages; Exemption

Certificates of Deposit and SBA 504 Loans

Certificates of deposit issued by a bank, banking association, or trust company are exempt.9Legal Information Institute. Florida Admin Code Ann R 12B-4.054 – Exempt Transactions SBA 504 loan documents get a partial exemption. When the SBA is named as obligee or mortgagee and the new note increases the principal of an interim loan on which documentary stamp tax was already paid, additional tax is owed only on the increase above the current principal balance.7Online Sunshine. Florida Statutes 201.08 – Tax on Promissory or Nonnegotiable Notes, Written Obligations to Pay Money, or Assignments of Wages or Other Compensation; Exception

Transfers Under a Confirmed Chapter 11 Plan

Federal law overrides Florida’s documentary stamp tax for transfers made under a confirmed Chapter 11 reorganization plan. Under 11 U.S.C. § 1146(a), the issuance, transfer, or exchange of a security, or the making or delivery of any instrument of transfer under a plan confirmed by the bankruptcy court, cannot be taxed under any state stamp tax or similar tax.10Office of the Law Revision Counsel. 11 US Code 1146 – Special Tax Provisions The plan must be formally confirmed under Section 1129 or Section 1191. A transfer that merely happens during a bankruptcy case but is not part of the confirmed plan is not covered.

Correction Deeds, Relocation Contracts, and Estate Planning

A deed recorded only to fix an error in a prior deed — a misspelled name, a wrong legal description, a scrivener’s error — is not taxable, because no new beneficial ownership is transferred. The Florida Department of Revenue lists correction deeds among documents generally not subject to tax.5Florida Department of Revenue. Florida Documentary Stamp Tax

When an employee is relocated at the employer’s direction, a contract to sell the employee’s residence is exempt. This applies to contracts between the employee and the employer or between the employee and a professional relocation services company, and to related documents connected to that contract.4Florida Senate. Florida Code 201.02 – Tax on Deeds and Other Instruments Relating to Real Property or Interests in Real Property

Deeding property into your own revocable living trust generally does not trigger tax when there is no change in beneficial ownership and no consideration changes hands. But if the property carries a mortgage, the Department of Revenue treats the mortgage balance as consideration, and tax is owed on that amount. There is no blanket exemption for estate-planning transfers.5Florida Department of Revenue. Florida Documentary Stamp Tax

Conduit entity rules add another layer. When real property is conveyed to an entity like an LLC in which the grantor holds an ownership interest and full consideration is not paid, the entity becomes a “conduit entity.” If an ownership interest in that conduit entity is later transferred for consideration within three years, documentary stamp tax applies to that interest transfer at the standard rate. A gift of an interest in a conduit entity is not taxed to the extent there is no consideration, and transfers of an interest to an irrevocable grantor trust for estate planning by a natural person are also excluded.4Florida Senate. Florida Code 201.02 – Tax on Deeds and Other Instruments Relating to Real Property or Interests in Real Property

Not Exempt: Deeds in Lieu of Foreclosure

Deeds in lieu of foreclosure are taxable. The Florida Department of Revenue lists them among documents subject to tax, with the discharged indebtedness treated as the consideration.5Florida Department of Revenue. Florida Documentary Stamp Tax If you owed $200,000 and the lender accepted a deed in lieu, documentary stamp tax is calculated on that $200,000. The transaction feels like a loss, not a sale, which is why people miss it.

Penalties If You Get an Exemption Wrong

Failing to pay documentary stamp tax triggers penalties that stack. The base penalty is 10 percent of the unpaid tax for each 30-day period (or part of one) the payment is late, up to a maximum of 50 percent of the tax owed. The minimum penalty for a late-filed return is $10. Interest accrues at 1 percent per month from the due date until payment.11Online Sunshine. Florida Statutes 201.17 – Penalties for Failure to Pay Tax Required

If the Department of Revenue establishes by clear and convincing evidence that any part of the underpayment was due to fraud, the penalty rises to 200 percent of the deficiency, replacing the standard penalty but still stacking with interest.11Online Sunshine. Florida Statutes 201.17 – Penalties for Failure to Pay Tax Required If you believe a transaction qualifies for an exemption, confirm it before recording. Claiming one you don’t qualify for and being caught six months later means the original tax, up to 50 percent in penalties, and six months of interest on top.
