Do You Need a License to Be a Financial Advisor?

Do you need a license to be a financial advisor? The title itself is unregulated, but once you give investment advice as a business and get paid for it, or you sell securities, federal and state law require you to register and pass a qualification exam. Which license you need depends on how you earn your money.

When Licensing Is Triggered

The Investment Advisers Act of 1940 treats you as an “investment adviser” if three things are true at once: you give advice about securities, you do it as part of a regular business, and you receive compensation for it.1U.S. Securities and Exchange Commission. Occasional tips to a friend, unpaid, are not a business.

The “business” element is broader than most people expect. The SEC has said that anyone giving advice on specific securities is generally in the business unless the advice is rare and isolated.1U.S. Securities and Exchange Commission. Commissions, performance bonuses, and other indirect payments all count.

Which License You Need

The license that matches your work depends on whether you charge clients directly or earn commissions selling products. Before any of the qualification exams below, you also need to pass the Securities Industry Essentials (SIE) exam, an introductory test covering products, market structure, regulators, and prohibited practices. You can sit for the SIE without firm sponsorship, but passing it alone does not authorize you to do securities business.2FINRA. Securities Industry Essentials (SIE) Exam

If You Charge Fees for Advice

The Series 65, the Uniform Investment Adviser Law Exam, is the standard license for advisors who charge clients directly, whether hourly, flat, or as a percentage of assets managed.3NORTH AMERICAN SECURITIES ADMINISTRATORS ASSOCIATION. Series 65 Exam Content Outline It does not require firm sponsorship. Anyone can sign up and take it.

The Series 63 covers state-level securities-agent requirements and is often paired with other licenses. The Series 66 combines the Series 63 and 65 into one exam, but you can only take it if you also hold or are pursuing a Series 7.

If You Earn Commissions Selling Products

The Series 7, the General Securities Representative license, lets you sell stocks, bonds, options, and most other securities for commissions. Unlike the Series 65, the Series 7 requires sponsorship from a FINRA-member broker-dealer before you can sit for it.2FINRA. Securities Industry Essentials (SIE) Exam If your sales work will be limited to mutual funds, variable annuities, and similar packaged products, the narrower Series 6 may be enough.

What About the CFP?

A professional designation like the CFP (Certified Financial Planner) is not a license. It shows financial-planning expertise across retirement, tax, estate, and insurance topics, but by itself it does not authorize you to give investment advice for a fee or sell securities.

  • CFA, Chartered Financial Analyst, awarded by the CFA Institute
  • ChFC, Chartered Financial Consultant, awarded by the American College
  • PFS, Personal Financial Specialist, awarded by the AICPA
  • CIMA, Certified Investment Management Analyst, awarded by the Investments & Wealth Institute

The waiver applies only to the Series 65, not the Series 66 or other qualification exams. SEC or State: Where You Register

Investment advisers do not all register at the federal level. The line is drawn by assets under management. Firms managing $100 million or more generally register with the SEC. Firms below that threshold typically register with the securities regulator in their home state. Mid-sized firms in the $100 million to $110 million range may register with either, depending on the circumstances.

How Licensing Works, Step by Step

Pass the SIE

Start with the SIE. No sponsorship needed. Once you pass, you can move on to your qualification exam.

File Form U4 (if a sponsor is required)

For exams that need firm sponsorship, your sponsoring firm files Form U4, the Uniform Application for Securities Industry Registration or Transfer, through FINRA’s Central Registration Depository.5FINRA. Submit Fingerprints and Clear the Background Check

You must submit fingerprints for an FBI criminal history review.7FINRA. All felonies and certain misdemeanors involving securities, fraud, or financial misconduct can trigger a “statutory disqualification” that bars you from the industry for ten years from the date of conviction.8FINRA. Take Your Qualification Exam

Once Form U4 is processed, FINRA opens a 120-day window for you to schedule and pass your qualification exam.9FINRA. Schedule an Exam Exams are computer-based at Prometric testing centers, and you get unofficial results as soon as you finish. A final regulatory review usually takes a few more weeks before your CRD status changes to “Approved” and you can start working.

What It Costs

Each exam has its own fee, paid when you schedule:

  • SIE Exam: $100
  • Series 65: $187
  • Series 7: $395

Those cover only the tests themselves.10FINRA. Qualification Exams FINRA charges an additional $125 registration fee for each initial Form U4 filing,11FINRA. When You Do Not Need to Register

Excluded Professions

The Investment Advisers Act carves four professions out of the definition of “investment adviser”: lawyers, accountants, engineers, and teachers. If you fall into one of these, you can discuss investments with clients without registering, but only if the advice is “solely incidental” to your main professional work.12Office of the Law Revision Counsel. 15 USC 80b-2 – Definitions An accountant explaining the tax consequences of a stock sale stays within the exclusion. The De Minimis Exemption

Federal law bars states from requiring registration by an investment adviser who has no office in the state and has had fewer than six clients who are residents of that state during the preceding twelve months.13SEC.gov. Final Rule – Exemption for Certain Investment Advisers Operating Through the Internet This is the de minimis exemption. Add a sixth client in that state, or open a local office, and you have to register there.

What This Doesn’t Cover

Being unlicensed is not the same as being unregulated. If you’re registered as an investment adviser, you owe your clients a fiduciary duty; if you’re a broker-dealer, you’re bound by Regulation Best Interest for retail recommendations. Those standards apply the moment you hold the license, whether you thought about them or not.

Keeping the License Once You Have It

Registration is not one and done. FINRA requires every registered person to complete a Regulatory Element continuing education module annually by December 31 for each registration held.14FINRA. Continuing Education Miss the deadline and your registration can be suspended until you catch up.

Registered investment advisers also file an annual updating amendment to Form ADV within 90 days after their fiscal year end.15SEC.gov. What Happens If You Skip Licensing

Working as an unregistered investment adviser or broker-dealer is not a paperwork oversight. A willful violation of the Investment Advisers Act can carry criminal fines up to $10,000 and imprisonment for up to five years. In recent enforcement actions, SEC civil penalties have reached $150,000 or more on top of disgorgement of profits.17U.S. Securities and Exchange Commission. Investment Adviser Charged for Acting as an Unregistered Broker The SEC can also issue cease-and-desist orders, censures, and industry bans that end a career.

State regulators bring their own actions, with authority to issue cease-and-desist orders, impose fines, and refer cases for criminal prosecution. If you think an exemption covers your situation, confirm it with the appropriate regulator before you rely on it.
