Do International Vendors Need a W-9 or W-8? Withholding and Reporting

International vendors do not fill out Form W-9. That form is only for U.S. persons, so when you pay a foreign individual or a foreign entity you collect a form from the W-8 series instead, or Form 8233 in a narrow set of service-payment situations. Deciding between a W-9 or W-8 for international vendors comes down to a single threshold question: is the payee a U.S. person under federal tax law? If not, W-9 is off the table.

Why Form W-9 Does Not Apply to a Foreign Vendor

Form W-9 collects a taxpayer identification number and certifies that the payee is a U.S. person. The instructions say plainly that it is used to request information from a U.S. person, including a resident alien.1IRS.gov. Instructions for the Requester of Form W-9 (Rev. March 2024) Federal law defines a “United States person” as a U.S. citizen or resident, a domestic partnership, a domestic corporation, and certain estates and trusts.2Office of the Law Revision Counsel. 26 USC 7701 – Definitions A nonresident alien individual or a foreign corporation fits none of those categories.

Sending a W-9 to a foreign vendor is not simply unnecessary. A signed W-9 in your file from someone who is actually foreign creates conflicting records that can complicate your own reporting later.

The U.S. LLC With a Foreign Owner

One situation trips people up. If your vendor operates through a single-member U.S. LLC that is disregarded for tax purposes, and the owner is a foreign person, the correct form is a W-8, not a W-9. The W-9 itself warns that a disregarded U.S. entity with a foreign owner must use the appropriate W-8.3Internal Revenue Service. Form W-9 (Rev. March 2024) The domestic registration of the LLC is not what controls; the tax status of its owner is.

Which W-8 Form to Collect

There are several W-8 forms, and using the wrong one is almost as bad as collecting nothing. Start with two questions: is the vendor an individual or an entity, and what kind of income are they receiving?

  • Form W-8BEN is for a foreign individual who is the beneficial owner of U.S.-source income. It establishes foreign status and, if applicable, claims a reduced withholding rate under a tax treaty.4Internal Revenue Service. Instructions for Form W-8BEN (Rev. October 2021)
  • Form W-8BEN-E is the entity version. Foreign corporations, partnerships, and other non-individual entities use it to document foreign status, claim treaty benefits where relevant, and identify their FATCA (Chapter 4) classification.5Internal Revenue Service. Form W-8BEN-E (Rev. October 2021)
  • Form W-8ECI is for a foreign person whose income is effectively connected with a U.S. trade or business. That income is taxed at graduated U.S. rates rather than the flat 30%, and the foreign payee takes responsibility for filing a U.S. return.6Internal Revenue Service. About Form W-8 ECI
  • Form 8233 is for a nonresident alien individual claiming a treaty exemption from withholding on compensation for personal services, whether as an independent contractor or employee. When a treaty eliminates withholding entirely on services compensation, Form 8233 replaces W-8BEN for that payment.7Internal Revenue Service. About Form 8233

Effectively connected income covers situations like a foreign company operating a U.S. office selling products, or a foreign partner in a U.S. partnership.8Internal Revenue Service. Effectively Connected Income (ECI) A valid W-8ECI on file means you do not withhold on that income, because the vendor will report and pay directly on a U.S. return.

Does Withholding Even Apply?

Collecting the right W-8 is one obligation. Withholding is a separate question, and the answer depends on the source of the income. The 30% withholding requirement under IRC Section 1441 only applies to income from sources within the United States.9Office of the Law Revision Counsel. 26 USC 1441 – Withholding of Tax on Nonresident Aliens

For personal services, the source is determined by where the work is physically performed.10Internal Revenue Service. Nonresident Aliens – Sourcing of Income A foreign freelancer working entirely from their home country generally produces foreign-source income, so withholding may not apply even though you still need a W-8 on file. If that same freelancer performs the work while physically in the United States, the compensation becomes U.S.-source income subject to withholding.11Internal Revenue Service. U.S. Withholding Agent Frequently Asked Questions

For sales of physical goods, sourcing turns on where title passes. If a foreign vendor ships inventory and title transfers inside the United States, the income may be U.S.-sourced even though the vendor is abroad.

What a Valid W-8 Must Contain

Whether the form is W-8BEN or W-8BEN-E, the core fields are the vendor’s full legal name, country of citizenship or incorporation, and a permanent residence address at a physical location, not a P.O. box. The vendor also provides a taxpayer identification number, which can be a U.S. TIN or a foreign tax identification number issued by their home country. A foreign TIN is acceptable for claiming treaty benefits.12Internal Revenue Service. Instructions for Form W-8BEN (10/2021) A vendor who needs a U.S. TIN and does not yet have one can apply for an ITIN using Form W-7, which usually takes four to six weeks.

Entities have an extra requirement individuals do not. Line 5 of Form W-8BEN-E requires a Chapter 4 (FATCA) classification, such as active NFFE, passive NFFE, or participating foreign financial institution.5Internal Revenue Service. Form W-8BEN-E (Rev. October 2021) Do not accept a W-8BEN-E with line 5 left blank; the wrong or missing classification can trigger Chapter 4 withholding on top of Chapter 3 withholding.

Treaty Claims

To claim a reduced treaty rate, the vendor identifies the specific treaty article and paragraph, the type of income, and the rate. On W-8BEN-E, treaty benefits go in Part III, not Part II, which is reserved for disregarded entities or branches. Entities also have to satisfy the treaty’s limitation on benefits provision, and the IRS instructions warn that the summarized LOB tests on the form are not sufficient on their own; the entity has to check the actual treaty language.13Internal Revenue Service. How Long the Form Stays Good

A W-8 is generally valid from the date it is signed through the last day of the third calendar year after signing. A form signed March 1, 2026 expires December 31, 2029.14Internal Revenue Service. Instructions for the Requester of Forms W-8BEN, W-8BEN-E, W-8ECI, W-8EXP, and W-8IMY Keep a renewal calendar, because the day the form expires you are back to default withholding until a new one arrives.

An exception: a W-8 paired with documentary evidence supporting foreign status can be valid indefinitely, as long as both are provided within 30 days of each other and no change in circumstances makes the information incorrect. The indefinite validity applies only to the foreign status certification; any treaty benefit claim still expires after three calendar years.14Internal Revenue Service. Instructions for the Requester of Forms W-8BEN, W-8BEN-E, W-8ECI, W-8EXP, and W-8IMY

You can accept W-8 forms by fax, email scan, or through a third-party document repository, as long as you have no reason to believe the transmitter is unauthorized. A typed name in the signature line does not count as a valid electronic signature without supporting evidence such as a time and date stamp and a statement that the certificate has been electronically signed.14Internal Revenue Service. What Happens if You Do Not Get a Form

If a foreign vendor does not provide a valid W-8, federal law requires you to withhold 30% of the gross payment. Section 1441 imposes this on any person who controls, receives, or pays U.S.-source income to a nonresident alien or foreign partnership.9Office of the Law Revision Counsel. 26 USC 1441 – Withholding of Tax on Nonresident Aliens The IRS instructions to Form W-8BEN confirm that failure to provide the form may lead to the full 30% rate.4Internal Revenue Service. Instructions for Form W-8BEN (Rev. October 2021)

If you skip withholding because the vendor promises to send the form later, you take on personal liability for the tax that should have been withheld. The IRS can pursue the withholding agent directly for that amount, plus penalties and interest.

Year-End Reporting for Foreign Vendors

Paying a foreign vendor creates reporting obligations even when no tax is withheld. By March 15 of the following year, you file Form 1042-S for each foreign payee and furnish a copy to the recipient by the same date.15Internal Revenue Service. Discussion of Form 1042, Form 1042-S and Form 1042-T If you file any 1042-S forms, you also file Form 1042, which summarizes total payments and withholdings for the calendar year.16Internal Revenue Service. Instructions for Form 1042 (2025) – Who Must File Withheld amounts are deposited through EFTPS on a schedule that depends on the total tax withheld during the year.

Penalties for late or incorrect 1042-S forms are tiered. They start at $60 per form when filed within 30 days of the due date, rise to $130 per form after 30 days, and reach $340 per form after August 1, with much higher penalties for intentional disregard.17IRS.gov. 2026 Instructions for Form 1042-S Identical tiers apply for failing to furnish the correct form to the recipient, so a single missed form generates two separate penalties. A withholding agent who fails to actually withhold and deposit the required tax faces additional liability, including civil penalties for late deposits and potential criminal exposure for willful failure to collect or pay over the tax.18eCFR. 26 CFR 1.1461-1 – Payment and Returns of Tax Withheld

Collect the right W-8 before the first payment, run the sourcing analysis, withhold at the correct rate, and file on time. Fixing any of these after an IRS notice costs far more than doing it at onboarding.
