Do I Need to File Form 944 If I Have No Employees?

Yes. If the IRS has designated your business as a Form 944 filer, you need to file Form 944 even if you have no employees and paid no wages for the year. Skipping the return because your liability is zero only looks easier; the IRS has no way to know your liability is zero until you tell them, and the automated notices that follow a missed return take far longer to resolve than the few minutes it takes to file a return of zeros.

The one situation where you file something different is when the business has permanently stopped operating or will never pay wages again. In that case you file a final return rather than a zero return, which is covered below.

Filing a Zero Return

When the business is still active but had no payroll during the year, you file Form 944 with zeros on every relevant line. Enter “0” for total wages, tips, and other compensation, and “0” for federal income tax withheld. The Social Security and Medicare lines will show zero as a result. That filing tells the IRS the business exists, you know the filing obligation applies to you, and there was nothing to report.

Form 944 is due January 31 of the year following the one it covers. If January 31 falls on a weekend or holiday, the deadline moves to the next business day.1Internal Revenue Service. Instructions for Form 944 Filers who deposited all taxes due on time get until February 10, but there are no deposits with a zero return, so January 31 is your date.

You can file electronically through IRS-approved software or an authorized e-file provider, or you can file on paper.2Internal Revenue Service. E-File Employment Tax Forms Either way, the return itself is short.

What Happens If You Don’t File

The standard failure-to-file penalty is 5% of the unpaid tax for each month a return is late, capped at 25%.3Office of the Law Revision Counsel. 26 USC 6651 – Failure to File Tax Return or to Pay Tax Five percent of zero is zero, so a genuinely zero-liability return filed late does not generate a dollar penalty.

The problem is procedural. When an expected return never arrives, IRS systems assume you owe tax and failed to report it. You will get collection notices. Your account gets flagged as delinquent. Clearing that up takes letters, phone calls, and sometimes months of back-and-forth with the agency. Filing the zero return on time is almost always faster than cleaning up after a missed one.

Who the IRS Puts on Form 944

Form 944 is for the smallest employers, those whose combined annual liability for Social Security tax, Medicare tax, and withheld federal income tax totals $1,000 or less.4Internal Revenue Service. About Form 944, Employer’s Annual Federal Tax Return Instead of quarterly Form 941, these employers report and pay once a year. The IRS determines eligibility and sends a written notice telling you to use Form 944. You cannot elect it on your own.

Two situations fall outside Form 944 entirely. If you pay only household workers (a nanny, housekeeper, or home health aide), those taxes generally go on Schedule H with your personal Form 1040 rather than on Form 944.5Internal Revenue Service. Forms 940, 941, 944 and 1040 (Sch H) Employment Taxes Agricultural employers file Form 943 instead.6Internal Revenue Service. Topic No. 760, Form 943 – Reporting and Deposit Requirements for Agricultural Employers If one of those is actually your situation, the Form 944 question may not apply to you at all.

Owner-Only Businesses

Many of the people asking this question are the only person working in the business. If you are a sole proprietor or single-member LLC, money you take out of the business is not wages for employment tax purposes. You pay self-employment tax on net earnings instead, reported on Schedule SE of your personal return.7Internal Revenue Service. Instructions for Schedule SE (Form 1040) With no wages paid to anyone, your Form 944 liability is zero. You still file the zero return if the IRS has you set up as a Form 944 filer.

The S Corporation Trap

If your business is structured as an S corporation, the analysis changes. Corporate officers who perform more than minor services for the company must receive reasonable compensation, and that compensation is wages subject to employment taxes.8Internal Revenue Service. S Corporation Employees, Shareholders and Corporate Officers You cannot take only distributions, skip paying yourself a salary, and treat the business as having “no employees.”

An active S-corp officer-shareholder almost always has employment tax liability, so Form 944 should not show zero. The only legitimate zero scenario for an S-corp owner is one where the officer performs no services or only minor ones and is not entitled to compensation.8Internal Revenue Service. S Corporation Employees, Shareholders and Corporate Officers Filing zeros while taking distributions invites scrutiny.

Family Members Count

If you employed your spouse, your child, or any other family member during the year and paid them wages, those wages belong on Form 944. “No employees” treatment is only accurate when no one received wages, family included.

If the Business Has Closed, File a Final Return

When “no employees” means the business has shut down or will never pay wages again, file a final return instead of a zero one. The two look similar but mean different things to the IRS: a zero return tells the agency to expect another return next year; a final return closes out your employment tax account.

On your last Form 944, check the box indicating it is a final return and enter the last date wages were paid. If you never paid wages, enter the date the business ceased operations. Missing the final return checkbox is one of the most common mistakes here, and the IRS will keep expecting annual returns and sending notices until that box is checked.1Internal Revenue Service. Instructions for Form 944 Pay any outstanding tax and file any prior missing returns before submitting the final one.

Closing out employment tax filings does not cancel your EIN. The IRS cannot cancel an EIN once assigned, because it is the entity’s permanent federal taxpayer identification number.9Internal Revenue Service. If You No Longer Need Your EIN You can ask the IRS to deactivate the business account by mailing a letter to Internal Revenue Service, Cincinnati, OH 45999. Include the business’s legal name, its EIN, the business address, and the reason for closing the account; attach a copy of the original EIN assignment notice if you still have it.10Internal Revenue Service. Closing a Business The account will not close until all required returns are filed and all taxes paid.

Switching to Form 941 If Things Change

If your business adds employees and your annual liability climbs above $1,000, the IRS may move you to quarterly Form 941 filing. Changing filing frequency requires IRS permission; filing the wrong form on your own can leave your return treated as incomplete or delinquent.

To request a switch in either direction, call the IRS at 800-829-4933 by April 1 of the year the change should take effect, or send a written request postmarked by March 15 of that year.11Internal Revenue Service. Certain Taxpayers May File Their Employment Taxes Annually Written requests go to one of these addresses:

  • Department of the Treasury, Internal Revenue Service, Ogden, UT 84201-0038
  • Department of the Treasury, Internal Revenue Service, Cincinnati, OH 45999-0038

The IRS will confirm the change in writing. Keep that letter as proof of your authorized filing status. Moving to Form 941 also brings monthly or semi-weekly deposit obligations, so build that into your plan if your payroll is growing.

Keep Your Records

Hold on to employment tax records for at least four years after the date the tax was due or paid, whichever is later.12Internal Revenue Service. Recordkeeping That applies to zero returns and final returns too. Copies of filed returns, proof of any deposits, and documentation showing why liability was zero should all stay on hand. If the IRS later questions a zero return, pulling the records out is much easier than reconstructing them.
