Do All LLCs Have an EIN? Requirements and How to Get One

Not every LLC needs an Employer Identification Number. A single-member LLC with no employees and no federal excise tax obligations can use the owner’s Social Security Number for federal tax purposes and skip the EIN entirely. Multi-member LLCs, any LLC with employees, and LLCs that elect corporate or S-corporation tax treatment all have to get one. So the short answer to whether all LLCs need an EIN is no, but the exception is narrower than many owners assume, and most LLCs end up with an EIN anyway for reasons that have nothing to do with the IRS.

When an EIN Is Required

Four situations make an EIN mandatory, regardless of which state you formed in.

Your LLC has more than one member. The IRS treats a multi-member LLC as a partnership by default. The LLC has to file its own annual return on Form 1065, and it needs an EIN to do that.1Internal Revenue Service. LLC Filing as a Corporation or Partnership Missing that filing deadline is expensive. The penalty is $255 per partner for each month the return is late, up to 12 months.2Internal Revenue Service. Revenue Procedure 2024-40 A three-member LLC that files six months late owes $4,590.

Your LLC has employees. Hiring even one employee triggers the EIN requirement, because the LLC has to withhold and report payroll taxes, including Social Security and Medicare.3Internal Revenue Service. Businesses With Employees

Your LLC owes federal excise tax. If the business manufactures or deals in goods subject to federal excise taxes, such as firearms, ammunition, alcohol, or tobacco, the LLC needs its own EIN to file those returns.4eCFR. 27 CFR Part 53 – Manufacturers Excise Taxes – Firearms and Ammunition

Your LLC elects to be taxed as a corporation or S corp. Filing Form 8832 or Form 2553 requires an EIN on file before the IRS will process the election.5Internal Revenue Service. Form 8832 Entity Classification Election If the LLC already has an EIN, it keeps that same number; the IRS does not issue a new one when tax classification changes.

When a Single-Member LLC Can Skip It

If you’re the sole owner of your LLC, the IRS treats it as a “disregarded entity” for income tax purposes. The business and you are the same taxpayer. You report the LLC’s profits and losses on your personal Form 1040, usually on Schedule C, and you can use your Social Security Number or Individual Taxpayer Identification Number instead of getting a separate EIN.6Internal Revenue Service. Single Member Limited Liability Companies

That exception ends the moment you hire an employee. A single-member LLC stays disregarded for income tax but becomes a separate entity for employment tax. Once employees come on, the LLC has to get its own EIN and use the LLC’s name and EIN, not your personal SSN, on every payroll tax filing.6Internal Revenue Service. Single Member Limited Liability Companies The same is true if the LLC picks up an excise tax obligation.

Why Most Single-Member LLCs Get One Anyway

Being allowed to skip the EIN and being able to run your business without one are different things. Banks and other financial institutions typically require an EIN before they’ll open a business checking account or process a commercial loan. Even when the IRS lets your single-member LLC use your SSN, your bank may not. Vendors and suppliers often want an EIN to open a wholesale or trade-credit account, and many state and local licensing offices ask for a federal tax ID during business registration.

There’s also a privacy argument. Freelancers and independent contractors hand out W-9 forms to every client, and each W-9 carrying your SSN is another exposure point if a client’s records are breached. An EIN lets you put a business-specific number on W-9s, invoices, and vendor paperwork instead. The IRS issues EINs at no cost, so the only investment is the time to fill out the application.7Internal Revenue Service. Get an Employer Identification Number

How to Get an EIN

The application is Form SS-4. It asks for the LLC’s legal name exactly as it appears on your articles of organization, a physical mailing address, and the identity of a “responsible party,” meaning the individual who controls the LLC’s funds and assets. That person has to provide an SSN or ITIN to link the LLC to a verified individual.8Internal Revenue Service. Instructions for Form SS-4 (Rev. When You Need a New EIN Later

An existing EIN does not always carry over when your LLC’s structure changes. The IRS draws a clear line between changes that require a new EIN and changes that don’t.11Internal Revenue Service. When to Get a New EIN

You need a new EIN if you dissolve the LLC and form a new entity, or if you buy an existing business (a new owner cannot use the prior owner’s EIN).

You do not need a new EIN just because you change the LLC’s name or address, change its tax election by filing Form 8832 or Form 2553, or convert an existing partnership into an LLC that will still be taxed as a partnership. In each of those cases, the EIN stays the same.11Internal Revenue Service. When to Get a New EIN
