A Cayman Ltd is an exempted company incorporated under the Cayman Islands Companies Act (2025 Revision), designed for business conducted mainly outside the islands. It is a separate legal person with limited liability for shareholders, it pays no Cayman corporate income tax, capital gains tax, or withholding tax, and it comes with a defined set of formation documents, annual filings, transparency reporting, and, for U.S. owners, significant federal tax obligations.
What a Cayman Ltd Actually Is
An exempted company exists as a separate legal person: it can contract, hold property, and sue or be sued in its own name. Shareholders’ liability is limited to any amount unpaid on their shares.1Cayman Islands Monetary Authority. Companies Act 2025 Revision
The defining restriction is geographic. An exempted company must conduct its operations mainly outside the Cayman Islands.2Cayman Islands General Registry. Exempted Company It can sign contracts on-island and keep its administrative functions there, but it cannot carry on a trade with Cayman residents as customers. If your business is aimed at the local Cayman market, this is the wrong entity. If your business is an international holding company, a joint venture, or an investment fund, this is the structure the jurisdiction is built around.
The Tax Position
The Cayman Islands imposes no corporate income tax, no capital gains tax, no withholding tax, no inheritance tax, and no wealth tax on companies. There is no annual corporate tax return, because there is no revenue authority to file it with.
An exempted company can go further and apply for a Tax Exemption Undertaking. This is a formal government commitment that if the Cayman Islands ever introduces direct taxes, the company remains exempt for 20 years from the date of the concession, extendable by another 10 years. It does not change today’s tax bill, which is already zero. It insures the structure against a future change in law.
What You Need to Form One
Directors and Registered Office
Every exempted company needs at least one director. There are no nationality or residency requirements, and directors can be individuals or corporate entities. A sole director can also be the sole shareholder.
The company must maintain a registered office in the Cayman Islands, and that address must be the office of a person licensed by the Cayman Islands Monetary Authority to provide company management services.3Cayman Islands Monetary Authority. Companies Act 2025 Revision – Section 50 A mailbox or a personal address does not satisfy this. The registered office is where legal process and government correspondence are served.
Memorandum and Articles of Association
The Memorandum of Association is the public charter. It states the company name, the registered office address, the objects for which the company is formed, and the authorized share capital divided into shares (with or without par value). Most exempted companies adopt unrestricted objects so the entity can carry out any lawful activity.
The Articles of Association are the internal rulebook: how directors are appointed and removed, how meetings run, how shares transfer, what rights attach to each class, how dividends are declared, how directors are indemnified, and how the company is wound up. Multiple share classes and unusual voting arrangements need to be built into the Articles from the start.
Section 165 Declaration and Registration Fees
The founder submits the signed Memorandum and Articles to the Registrar of Companies together with a Section 165 Declaration. A subscriber signs this declaration to confirm that operations will be conducted mainly outside the Cayman Islands.4Cayman Islands Monetary Authority. Companies Act 2025 Revision – Section 165 Without it, the Registrar will not process the filing as an exempted company.
Registration fees tier by authorized share capital, in Cayman Islands dollars:5Cayman Islands General Registry. Fees
- Up to CI$42,000: CI$700
- CI$42,001 to CI$820,000: CI$1,000
- CI$820,001 to CI$1,640,000: CI$1,984
- Over CI$1,640,000: CI$2,568
The Registrar issues a Certificate of Incorporation on approval, along with a unique registration number that must appear on official filings.
Annual Return and Statutory Registers
Every exempted company files an annual return starting the first January after registration. The window runs from January 1 through the last business day of March, and anything received after 5:00 PM on the deadline is treated as filed the next business day.6Cayman Islands General Registry. Annual Returns The annual fee follows the same share-capital tiers as registration.
Late penalties compound through the year:
- April 1 to June 30: 33.33% surcharge
- July 1 to September 30: 66.67% surcharge
- October 1 to December 31: 100% surcharge, so the fee doubles
After 12 months of non-payment and non-filing, the company is deemed defunct and is struck from the register.6Cayman Islands General Registry. Annual Returns This is the most common way a Cayman Ltd quietly loses its good standing.
Three internal registers must be kept current at the registered office:
- Register of Members. Names and addresses of shareholders, shares held, and dates of becoming or ceasing to be a member. Failure to maintain carries a CI$5,000 penalty, and a director who knowingly permits the default faces the same amount personally.7Cayman Islands Government. Companies Act 2026 Revision – Section 40
- Register of Directors and Officers. A copy must be filed with the Registrar within 60 days of the first appointment, and any change reported within 30 days. Breach carries a CI$500 penalty per instance, with an additional CI$1,000 for knowing and willful breaches.8Cayman Islands Government. Companies Act 2026 Revision – Sections 55 and 56
- Register of Mortgages and Charges. Tracks secured debts or liens against company assets.
A standard exempted holding company or special purpose vehicle has no statutory audit requirement. That obligation attaches only when the company is a regulated investment fund under the Mutual Funds Act or Private Funds Act, in which case audited financials must be submitted to CIMA within six months of the fund’s financial year-end, prepared by a CIMA-approved Cayman audit firm.9Cayman Islands Monetary Authority. Investment Funds Reporting Requirements and Schedule
Beneficial Ownership Reporting
The Beneficial Ownership Transparency Act, 2023 took effect on January 1, 2025, and expanded reporting on the real individuals behind Cayman entities. Companies must identify every beneficial owner and provide the name, residential address, date of birth, nationality, and government-issued identification for each, filed through the corporate services provider into a centralized government platform.10Cayman Islands Monetary Authority. Beneficial Ownership Transparency Act 2023
The information must be kept current and reported at intervals set by the Registrar. Regulated investment funds, previously exempt, must now either appoint a contact person under an alternative compliance route or maintain a full register of beneficial owners.11Cayman Islands General Registry. Beneficial Ownership
Economic Substance
Since 2019, certain Cayman entities carrying on specified activities must demonstrate real economic substance on-island. The regime is administered by the Department for International Tax Cooperation and applies to these relevant activities:12Department for International Tax Cooperation. Economic Substance Return
- Banking
- Insurance
- Fund management
- Financing and leasing
- Headquarters
- Shipping
- Distribution and service centre
- Intellectual property
An in-scope company must be directed and managed in the Cayman Islands, conduct its core income-generating activities there, and maintain adequate staff, expenditure, and physical presence on-island. An annual economic substance return goes to the DITC.
Pure holding companies and entities tax resident outside the Cayman Islands face reduced or no substance requirements, and regulated investment funds are generally excluded from the regime. Financing arrangements, group intellectual property, and headquarter services are where substance becomes a real operational obligation rather than a paper one.
U.S. Tax Reporting for U.S. Owners
The Cayman Islands’ zero-tax environment does not reduce U.S. tax obligations. If you are a U.S. person, this is where the real cost of a Cayman Ltd sits.
Form 5471 and Subpart F
A U.S. shareholder owning 10% or more (by vote or value) of a foreign corporation that qualifies as a controlled foreign corporation must file Form 5471 with their tax return. The same form applies to U.S. officers or directors when a U.S. person acquires a 10% stake. Failure to file carries a $10,000 penalty per annual accounting period, with an additional $10,000 for each 30-day period after IRS notice, capped at $50,000 per failure.13Internal Revenue Service. Instructions for Form 5471 A non-filer also loses 10% of otherwise available foreign tax credits.
When a Cayman company is a CFC and earns certain passive or mobile income, U.S. shareholders are taxed on their share of that income immediately under the Subpart F rules, whether or not any distribution is made.14Internal Revenue Service. Overview of Subpart F Income for U.S. Individual Shareholders Because the Cayman company pays no local tax, there is no foreign tax credit to offset the U.S. liability.
FBAR and Form 8938
A U.S. person with a financial interest in or signature authority over foreign financial accounts exceeding $10,000 in aggregate at any point in the year must file FinCEN Form 114, the FBAR.15FinCEN.gov. Report Foreign Bank and Financial Accounts It is due April 15, with an automatic extension to October 15.16Internal Revenue Service. Report of Foreign Bank and Financial Accounts (FBAR) Accounts held by a Cayman company you own count toward the threshold.
Form 8938 (Statement of Specified Foreign Financial Assets) applies when specified foreign financial assets exceed $50,000 on the last day of the tax year or $75,000 at any point during the year for unmarried U.S. taxpayers living domestically. Thresholds rise to $100,000/$150,000 for joint filers and to $200,000/$300,000 for single filers living abroad.17Internal Revenue Service. Do I Need to File Form 8938, Statement of Specified Foreign Financial Assets Ownership of a Cayman exempted company typically triggers both FBAR and Form 8938, and the two are not duplicative since they go to different agencies.
The Cayman side of a Cayman Ltd is administratively straightforward. The U.S. side, for a U.S. owner, is not, and specialized international tax preparation should be budgeted from the first year the company exists.
